DescFounded in 1895, Morristown-Hamblen Hospital Association ("Morristown-Hamblen") has provided more than 100 years of care within its community, serving an eight-county region in the Lakeway Area of East Tennessee with 167 beds. SERVICEMorristown-Hamblen includes six centers of excellence: the Heart, Lung, and Vascular Center; Women's Center; Breast Center; Morristown Regional Cancer Center; Outpatient Surgery Center; Emergency Department and Critical Care Center. Morristown-Hamblen received an "A" Hospital Safety Score from The Leapfrog Group in Fall 2019 and Spring 2020. In 2020, the hospital saw 109,306 patients. Of these, 102,208 were outpatients and 7,098 were inpatients with an average length-of-stay of 4.28 days. PUTTING PATIENTS FIRSTThe hospital's Morristown Regional Cancer Center offers comprehensive cancer care that includes medical oncology, chemotherapy and radiation oncology, among other services. The radiation oncology department includes a highly specialized team of radiation therapists, a radiation oncologist, medical physicists and registered nurses. The program is the only provider of radiation therapy within a 45-mile radius of Morristown, Tennessee. The cancer center has a dedicated high-speed CT scanner for treatment simulation and other state-of-the-art technology. The program offers treatments such as external beam radiation therapy, intensity modulated radiation therapy, high-dose rate brachytherapy, and low-dose CT scans for early detection of lung cancer. Morristown-Hamblen's Heart, Lung, and Vascular Center offers a complete continuum of care including prevention, diagnostic, interventional, and rehabilitative services for both inpatients and outpatients. Tests available include EKGs, Holter monitors, echocardiograms, and stress testing. Diagnostic and interventional catheterizations are performed using advanced technologies in angioplasty, drug-eluting stents, intra-aortic balloon pumps, and closure devices. Since opening Morristown-Hamblen Women's Healthcare of Morristown in 2018, women in all stages of life have received a wide range of care. This includes specialties such as gynecology, pregnancy care, hormonal and menopause management, and gynecological surgery. The Center partners with the Hamblen County Foundation for Educational Excellence to provide "toolkits" with community resources and parenting guides to each new mother at the hospital.Morristown-Hamblen is certified under The Joint Commission's Gold Seal of Approval and the American Heart Association/American Stroke Association's Heart-Check mark for Advanced Certification for Primary Stroke Centers. The Gold Seal of Approval and the Heart-Check mark represent symbols of quality from their respective organizations for excellence in stroke care. The hospital is also a member of Covenant Health's stroke hospital network, which links Covenant Health's member hospitals in providing our region with access to rapid diagnosis and treatment of stroke. Since opening a Wound Care and Hyperbaric Medicine Center in 2019, Morristown-Hamblen has been able to serve a larger number of patients who need these specialized services. INTRODUCING MORRISTOWN-HAMBLEN WESTTo meet the healthcare needs of Morristown and the surrounding areas, in 2020 Morristown-Hamblen Healthcare System announced plans to build a $37 million outpatient facility on Merchant's Greene at the end of a new four-lane highway connecting Morristown to Exit 4 off Interstate 81. Construction is anticipated to begin in spring 2021.The proposed 50,000-square-foot facility will include a free-standing emergency department and diagnostic center as well as physician offices. The building will be known as Morristown-Hamblen West and designed for more convenient access and efficient service. Morristown-Hamblen Hospital AssociationPart V, Section B, Line 5: Morristown-Hamblen Hospital Association dba Morristown-Hamblen Healthcare System ("MHHA") conducted its third Community Health Needs Assessment ("CHNA") in 2019. A Steering Committee was formed to guide the assessment process and included the Hamblen County Health Department, Morristown Hamblen Healthcare System, Hamblen County Health Council, and the Tennessee Department of Public Health. Each of these community organizations serve the broader community and, in particular, the low-income, uninsured and chronically ill. The Steering Committee worked with the University of Tennessee-Knoxville Social Work Office of Research and Public Service ("UT-SWORPS") to devise a Hamblen County household survey and to host two focus groups of community leaders, each of which represented a part of the overall Hamblen County public health system. The household survey collected information from 388 Hamblen County residents. Participation in the survey was diverse and reflected the demographic profile of the county for the attributes of educational level, income, ethnicity and age. The primary research was analyzed and combined with county demographics, mortality, and secondary data from more than 60 health indicators. A Data Team was formed to analyze the data and determine the most significant findings from the assessment. The Data Team included members of the Steering Committee as well as representatives from the Morristown Task Force on Diversity, Hamblen County Senior Center, Hispanic community advocates, Citizen Tribune, Morristown Parks and Recreation, Healthy Hamblen, Hamblen County Board of Health, and Coordinated School Health.
Morristown-Hamblen Hospital AssociationPart V, Section B, Line 6b: Though MHHA's CHNA was issued as a stand-alone report, many non-hospital organizations assisted throughout the process. Research partners provided expertise on survey design, focus group facilitation, data collection, data sources, and analysis. UT-SWORPS was an integral contributor, as well as the Hamblen County Health Department and the Tennessee Department of Public Health (Nashville, TN).Additionally, focus groups were beneficial in discussing and identifying community needs in Hamblen County. Organizations and individuals participating in the focus groups included:- ALPS Adult Day Services - Camelot Care Center- Colortech - Helen Ross McNabb Center- Healthy Hamblen - Helping Hands Clinic- Douglas Cherokee Economic Authority, Inc - HOLA Lakeway- Hamblen County Health Council - Hamblen County Health Dept.- Hamblen County Senior Citizen Center - Morristown Housing Authority- Morristown Task Force on Diversity- Morristown Hamblen Central Services - Representatives from Hispanic Community- Smoky Mountain Home Health and Hospice- Walter State Community College
Morristown-Hamblen Hospital AssociationPart V, Section B, Line 11: At the conclusion of the 2019 assessment process, the Data Team identified a top ten list of health priorities and further refined this list into the top 5 most significant health issues. MHHA added cancer as its 6th health priority. The top five identified community needs (in order of priority) are: obesity, tobacco/vaping, substance abuse disorder, access to mental health services, and health literacy and education.MHHA updated its 2019 Implementation Plan based on identified needs and plans to address all of the identified issues in the following ways:1. ObesityMonday Mile Walkers - MHHA developed a program through Healthier Hamblen to encourage the community and former patients to get moving. The group meets every Monday and walks one mile. Missy Kane, Covenant Health's Health Promotion Coordinator, leads the group once per month. Population Health/Occupational Medicine Initiative - MHHA's Population Health Manager and Chief Administrative Officer meet with companies to share how Covenant Health can assist companies understand health risk factors of their employees. MHHA works with employers to implement education and initiatives to meet the goal of reducing risk factors most prevalent within the company's employee population. One example is the "Biggest Winner" program implemented with a local utility company to help employees increase exercise and lose weight.2. Tobacco/VapingBe Smart, Don't Start - Be Smart, Don't Start is a collaboration between MHHA, Hamblen County Health Department, and Hamblen County Department of Education to reduce smoking among teens in Hamblen County. The campaign includes advertising at local football games and a no-smoking pledge taken by students. The initiative has been expanded to reach the growing number of kids vaping through the school system.3. Substance Abuse DisorderPrescription Drug Task Force - MHHA leaders are active members of the local Prescription Drug Task Force, which also includes local judicial and health department officials. The Task Force is currently developing solutions for prescription drug abuse in Hamblen County.Recovery is the new High - MHHA is working with the State Drug Taskforce and the Lifeline Project to develop a program to educate the community to increase understanding of the disease of addiction. The program should be operational in 2020.Opioid Light Protocol - MHHA has adopted the Covenant protocol to reduce the amount of narcotics prescribed in the Emergency Department. Narcotics are reserved for acute pain, and other non-narcotic methods of pain control are offered to patients with more chronic pain. 4. Access to Mental Health ServicesMHHA has chosen to focus resources on tangible, effective local efforts and will continue to collaborate with local mental health providers as needed and as resources are available. Recently, Helen Ross McNabb Center placed an alcohol and drug addiction counselor in MHHA's Emergency Department to help identify patients and expedite getting patients help in a timely manner. The Case Management Department has been educated on local group home resources that are available to those struggling with addiction.Senior Behavioral Health Services are collaborating with local resources such as ALPS Adult Center, a local dementia care center.5. Health Literacy and EducationCancer Navigator - MHHA added a Cancer Navigator to provide education to patients going through cancer treatment.Health Fairs - MHHA hosts annual health education and screening fairs across the community. Community Baby Shower - Morristown-Hamblen Women's Services participates in a community-wide baby shower in partnership with the Health Department and local physicians to educate new mothers about a host of delivery and child care topics.Ready by Six - Ready by Six is an initiative with HC*Excell to educate new parents on health and other topics important to meeting the developmental needs of young children to support their health and readiness to start kindergarten by 6 years of age.6. CancerLow-Dose CT Screening - MHHA offers low-dose CT scans as a diagnostic screening for those at higher risk for lung cancer. The procedure is painless and takes about ten seconds; it is non-invasive and requires no medication. Low-dose CT must be ordered by a physician. Community outreach efforts educate primary care physicians on the benefits of this screening procedure. Data from scans are logged into the ACR Database for further analysis and study.Thompson Cares Breast Health Program - MHHA participates in Thompson Cares Breast Health Program, a service of Thompson Cancer Survival Center. This program provides women with opportunities to receive screening mammograms regardless of their ability to pay."Think Pink" Event - MHHA offers an annual "Think Pink" event to provide education and encourage women in the community to have annual mammograms.Jingle Run - MHHA has developed the Jingle Run, a 5k walk or run, to raise awareness about cancer screening and prevention and to raise money for the cancer patient support fund. The fund is used to assist patients with the cost of take-home medications, gas cards to get to treatments, a utility bill, and other costs while patients are unexpectantly out of work and undergoing cancer treatment.

Part I, Line 3c:In addition to the Federal Poverty Guidelines ("FPG"), Morristown-Hamblen utilizes an asset test as a factor in determining eligibility for free or discounted care. Ten percent (10%) of the patient/guarantor's net assets will be added to income for determination of total annual income. The guidelines for determining assets include, but are not limited to, primary dwelling (and attached land), automobiles, liquid assets, investments, farm land, business property, rental property, farm and/or business equipment including livestock and crops. All real property will be considered at fair market value. The values of both real and personal property will be reduced by any existing liabilities incurred by the applicant in obtaining the assets (net assets) with the exception of primary dwelling. Part III, Line 2:Bad debt expense on Part III, Line 2 is the amount recorded in the organization's financial statements. Discounts and payments on patient accounts are netted against bad debt. The allowance for bad debt is determined based on management's assessment of factors including the age of the accounts, historical collections data, and industry standards.
Part III, Line 3:At regular intervals, the Vice President of Revenue Cycle analyzes all self-pay accounts receivables to identify patients who may have been eligible for charity care during a particular period or year. Because this analysis does not yield a final determination of eligibility due to various factors including but not limited to charity applications still in process, failure of eligible patients to submit their charity application, and applications still under consideration, further analysis of the accounts comprising the self-pay accounts receivable is conducted. The accounts for which a patient was contacted to apply for charity care include an identifier; these charity-identified accounts are then categorized according to status. A ratio of the dollar amounts of those accounts whose charity application is in process or has been approved divided by the total self-pay accounts receivable is computed. This ratio is applied to the bad debt expense total to determine the estimated amount of the bad debt expense attributable to patients eligible for charity care according to the hospital's policy.
Part III, Line 4:Note B to the 2020 Audited Consolidated Financial Statements of the Covenant Health system, of which Morristown-Hamblen is a member, states: Patient accounts receivable are reported net of an estimated allowance for contractual adjustments and an allowance for implicit price concessions. Covenant's policy does not require collateral or other security for patient accounts receivable and Covenant routinely accepts assignment of, or is otherwise entitled to receive, patient benefits payable under health insurance programs, plans or policies.
Part III, Line 8:Costing Methodology: Morristown-Hamblen used a combination of sources in calculating Medicare allowable costs on Part III, Line 6 including its cost accounting system, general ledger accounting system, and facility-specific analyses and calculations.
Part III, Line 9b:Morristown-Hamblen utilizes a look-back method to determine amounts generally billed ("AGB") to establish the maximum amount that will be charged to individuals eligible under the financial assistance policy ("FAP") for emergency or other medically necessary care. Self-pay patients automatically receive a 72% discount on charges based on the facility's calculated AGB. Federal poverty guidelines are utilized in the determination of charity care eligibility. Patients who are unable to pay and have exhausted all sources of payment assistance may qualify for charity care. A sliding scale is used for extending charity care utilizing the income levels reported under the federal poverty guidelines. Patients/guarantors with income that falls below 200% of the federal poverty guidelines receive 100% charity care. Patients/guarantors with income of 201-300% of the federal poverty guidelines receive 90% charity care. For catastrophic illness, exceptions to income and asset limitations may be made on a case-by-case basis. The amount considered for charity will be based upon the evaluation of the patient's/guarantor's ability to pay.Morristown-Hamblen makes reasonable efforts to determine a patient's eligibility under the facility FAP. All collection activity will be halted if a charity application is received and will remain on hold until a determination is made by Morristown-Hamblen and communicated in writing to the responsible party. If the charity application is approved, all collection activities taken will be reversed and any amounts paid above the amount required will be refunded. Patients/guarantors who qualify for partial financial assistance are responsible for paying any balance remaining after the charity adjustment and third party payments. Morristown-Hamblen will not engage in extraordinary collection actions ("ECA") before it makes reasonable efforts to determine whether an individual who has an unpaid bill is eligible for financial assistance. Reasonable efforts to determine whether the individual who has an unpaid bill is eligible for financial assistance include notification to the individual of the financial assistance policy, contacting individuals who have submitted incomplete financial assistance applications regarding how to complete the application, and allowing a reasonable time period to do so, and reviewing completed applications for financial assistance eligibility. Morristown-Hamblen does not sell any accounts receivable accounts to outside firms. All accounts remain property of and under the policies set by Morristown-Hamblen. Morristown-Hamblen will not defer or deny medically necessary care because of nonpayment for previously provided care whether it was covered or not covered under the charity program.
Part VI, Line 2:While the CHNA is a formal means by which the health system assesses the needs of the community, there are many informal networks that give the Covenant Health hospitals a sense of community issues and needs. Morristown-Hamblen obtains additional community information through the service of its employees with the Hamblen County Health Council, the Chamber of Commerce, and Rotary Clubs, and through its community health outreach in the local shopping mall. Covenant Health, the parent organization, maintains community benefit professionals working year-round to ensure that all hospitals are assessing and addressing the needs of the communities served.
Part VI, Line 3:The FAP states that patients who are unable to pay or have exhausted all sources of payment assistance may be considered for charity care. Signage about the policy is posted in highly visible areas of the hospital, such as lobbies and registration areas. Information about the FAP is posted in patient booklets provided to inpatients during the registration process and communicated via patient billing statements. In addition, the FAP and application are available on the facility website. Morristown-Hamblen employs full-time financial counselors to assist patients in applying for TennCare and screening for financial assistance. Office hours and the phone number for the counselors are included on the signage. Wall signs informing patients about available financial assistance state the following: Covenant Health is committed to providing quality health services in a caring environment. It is the expressed philosophy of Covenant Health and its member hospitals that no one should be denied necessary medical care because of the inability to pay. In conjunction with this philosophy, counselors at Morristown Hamblen are available to assist you with your financial needs. Form 990, Part III, Line 4aIMPACT OF COVID-19 In March 2020, the outbreak of the coronavirus disease 2019 ("COVID-19") was declared a public health emergency published by the Department of Health and Human Services and declared a national pandemic by the World Health Organization. The COVID-19 pandemic has had a major impact on the operations of all hospitals and affiliates included within the Covenant Health System. Anticipating a surge in COVID-19 cases, the State of Tennessee ordered all elective surgeries and diagnostic procedures be cancelled or postponed. Throughout the Covenant Health System, all non-urgent surgeries, elective ambulatory visits, and diagnostic tests were placed on hold. Physical therapy clinics also began restricting patients. As fears of the pandemic rose, non-COVID patient volumes were down significantly in the hospitals. Decreased volumes created a temporary need to reduce employee hours. Covenant Health, as one of the largest employers in the region, recognized that a large reduction in force would have a negative impact not only on the individual employees but also an aggregate impact to the local economy. To the extent possible, many employees were redeployed into jobs that were needed to help screen patients and keep facilities functioning under new protocols. Working environments were changed to accommodate social distancing, and employee schedules were adjusted when schools turned to virtual learning. Beginning with the onset of the pandemic in the U.S., hospitals and clinics were forced to quickly respond with new procedures to prevent the spread of the virus. COVID units were established at each hospital. In many cases, the costs of Personal Protective Equipment ("PPE") increased by over ten times the costs prior to COVID. Government support, including the Coronavirus Aid, Relief, and Economic Security Act ("CARES Act"), provided essential funding to hospitals and other healthcare entities. CARES Act Provider Relief Funds and applicable state grants (included as government grants in Form 990, Part VIII) helped offset costs including the following: establishing a COVID unit at the hospitals, providing face shields for all patient-facing employees, adding screeners at all points of entry, adding COVID testing as an additional screen for patients exhibiting symptoms, subsidizing increased costs of PPE and lab supplies, and, eventually, coordinating and administering the COVID vaccine to employees and throughout the community. Federal and State funding was also utilized to cover numerous routine operating expenses at the beginning of the pandemic that could not be covered by reduced operating revenue caused by significant declines in volumes due to cancelled and postponed procedures. In addition, Covenant Health and its affiliates took advantage of the deferral of the employer portion of social security in 2020 (to be repaid in 2021 and 2022), freeing up cash needed to pay for increased COVID related expenses. From July to December 2020, the hospitals were challenged with an increased surge of COVID-19 cases within East Tennessee, which increased patient loads to almost maximum capacity. Knox County, Tennessee was labeled a coronavirus hot spot while all available hospital staff were working diligently to save lives and help reduce the spread of the virus in the community. Hospitals were adding beds and working to secure the needed equipment to serve COVID patients. Employment costs continued to rise as hospitals dealt with staff fatigue and turnover. The impacts of COVID-19 stretch well beyond 2020 as hospitals continue to deal with the challenges of the pandemic and its lasting impact on healthcare professionals. While it was a difficult and challenging year for healthcare organizations around the world, including Covenant Health, it was also a year rich in learning and abundant blessings. A strong balance sheet and innovative ways to meet the challenges presented by the coronavirus, coupled with generosity from the community meant that each of our hospitals could continue to deliver award-winning care throughout the East Tennessee community.
Form 990, Part VI, Section A, line 6Covenant Health is the sole member of Morristown-Hamblen Hospital Association.
Form 990, Part VI, Section A, line 7aCovenant Health's board of directors also serves as the board of directors for Morristown-Hamblen Hospital Association.
Form 990, Part VI, Section A, line 7bGovernance decisions of Morristown-Hamblen Hospital Association are subject to approval of the sole member, Covenant Health.
Form 990, Part VI, Section B, line 11bThe Covenant Health board of directors has delegated to its Finance Committee the full power and authority of the board to receive, review, approve, authorize the filing of, address and resolve audit or review issues, and otherwise take all action required or appropriate relative to IRS Forms 990 and other applicable tax filings. Prior to filing Form 990, management reviews with the committee the returns, discusses any material variations in the Form 990 as compared to those to be filed by the organization's affiliates, and answers any questions. At the conclusion of review and discussion, the Finance Committee approves the Form 990.
Form 990, Part VI, Section B, line 12cBoard members, officers, and employees are required to adhere to rules and policies regarding conflicts of interest. Covenant Health distributes a board-approved Code of Conduct to all employees. The Code covers among other subjects, conflicts of interest, and requires disclosure and resolution of employee conflicts of interest. Additionally, officers, employed physicians, and highly compensated employees are required to complete and sign an annual conflict of interest disclosure statement. Board members' conflicts of interests are addressed in the corporate bylaws, and board members are required to complete and sign a conflict of interest questionnaire on an annual basis. The Integrity-Compliance Office maintains records that contain conflict of interest information obtained from board members, officers, and employees. These records are available to be queried prior to engaging in business transactions. The Chief Compliance Officer reviews conflict of interest data. Based on this information, the officer determines what conflicts of interest exist at that point in time. Between times when surveys are collected, board members are expected to disclose any new conflicts that have arisen that affect pending board decisions. Officers and other employees are expected to report conflicts to the Chief Compliance Officer as they arise. Depending on the nature of the conflict and the circumstances surrounding the conflict and transaction, the Chief Compliance Officer, senior leadership, or the board of directors may review the conflict of interest. When appropriate, these parties may also consult legal counsel. Restrictions imposed on persons with a conflict of interest are determined on a case by case basis. For Covenant Health employees, the Chief Compliance Officer in conjunction with Covenant Health Executive Leadership determines how to appropriately manage the conflict. In any conflict involving a board member, such member is expected to recuse himself or herself from voting on matters related to the conflict.
Form 990, Part VI, Section B, line 15Overall compensation policies for Morristown-Hamblen Hospital Association, Covenant Health (Parent Company), and affiliates are set by the Compensation Committee of the board of directors, ("the Committee"), which is comprised of independent members of the board. The Covenant Health CEO is compensated by Covenant Health, and a detailed description of the compensation process is included on Covenant Health's Form 990. The process for Morristown-Hamblen Hospital Association's CEO is included in response to Part VI, Section B, line 15b. Salary ranges are based upon the recommendations of the Consultant made after comparison with similar jobs in similar size health systems across the nation. Bonuses are recommended by the CEO and approved by the Committee conditioned upon receipt of a written opinion from the Consultant that total compensation for the executive is reasonable and consistent with fair market value. Base salary is initially targeted at midpoint and may vary according to market conditions, performance, tenure, experience, special skills or qualifications, recruitment and retention challenges, and other relevant factors. Annual bonuses are designed to award 0-35% of base salary based upon system performance and accomplishment of certain targets established by the CEO. Base salary and annual bonus opportunities for other officers and key employees are based on targets established by historical compensation consultant data and the Covenant Health Compensation department. Salary ranges are based upon comparison with similar jobs in similar size health systems across the nation. Base salaries and bonuses are approved by Executive Leadership predicated upon performance, and are reasonable and consistent with fair market value. Base salaries are initially targeted at midpoint and may vary according to market conditions, performance, tenure, experience, special skills or qualifications, recruitment and retention challenges, and other relevant factors.
