| Part IV, line 2b | NOLHGA receives and disburses funds which are held on behalf of its members for various insolvency related transactions. Funds are deposited and maintained in bank escrow accounts at a federally insured financial institution and are collateralized by securities of the United States Government or agencies sponsored by the United States Government. Funds held in escrow are reported both as an asset and liability on NOLHGA's financial statements resulting in no impact to NOLHGA's net asset position. Interest earned on funds are credited to the respective accounts and utilized to offset insolvency expenses in connection with that insolvency or returned to the participating state guaranty associations. |

All officer compensation arrangements and changes are reviewed by the Compensation Committee. Following further discussion the Compensation Committee forwards their proposed recommendations to the Board of Directors for their review and approval. |
