DescThe Institute for the International Education of Students ("IES") was founded in 1950 and is a global organization with academic programs around the world. IES is a consortium comprised of selective U.S. colleges and universities and enrolls students annually in programs across Africa, Asia, Australia, New Zealand, Europe, South America, and North America. IES offers a broad-based curriculum that encompasses business and international studies; communications and media; fine and performing arts; humanities; science, engineering, and health; and social and behavioral sciences. IES strives to provide students the opportunity to promote their academic and social growth while fostering specific skills that lead to the development of intercultural understanding. Some of the most challenging opportunities in study abroad can be found outside the classroom. IES offers extensive internship, field study, volunteer, and cultural programs designed to complement the students' academic course work and cultivate an appreciation of cultures other than a student's own. IES Abroad educates students to become global leaders through premier study abroad and internship programs, which offer students worldwide experiential learning opportunities that meet the highest standards of academic quality. The Study Abroad Foundation ("SAF"), a branch of IES, located in Indianapolis, IN, facilitates foreign (China, Taiwan, Japan, and Korea) college-age students to enroll directly at premier universities and colleges located in Australia, Canada, France, Germany, Ireland, Italy, Korea, Mainland China, New Zealand, Spain, Switzerland, the United Kingdom, and the United States.Desc

Grants and scholarships are awarded to students via a direct reduction in their billed tuition for the term under which the grant or scholarship applies. Form 990, Part III, Line 3 Significant changes in program servicesIn response to the pandemic declaration, IES required all students to return home and ceased all in-person programming. IES suspended its Summer 2020, Fall 2020, and Winter/Spring 2021 schedule programs. For the following fiscal year, partial enrollment resumed in Summer 2021 (which bridges fiscal years), with Fall at roughly 38% of the Fall 2019 (the last normal operating session). Additionally, Spring 2022 is projected to be near normal operating levels. Nevertheless, for the currently reported fiscal year, these disruptions in normal operations have resulted in a decrease of tuition and fee revenue. As a result, IES has made efforts to reduce its operating expenses, including a reduction in personnel and continued negotiation of vendor contracts.
Form 990, Part VI, Line 1a Delegate broad authority to a committeeThe Executive Committee shall consist of the Chair of the Board of Directors, the two Vice Chairs, the President, and not more than two other Directors elected as a member of the Executive Committee by a majority of the Board of Directors. The Executive Committee shall have and exercise the authority of the Board of Directors in the management of the corporation except as limited by the provisions of the "General Not for Profit Corporation Act" of the State of Illinois or by any resolution duly adopted by the Board of Directors specifically reserving unto itself any stated acts, decisions or powers
Form 990, Part VI, Line 4 Significant changes to organizational documentsDuring the year, the organization made changes to it bylaws, as follows: -DIRECTORS TERMS CAN BE FOR A DURATION OR 3 OR 4 YEARS RATHER THAN JUST 3 YEARS, SUBJECT TO BOARD GOVERNANCE COMMITTEE APPROVAL. -BOARD COMMITTEE TERMS WERE INCREASED TO 2 YEARS FROM 1 YEAR.
Form 990, Part VI, Line 11b Review of form 990 by governing bodyPertinent MEMBERS OF IES MANAGEMENT AND THE CHAIR OF IES-ABROAD'S AUDIT COMMITTEE REVIEW THE FULL FORM 990 IN DETAIL, IN CONJUNCTION WITH THE ORGANIZATION'S INDEPENDENT PAID TAX PREPARERS. SUBSEQUENT TO THIS REVIEW, A FULL COPY OF THE FORM 990 IS DISTRIBUTED TO EACH MEMBER OF THE BOARD OF DIRECTORS PRIOR TO FILING WITH THE IRS.
Form 990, Part VI, Line 12c Conflict of interest policyIn accordance with IES Abroad's Conflict of Interest Policy, all staff officers, board members, and key employees must complete and submit an annual conflict of interest form and disclose all potential or actual conflicts of interest. The President/CEO reviews all officers' conflict of interest forms. The Human Resources Department also reviews the forms of all other key employees of IES Abroad. Additionally, the chair of the Board of Directors reviews the completed conflict of interest form submitted by the President/CEO each year. If it is discovered that a Board member has a conflict of interest during Board or committee deliberations, then the affected Board member must recuse himself or herself from the relevant issue, deliberations, and decision-making process. Other measures can occur in order to adequately manage a Board or staff member's conflicts of interest. Those measures involving Board members' conflicts can be determined by the Board Governance Committee and approved by the Board Executive Committee and the full Board as necessary. Individual conflict of interest forms completed by IES officers, key employees and Board members are placed in confidential files maintained by IES Abroad's Human Resources Department.
Form 990, Part VI, Line 15a Process to establish compensation of top management officialIES Abroad's Board Executive Committee, acting as the Board Compensation committee, reviews and approves the compensation of IES Abroad's Officers and key employees, which include its vice presidents, the President & CEO, and other officers, annually. The Board Executive Committee is comprised of the elected Board Chair, the two elected Vice Chairs, three other board members who serve on the Board Executive Committee along with the President/CEO. The Executive Committee reviews the external compensation information described in the following paragraphs to set compensation. The President/CEO recuses himself or herself from any discussions regarding the setting of his or her own compensation. At least every 3 years, IES Abroad retains an independent, outside compensation review firm to evaluate the compensation of the company's Vice Presidents, the President & CEO and the Officers' compensation. The independent firm uses market compensation studies, surveys and other resources to compare the compensation of IES Abroad's President & CEO, vice presidents and officers with positions similar (or identical) positions at other organizations with similar annual revenues, similar annual budgets, comparable annual enrollments, comparable numbers of employees, and comparable levels and complexities of job responsibilities, in order to establish a benchmark for reasonable market compensation. IES Abroad most recently retained an outside compensation review firm for a full review of the CEO's, vice president's and other officers' compensation in March 2020. Annually, in between external compensation reviews, IES reviews the performance of its President & CEO and each of its vice presidents and officers. Salary data for each position is aged annually based upon instructions provided in the independent third party study commissioned by IES Abroad. The Board Executive Committee recommends compensation for the President/CEO to the full Board of Directors that in turn votes on the President's/CEO's compensation on an annual basis. Compensation for all vice presidents is approved by the Executive Committee and presented to the full Board of Directors. Vice presidents and officers never take part in the discussions regarding the setting of their own compensation. The Chair of the Board of Directors documents the above process and submits it to the Department of Human Resources.
