| Explanation | ICSC is a professional organization exempt from federal income tax under Section 501 (c)(6) of the Code except for immaterial amounts of income considered by the Internal Revenue Service ("IRS") to be unrelated business taxable income, for which income taxes have been provided. Management has evaluated the Councils tax positions and has concluded that the Council had taken no uncertain tax positions that require adjustments to the consolidated financial statements. The Tax Cuts and Jobs Act enacted in the U.S. in December 2017 amended the Code and marked the largest overhaul of U.S. tax policy in decades.
