Any person failing to furnish the form may not participate in any board or committee meeting and may be subject to dismissal from the board for any continuing failure. The form is reviewed by the secretary. If a conflict exists, the transaction that gave rise to the conflict shall be presented by the interested person and investigated by the remaining disinterested persons to see if a more appropriate transaction is available. The interested person is not present during the discussion of, and the vote on, the transaction that results in the conflict of interest. |
| Form 990, Page 6, Part VI, Section B, Line 15: | Compensation was reviewed in 2007 and approved by the board of trustees of State Institutions of Higher Learning as documented in their board meeting; this compensation package was modified in 2010 to include incentive compensation. The total compensation package is reviewed by the Mississippi State University Foundation's (MSU Foundation) Executive Committee and its President, the President of Mississippi State University, and the Human Resources Department at Mississippi State University. Additionally, the MSU Foundation annually participates in a national compensation study conducted by McConnell & Company; data from this study is utilized to insure the reasonableness of the total compensation package. |
