SCHEDULE H, PART V, SECTION B, QUESTION 3EAll Hospital Facilities --------------------- The significant health needs included in the Community Health Needs Assessment ("CHNA") for each of the hospital facilities are a prioritized description of the significant health needs of the community.
SCHEDULE H, PART V, SECTION B, QUESTION 3IHACKENSACKUMC AT PASCACK VALLEY AND HACKENSACKUMC MOUNTAINSIDE (FACILITY REPORTING GROUPS #2 & #3) ------------------------------------------------------------------------- These are the first CHNA's conducted for these organizations so this question is not applicable.
SCHEDULE H, PART V, SECTION B, QUESTION 5HACKENSACKUMC AND HACKENSACKUMC AT PASCACK VALLEY (FACILITY REPORTING GROUPS #1 & #2) -------------------------------------------------------------------- The organizations conducted a CHNA through the Community Health Improvement Partnership of Bergen County ("CHIP"). A steering committee made up of senior representatives from each hospital that participated in the CHNA and the Bergen County Department of Health Services ("BCDHS") guided this project. An advisory committee, which included additional staff from the participating hospitals and BCDHS, as well as representatives from local health departments and a number of Bergen County's leading health and social service organizations, provided additional input. The combined expertise, knowledge, and commitment of the members of these committees were vital to this project. To solicit input from key informants, those individuals who have a broad interest in the health of the community, an Online Key Informant Survey was implemented as part of this process. A list of recommended participants was provided by the CHIP; this list included names and contact information for physicians, public health representatives, other health professionals, social service providers, and a variety of other community leaders. Potential participants were chosen because of their ability to identify primary concerns of the populations with whom they work, as well as of the community overall. Key informants were contacted by email, introducing the purpose of the survey and providing a link to take the survey online; reminder emails were sent as needed to increase participation. The survey was available to complete for 8.5 weeks. In all, 75 community stakeholders in Bergen County took part in the Online Key Informant Survey, as outlined below: - Bergen County Cancer Education and Early Detection - Bergen County Department of Health Services - Bergen County Department of Human Services - Bergen County School Nurses Association - Bergen County Special Services - Bergen County United Way - Bergen County Youth Services Commission - Bergen Regional Medical Center - Bergen Volunteer Center - Bergenfield/Hackensack Health Departments - Brightview Senior Living - CancerCare - Care Plus Medical Services - Center for Dentistry at HUMC - Children's Aid and Family Services - Christian Health Care Center - Edgewater Office of Public Health/Health Department - Englewood Health Department - Fair Lawn Senior Center - Friends to Friends Community Church - Geriatric Services, Inc. - Gold's Gym - Hackensack University Medical Center - HARP of Hackensack University Medical Center - Healthy Families North Jersey - High Focus Centers - Holy Name Medical Center - Jewish Family Service of Bergen and North Hudson - Metropolitan African Methodist Episcopal Zion Church - Narcotics Anonymous - North Hudson Community Action Corp Health Center - Northern Valley Adult Day Care - Paramus Board of Health and Human Services - Partnership for Maternal and Child Health of North NJ - Pascack Valley Meals on Wheels - Senior Source - Teaneck Health Department/Social Services - Teaneck Police Department - Community Health Improvement Partnership (CHIP) of Bergen County - Valley Health System - Valley Home Care - West Bergen Mental Healthcare Through this process, input was gathered from several individuals whose organizations work with low-income, minority populations or other medically underserved populations. Minority/medically underserved populations represented: African-Americans, Asians, children, day laborers, the disabled, elderly population, foster children, those with high deductibles, Hispanics, the homeless, immigrants, Koreans, residents with low education level, low income residents, Medicare/Medicaid recipients, the mentally ill, Mentally Ill Chemically-Affected ("MICA") clients, Native Americans, non-English speaking persons, obese individuals, students attending schools in low income areas, teenage mothers, undocumented individuals, unemployed residents, the uninsured/underinsured and veterans. In the online survey, key informants were asked to rate the degree to which various health issues are a problem in their own community. Follow-up questions asked them to describe why they identify problem areas as such, and how these might be better addressed. HACKENSACKUMC MOUNTAINSIDE (FACILITY REPORTING GROUP #3) -------------------------------------------------------- Beginning in August 2015, HackensackUMC Mountainside undertook a comprehensive CHNA to evaluate the health needs of individuals living in the hospital service area within Essex County in New Jersey. The purpose of the assessment was to gather current statistics and qualitative feedback on the key health issues facing county residents. HackensackUMC Mountainside contracted with Holleran, a research firm based in Lancaster, Pennsylvania, to execute this project. The completion of the CHNA enabled HackensackUMC Mountainside to take an in-depth look at its community. The findings from the assessment were utilized by HackensackUMC Mountainside to prioritize public health issues and develop a community health implementation plan focused on meeting community needs. HackensackUMC Mountainside is committed to the people it serves and the communities where they reside. Healthy communities lead to lower health care costs, robust community partnerships, and an overall enhanced quality of life. This CHNA Final Summary Report serves as a compilation of the overall findings of each research component. Community engagement and feedback were an integral part of the CHNA process. HackensackUMC Mountainside sought community input through key informant interviews with community leaders and partners, an online community member survey available to all residents for one month, and inclusion of community leaders in the prioritization and implementation planning process. Public health and health care professionals shared knowledge and expertise about health issues, and leaders and representatives of non-profit and community-based organizations provided insight on the community, including the medically underserved, low income, and minority populations. Key informant participants represented the following: - Alaris Health Center - ARC of Essex County - Bloomfield Health Officer - Bloomfield Volunteer Emergency Squad - Brookdale Shop Rite Mayor of Montclair - COPE Center, Inc. - Councilmen of Glen Ridge - Doctors of Family Medicine - Doctors of Internal Medicine - Gates Manor Nursing Home - HOMEcorp - Homesharing - Human Needs Food Pantry - Job Haines Home - Keil's Pharmacy - Lifelong Montclair - Mayor of Glen Ridge - Mayor of Montclair - Montclair Emergency Services for the Homeless - Montclair Health Department - Montclair Neighborhood Development Corporation - Montclair YMCA - Nursing Supervisor of Bloomfield Township - Partners for Health - Public Health Coordinator - Public Health Nurse of Nutley Township - Salvation Army - Township Clerk of Montclair Through this process, input was gathered from several individuals whose organizations work with low-income, minority populations or other medically underserved populations. Minority/medically underserved populations represented: African-Americans, Asians, children, day laborers, the disabled, elderly population, foster children, those with high deductibles, Hispanics, the homeless, immigrants, Koreans, residents with low education level, low income residents, Medicare/Medicaid recipients, the mentally ill, MICA clients, Native Americans, non-English speaking persons, obese individuals, students attending schools in low income areas, teenage mothers, undocumented individuals, unemployed residents, the uninsured/underinsured and veterans. In the online survey, key informants were asked to rate the degree to which various health issues are a problem in their own community. Follow-up questions asked them to describe why they identify problem areas as such, and how these might be better addressed.

SCHEDULE H, PART I, LINE 3CTHE HOSPITAL FACILITIES OFFER A VARIETY OF FINANCIAL ASSISTANCE PROGRAMS TO HELP UNINSURED AND UNDERINSURED PATIENTS. THE FINANCIAL ASSISTANCE PROGRAMS INCLUDED BELOW PROVIDE FREE OR DISCOUNTED EMERGENCY OR OTHER MEDICALLY NECESSARY HEALTHCARE SERVICES TO INDIVIDUALS IF THEY MEET THE ESTABLISHED CRITERIA AND ARE DETERMINED TO BE ELIGIBLE. IN ADDITION TO THE FEDERAL POVERTY GUIDELINES, THE ORGANIZATIONS USE OTHER FACTORS IN DETERMINING ELIGIBILITY CRITERIA FOR FREE AND DISCOUNTED CARE. OTHER FACTORS TO DETERMINE ELIGIBILITY INCLUDE: - ASSET LEVEL; - MEDICAL INDIGENCY; - INSURANCE STATUS; AND - UNDERINSURANCE STATUS.
SCHEDULE H, PART I, LINE 6AHACKENSACKUMC IS AN AFFILIATE WITHIN HACKENSACK MERIDIAN HEALTH; A TAX-EXEMPT INTEGRATED HEALTHCARE DELIVERY NETWORK. HACKENSACK MERIDIAN HEALTH, INC. ("HMH") IS THE TAX-EXEMPT PARENT OF THE NETWORK. HACKENSACK MERIDIAN HEALTH PREPARES AN ANNUAL COMMUNITY BENEFIT REPORT WHICH IS MADE AVAILABLE TO THE PUBLIC ON ITS WEBSITE: WWW.HACKENSACKMERIDIANHEALTH.ORG. AT HACKENSACK MERIDIAN, WE RECOGNIZE THAT THE CARE WE PROVIDE THROUGH OUR HOSPITALS AND PARTNER COMPANIES REACHES FAR BEYOND THE BOUNDARIES OF OUR FACILITIES. OUR MISSION TO IMPROVE THE HEALTH STATUS OF THE COMMUNITIES WE SERVE IS AT THE HEART OF OUR CHARITABLE ROOTS. COMMUNITY-BASED PREVENTION AND WELLNESS ACTIVITIES WILL PLAY A CRITICAL ROLE IN KEEPING OUR LOCAL COMMUNITIES HEALTHY AND KEEPING HEALTH CARE COSTS DOWN. HACKENSACK MERIDIAN REMAINS COMMITTED TO STRENGTHENING ITS MISSION. HACKENSACK MERIDIAN'S 2017 COMMUNITY BENEFIT REPORT CAN BE FOUND ONLINE AT WWW.HACKENSACKMERIDIANHEALTH.ORG OR BY REQUEST THROUGH ANY ONE OF OUR FACILITIES.
SCHEDULE H, PART I, LINE 7HACKENSACK UNIVERSITY MEDICAL CENTER USES WORKSHEET 2, RATIO OF PATIENT CARE COST TO CHARGES, IN THE IRS FORM 990 SCHEDULE H INSTRUCTIONS TO CALCULATE THE COST TO CHARGE RATIO. As part of the hospital's mission support, the organization subsidizes the loss of its non-profit physician practices so that they can provide medically necessary healthcare services to the community. Schedule H, Part I, Line 7g includes this mission support as part of the hospital's subsidized services.
SCHEDULE H, PART III, LINE 2BAD DEBT EXPENSE WAS CALCULATED USING THE PROVIDERS' BAD DEBT EXPENSE FROM FINANCIAL STATEMENTS, NET OF ACCOUNTS WRITTEN OFF AT CHARGES.
SCHEDULE H, PART III, LINE 3THE METHODOLOGY USED BY THE ORGANIZATION TO ESTIMATE THE AMOUNT OF ITS BAD DEBT EXPENSE ATTRIBUTABLE TO PATIENTS ELIGIBLE UNDER THE ORGANIZATION'S FINANCIAL ASSISTANCE POLICY WAS TO APPLY ITS COST TO CHARGE RATIO TO TOTAL SELF-PAY GROSS CHARGES. Bad debt should be included as a community benefit because the organization provides much needed health care services indiscriminately to the community-at-large without regard to whether the patient has insurance or the ability to pay.
SCHEDULE H, PART III, LINE 4THE ORGANIZATION RECEIVED AN AUDITED CONSOLIDATED FINANCIAL STATEMENT. THE BAD DEBT FOOTNOTES TO THESE AUDITED FINANCIAL STATEMENTS OF HACKENSACK MERDIAN HEALTH, INC. ARE INCLUDED ON PAGES 15 AND 18.
SCHEDULE H, PART III, LINE 8The organization believes that its Medicare shortfall are community benefits because, as a hospital, it is stepping up to carry the burden of the government, by promoting health of the community as a whole and providing medically necessary healthcare services to all individuals in a non-discriminatory manner without regard to race, color, creed, sex, national origin, religion or ability to pay.
SCHEDULE H, PART VI; QUESTION 2IN ADDITION TO THE INFORMATION REPORTED IN SCHEDULE H, PART V, SECTION B, QUESTIONS 1 THROUGH 12, THE ORGANIZATIONS ASSESS THE HEALTH CARE NEEDS OF THE COMMUNITIES THEY SERVE AS FOLLOWS: 1. ACCESS TO CARE/SERVICES IS ASSESSED REGULARLY TO IDENTIFY OPPORTUNITIES TO IMPROVE NETWORK ADEQUACY RELATIVE TO THE AVAILABILITY OF MEDICAL MANPOWER AND SITES OF SERVICE; 2. UTILIZATION IS TRACKED BY HACKENSACK MERIDIAN HEALTH ("HMH") OPERATIONAL LEADERS RELATIVE TO CAPACITY AND ABILITY TO ACCOMMODATE DEMAND. WHERE POTENTIAL CAPACITY AND THROUGHPUT CONCERNS ARE IDENTIFIED, FURTHER ASSESSMENTS ARE PERFORMED AND POTENTIAL SOLUTIONS ARE IDENTIFIED; AND 3. FOR KEY SERVICES, HMH HAS DEVELOPED CARE TRANSFORMATION SERVICE TEAMS TO ACCESS SERVICE-SPECIFIC NEEDS AND DEVELOP PLANS TO ADDRESS.
SCHEDULE H, PART VI; QUESTION 3UNDER ITS CHARITY CARE POLICIES, THE THREE HOSPITAL FACILITIES INFORM AND EDUCATE PATIENTS AND PERSONS WHO MAY BE BILLED FOR PATIENT CARE ABOUT THEIR ELIGIBILITY FOR ASSISTANCE UNDER FEDERAL, STATE OR LOCAL GOVERNMENT PROGRAMS BY MEETING WITH A HOSPITAL FINANCIAL AID SPECIALIST. THE HOSPITAL FINANCIAL AID SPECIALIST ALSO ANSWERS ALL INCOMING CALLS AND MAILS OUT THE NEW JERSEY HOSPITAL CARE BROCHURES UPON REQUEST. THEY WILL ALSO INFORM PATIENTS OF THE INFORMATION AVAILABLE ONLINE ON THE HOSPITALS' WEBSITES IN CASE THE PATIENT WISHES TO APPLY FOR FINANCIAL ASSISTANCE. THE HOSPITAL FINANCIAL AID RECEPTIONIST WILL PROCESS ALL REQUESTS FOR CHARITY CARE FROM PROSPECTIVE APPLICANTS AND SECURE THE PROPER DOCUMENTATION THAT FOLLOWS THE STATE DEPARTMENT OF HEALTH GUIDELINES FOR FINANCIAL ASSISTANCE. ONCE APPROVED BASED ON INCOME/ASSET GUIDELINES, THEY WILL PREPARE A DETERMINATION OF CHARITY CARE NOTICE BASED ON THE RESULTS OF THE CALCULATIONS AND SEND IT TO THE PATIENT.

SCHEDULE H, PART VI; QUESTION 5Convenient Care ============= CityMD --------- In partnership with New York-based CityMD, eight additional urgent care centers opened in Northern New Jersey in 2017. CityMD received the NCQA Patient-Centered Connected Care Recognition and is one of only three urgent care organizations in the entire country to receive this prestigious award. Accountable Care Organizations ------------------------------------------ For the second year in a row, Becker's Healthcare named Hackensack Meridian Health's accountable care organizations ("ACO's") to its 2017 list of 110 ACO's to Know. The Network's Medicare ACO's and clinically integrated network all marked major achievements this past year. The Hackensack Alliance ACO ranked third in the nation for its savings and performance for the 2016 performance year and generated more than $50 million in savings, its most impressive performance to date and the fourth year in a row that the ACO reduced health care spending while providing high quality care. Innovation ======== Hackensack Meridian Health and the New Jersey Innovation Institute, a subsidiary of New Jersey Institute of Technology ("NJIT") opened the Agile Strategies Lab, the first incubator of its kind for health care advances in New Jersey in August 2017. The lab, located on the NJIT campus in Newark, is designed to help create and launch the next wave of problem-solving in health care through better devices, improved technology and more efficient services to provide a higher quality of care, lower costs, and an enhanced patient experience. The concept is known as the Bear's Den. Ten companies have already pitched ideas to a panel of experts including venture capitalists, patent attorneys and a variety of physicians and network experts. While many of the nation's major academic medical centers have such incubators, this venture is truly unique because it brings together entrepreneurs and innovators from life sciences, engineering and technology, not just the clinical realm. Hackensack Meridian Health has committed $25 million, a new revenue stream to help companies develop trailblazing products and services. This seed money will help launch ideas to the point where they can become viable and receive financing through venture capitalists. Partnerships ========== The Memorial Sloan Kettering-Hackensack Meridian Health partnership brings together unparalleled cancer care experts to find more cures faster while ensuring access to the highest-quality, personalized cancer care when and where people need it. With deep local roots, Memorial Sloan Kettering and Hackensack Meridian Health treat one in five New Jersey residents who are diagnosed with cancer. By working together to develop standard protocols across all of our sites in the state, we share an unrivaled ability to accelerate discoveries, advance the continuum of cancer care and create new hope for patients in New Jersey and beyond. Cancer Science Today is a new series of educational events made possible through our partnership, and features interactive community talks from leading oncology experts. Guests are given the opportunity to ask questions and learn about exciting new advances and breakthroughs in cancer care including topics such as genetics, precision medicine and immuno-oncology. These events are just one way Memorial Sloan Kettering and Hackensack Meridian Health are working together to provide new resources for individuals and families who are impacted by cancer. In May 2017, St. Joseph's Healthcare System and Hackensack Meridian Health announced a home care and hospice partnership. The two organizations formed a jointly owned home health services agency and hospice services agency to serve patients and families across Bergen, Passaic and parts of Morris County. Bringing together these first-class organizations will set a new standard of excellence in home health services, providing a high-quality, highly coordinated and professional continuum of care to patients in the comfort of their homes. In October 2017, IBM Watson Health, Cancer Outcomes Tracking and Analysis ("COTA"), and Hackensack Meridian Health collaborated to pilot a combination of IBM Watson and Cota technology for the first time - bringing Cota's value based care and real-world data into IBM's Watson for Oncology clinical decision support tool. Watson for Oncology was used by oncologists to help identify and rank treatment options, providing links to supporting evidence, empowering oncologists with unparalleled insights as they consider the right course for their patient. Cota derived abstracted and benchmark data and embedded patient classification into Watson for Oncology to analyze meaning and context from clinical notes, reports and key patient information within the context of treatment planning. Hackensack Meridian Health remains committed to improving the health of not only its patients but of its entire community, and is proud of its many sports and organizational partnerships which include: the New York Giants, the New York Red Bulls, the Northern Trust PGA, the New Jersey Devils, Brooklyn Nets, and key Madison Square Garden properties including the New York Knicks, New York Liberty, the Garden of Dreams and Radio City Music Hall. During the summer of 2017, Hackensack Meridian Health also kicked off a new sponsorship of the PNC Bank Arts Center's Summer Concert Series. This partnership helped us connect with thousands of community members during the summer months. In September 2017, Hackensack Meridian Health also announced the launch of a new partnership with radio giant Cumulus Media in the heart of Manhattan to create the Hackensack Meridian Health Stage 17 Performance Studio, a new venue to promote the network's highly ranked care as well as creating a site for expert health panels, charity events and other network activities. We also unveiled Life Years Ahead Radio, a station especially curated by Pandora, which features pop, rock and country hits by recording artists and emerging artists. Continuing Medical Education ======================== A Highly Reliable Organization --------------------------------------- Training health care professionals to improve quality and patient safety is a top priority at Hackensack Meridian Health. To err is human. To reduce errors through the practice of mindfulness and shared accountability: that is high reliability. Professionals throughout the organization lead special highly reliable organization training sessions for all team members. High reliability is not a new concept but its adoption in health care is only among the innovative. Hackensack Meridian Health is one of those innovators, with an approach that brings high reliability and the experience together. We believe in quality, safety, empathy, and respect. And, we also share the belief that with highly reliable organization as our operating system, the outcome will be a safe and exceptional experience, every patient, every place, every time. End of Life Training ------------------------- This course is designed to assist physicians and other health care professionals in better serving our patients and their families with managing end-of-life care. Medical, legal and ethical concerns are addressed and medical and legal concerns regarding Practitioner Orders for Life Sustaining Treatment are also addressed. Interactive discussions examine this treatment, advance directives and end-of-life. Blood Management -------------------------- Transfusion-related acute lung injury and transfusion-associated circulatory overload are the #1 and #2 causes of transfusion-associated mortality reported to the FDA. Physicians, nurses and other medical staff in the areas of oncology, cardiology, trauma and pathology were trained in blood management and after completion of the course, able to identify the major adverse events of blood transfusions, properly recognize signs and symptoms of adverse events associated with blood transfusions, understand how to properly communicate between the clinical staff and the transfusion service and know when to stop the blood transfusion. This is critical to transfusion associated sepsis. Community Events and Sponsorships ============================== In an effort to enhance the health and well-being of our population, Hackensack Meridian Health is proud to participate in community events that bring awareness to important health issues. Below represents a small sample of the many events our team members, including physicians, nurses and others attend each year. Fitness & Wellness Expos --------------------------------- Hackensack University Medical Center and HackensackUMC Fitness & Wellness Powered by the Giants played a substantial role at the NBC4/Telemundo Health & Fitness Expo at MetLife Stadium. The free event was attended by thousands, offering screenings and education. Jersey Shore University Medical Center also participated in the National Women's Health & Fitness Day in

SCHEDULE J, PART I; QUESTION 1HMH HAS A DETAILED AND THOROUGH CORPORATE POLICY ON REIMBURSEMENT OF BUSINESS EXPENSES, INCLUDING EXPENSES OF TRAVEL FOR BUSINESS PURPOSES. THE HMH EXPENSE REIMBURSEMENT POLICY GENERALLY PROHIBITS FIRST CLASS TRAVEL, BUT ALLOWS AN UPGRADE IN VERY LIMITED CIRCUMSTANCES. HMH ENCOURAGES SENIOR LEADERS TO UTILIZE THE TRAIN NETWORK FOR TRAVEL WHEN APPROPRIATE. HMH'S POLICY ALLOWS FOR BUSINESS CLASS TRAVEL (WHICH CAN BE THE EQUIVALENT OF FIRST CLASS TRAVEL, WHERE BUSINESS CLASS IS THE ONLY CLASS ABOVE ECONOMY/COACH), IF THE TRAVEL SEGMENT EXCEEDS TEN HOURS OF SCHEDULED FLYING TIME OR IF APPROVED BY ONE OR BOTH CO-CEOS. THE BUSINESS CLASS AFFORDS THE TRAVELER THE ABILITY TO WORK ON CONFIDENTIAL HMH RELATED BUSINESS DURING TRAVEL TIME. UNLIKE BUSINESS CLASS, TRAVELING COACH DOES NOT PROVIDE THE EXECUTIVE WITH A REASONABLE MEANS TO WORK ON HMH BUSINESS DURING TRAVEL TIME. NO AMOUNTS HAVE BEEN INCLUDED AS REPORTABLE COMPENSATION AS THESE TRAVEL EXPENSES WERE INCURRED FOR BUSINESS PURPOSES. BUSINESS CLASS TRAVEL (WHERE THE EQUIVALENT OF FIRST CLASS TRAVEL) WAS PROVIDED TO FIVE SENIOR EXECUTIVES AND TWO BOARD MEMBERS. HMH PROVIDES FOR BOARD MEMBER AND CO-CEO SPOUSAL TRAVEL FOR CRITICAL BUSINESS EVENTS THAT ARE ORDINARY AND NECESSARY. THE BOARD MEMBERS AND CO-CEOS SPEND AN EXTENSIVE AMOUNT OF TIME AWAY FROM THEIR FAMILIES. CORE FORM, PART III; LINE 4DPROVIDING VARIOUS OTHER MEDICALLY NECESSARY HEALTHCARE SERVICES TO ALL INDIVIDUALS IN A NON-DISCRIMINATORY MANNER REGARDLESS OF RACE, COLOR, CREED, SEX, NATIONAL ORIGIN OR ABILITY TO PAY.
CORE FORM, PART VI, SECTION A; QUESTIONS 6 & 7HACKENSACK MERIDIAN HEALTH, INC. ("HMH") IS THE SOLE MEMBER OF HMH HOSPITALS CORPORATION. HMH HAS THE RIGHT TO ELECT THE MEMBERS OF THE ORGANIZATION'S BOARD OF TRUSTEES AND HAS CERTAIN RESERVED POWERS AS DEFINED IN THE ORGANIZATION'S BYLAWS.
CORE FORM, PART VI, SECTION B; QUESTION 11BThis organization is a subsidiary of Hackensack Meridian Health, Inc. ("HMH"); a tax-exempt integrated healthcare delivery network. HMH's finance personnel prepared the Federal Form 990, which was then reviewed by other appropriate internal staff for accuracy. HMH retained a firm of independent certified public accountants with experience and expertise in health care and not-for-profit tax return preparation to review and file the Form 990. HMH's Board of Trustees designated the Audit and Compliance Committee ("ACC") to review the Form 990 of HMH's subsidiaries. The Form 990 was provided to the members of the ACC for review. The Form 990 was then provided to each voting member of HMH's governing body, its Board of Trustees, prior to filing with the Internal Revenue Service. The HMH Board of Trustees has the final governing authority over the subsidiaries of HMH.
CORE FORM, PART VI, SECTION B; QUESTION 12CHACKENSACK MERIDIAN HEALTH, INC., THE TAX-EXEMPT PARENT ORGANIZATION OF HACKENSACK MERIDIAN HEALTH, A TAX-EXEMPT INTEGRATED HEALTH CARE DELIVERY NETWORK, HAS ADOPTED A NETWORK-WIDE CONFLICT OF INTEREST POLICY WHICH IS APPLICABLE TO ALL OF ITS SUBSIDIARY ORGANIZATIONS. THE ORGANIZATIONS REGULARLY MONITOR AND ENFORCE COMPLIANCE WITH THE NETWORK'S CONFLICT OF INTEREST POLICY. ANNUALLY, ALL MEMBERS OF THE BOARD OF TRUSTEES, OFFICERS AND KEY EMPLOYEES OF EACH ORGANIZATION ARE REQUIRED TO REVIEW THE EXISTING CONFLICT OF INTEREST POLICY AND COMPLETE A QUESTIONNAIRE WITH RESPECT TO ANY APPLICABLE TRANSACTIONS AND RELATIONSHIPS. THE COMPLETED QUESTIONNAIRES ARE RETURNED TO THE NETWORK'S CHIEF COMPLIANCE OFFICER FOR REVIEW. THE CHIEF COMPLIANCE THEN PREPARES A SUMMARY OF THE COMPLETED QUESTIONNAIRES, AND PRESENTS THE SUMMARY TO THE NETWORK'S GOVERNANCE AND BOARD DEVELOPMENT COMMITTEE FOR ITS REVIEW, DISCUSSION AND ACTION (IF NEEDED). DURING THE YEAR, THE CHIEF COMPLIANCE OFFICER IN CONJUNCTION WITH THE GENERAL COUNSEL ALSO MONITORS ON-GOING TRANSACTIONS IN LIGHT OF THE SUMMARY TO ENSURE THAT ANY POTENTIAL CONFLICTS OF INTEREST ARE APPROPRIATELY HANDLED IN COMPLIANCE WITH THE POLICY.
CORE FORM, PART VI, SECTION B; QUESTION 15BHMH HOSPITALS CORPORATION IS AN AFFILIATE WITHIN A TAX-EXEMPT INTEGRATED HEALTH CARE DELIVERY NETWORK IN WHICH HACKENSACK MERIDIAN HEALTH, INC. IS THE TAX-EXEMPT PARENT ORGANIZATION. THE EXECUTIVE AND PHYSICIAN COMPENSATION COMMITTEE ("COMMITTEE") OF HACKENSACK MERIDIAN HEALTH, INC. IS RESPONSIBLE FOR REVIEWING THE EXECUTIVE COMPENSATION OF THE PRESIDENT AND KEY EMPLOYEES (SENIOR MANAGEMENT) OF THE PARENT AND ALL OF THE SUBSIDIARY ORGANIZATIONS. THE COMMITTEE HAS ADOPTED A WRITTEN EXECUTIVE COMPENSATION PHILOSOPHY, APPROVED BY THE GOVERNING BODY, WHICH IT FOLLOWS WHEN IT REVIEWS AND APPROVES COMPENSATION AND BENEFITS. THE EXECUTIVE COMPENSATION PHILOSOPHY RECOGNIZES THE SIZE AND COMPLEXITY OF THE HEALTH CARE NETWORK AND THE CRITICAL NEED TO HAVE AND RETAIN EXECUTIVES THAT CONSISTENTLY DEMONSTRATE SUPERIOR LEVELS OF PERFORMANCE SO THAT THE HEALTH NETWORK CAN FULFILL ITS CHARITABLE MISSION AND STRATEGIC OBJECTIVES. THE COMMITTEE REVIEWS THE "TOTAL COMPENSATION", INCLUDING BOTH CURRENT AND DEFERRED COMPENSATION AND ALL EMPLOYEE BENEFITS, BOTH QUALIFIED AND NON-QUALIFIED, ON AT LEAST AN ANNUAL BASIS TO ENSURE THAT THE "TOTAL COMPENSATION" OF THE CHIEF EXECUTIVE OFFICER(S), OTHER OFFICERS AND EACH SENIOR MANAGEMENT KEY EMPLOYEE IS REASONABLE. TO ASSIST WITH THE REVIEW, THE COMMITTEE ENGAGES THE SERVICES OF A NATIONALLY RECOGNIZED INDEPENDENT CONSULTING FIRM SPECIALIZING IN EXECUTIVE COMPENSATION FOR NOT-FOR-PROFIT HEALTH CARE ORGANIZATIONS, AND RECEIVES NATIONAL AND REGIONAL MARKET DATA FOR COMPARABLE ORGANIZATIONS, A REPORT SUMMARIZING SUCH DATA, AND AN OPINION LETTER RELATING TO THE REASONABLENESS OF EACH EXECUTIVE'S TOTAL COMPENSATION AND BENEFITS. ADDITIONALLY, A SENIOR MEMBER OF THE CONSULTING FIRM ATTENDS THE COMMITTEE'S MEETINGS TO PROVIDE INFORMATION AND TO RESPOND TO QUESTIONS BY THE MEMBERS OF THE COMMITTEE. THE INDEPENDENT COMMITTEE UTILIZES THE OUTSIDE MARKET DATA COMPARABILITY AND, BASED UPON THE EXECUTIVE COMPENSATION PHILOSOPHY, THE ORGANIZATION'S PERFORMANCE, BUSINESS JUDGMENT CONSIDERATIONS, AND THE INDIVIDUAL'S PERFORMANCE, REVIEWS AND APPROVES COMPENSATION FOR EACH INDIVIDUAL. GUIDED AT EACH MEETING BY OUTSIDE COUNSEL TO THE COMMITTEE, THE COMPREHENSIVE REVIEW PROCESS UTILIZED BY THE COMMITTEE IS INTENTIONALLY STRUCTURED TO QUALIFY FOR THE REBUTTABLE PRESUMPTION UNDER SECTION 4958 OF THE INTERNAL REVENUE CODE OF 1986: 1. THE COMPENSATION ARRANGEMENT IS APPROVED IN ADVANCE BY THE COMMITTEE, WHICH IS AN "AUTHORIZED BODY" OF THE ORGANIZATION COMPOSED ENTIRELY OF INDIVIDUALS WHO DO NOT HAVE A CONFLICT OF INTEREST WITHIN THE MEANING OF THE IRS REGULATIONS UNDER SECTION 4958; 2. THE COMMITTEE OBTAINS AND RELIES UPON "APPROPRIATE DATA AS TO COMPARABILITY" (FOR COMPARABLE POSITIONS AT SIMILAR HEALTHCARE ORGANIZATIONS) PRIOR TO MAKING ITS DETERMINATION, WHICH COMPARABILITY DATA IS PROVIDED AND ANALYZED BY THE COMMITTEE'S INDEPENDENT CONSULTING FIRM WITH EXPERTISE IN THE AREA OF NOT-FOR-PROFIT HEALTH CARE EXECUTIVE COMPENSATION; AND 3. THE COMMITTEE THOROUGHLY DOCUMENTS ITS REVIEW AND APPROVAL PROCESS, AS WELL AS THE BASIS FOR ITS APPROVALS, CONCURRENTLY WITH MAKING THAT DETERMINATION, AGAIN AS DESCRIBED IN THE REGULATIONS. AS APPROPRIATE, THE COMMITTEE SUPPLEMENTS THE COMPARABILITY DATA WITH OTHER OBJECTIVE FACTORS DESIGNED TO ENSURE THE REASONABLENESS OF THE COMPENSATION PAID, INCLUDING AN ANALYSIS OF INDIVIDUAL GOALS AND OBJECTIVES, ORGANIZATIONAL PERFORMANCE, PERSONNEL REVIEWS, EVALUATIONS, SELF-EVALUATIONS, AND WRITTEN OFFERS FROM COMPETING ORGANIZATIONS. THE COMPENSATION ARRANGEMENTS APPROVED BY THE COMMITTEE ARE REPORTED IN EXECUTIVE SESSION TO THE FULL BOARD BY THE CO-CHAIRS OF THE COMMITTEE.
CORE FORM, PART VI, SECTION C; QUESTION 19HMH HOSPITALS CORPORATION HAS ISSUED TAX-EXEMPT BONDS TO FINANCE VARIOUS CAPITAL IMPROVEMENT PROJECTS, RENOVATIONS AND EQUIPMENT AND TO REFUND EXISTING TAX-EXEMPT BONDS. IN CONJUNCTION WITH THE ISSUANCE OF THESE TAX-EXEMPT BONDS, HMH HOSPITALS CORPORATION'S FINANCIAL STATEMENTS WERE INCLUDED WITH THE TAX-EXEMPT BOND PROSPECTUS AND ARE, ON AN ANNUAL BASIS, MADE AVAILABLE TO THE GENERAL PUBLIC FOR REVIEW. IN ADDITION, HMH HOSPITALS CORPORATION'S FILED CERTIFICATE OF INCORPORATION AND ANY AMENDMENTS CAN BE OBTAINED AND REVIEWED THROUGH THE STATE OF NEW JERSEY DEPARTMENT OF THE TREASURY. HMH HOSPITALS CORPORATION ALSO MAKES AVAILABLE TO THE PUBLIC VIA ITS WEBSITE, WWW.HACKENSACKUMC.ORG, ITS COMPLIANCE PLAN DOCUMENTS, CODE OF CONDUCT AND CONFLICT OF INTEREST POLICY.
CORE FORM, PART VII, SECTION AHMH HOSPITALS CORPORATION IS AN AFFILIATE WITHIN HACKENSACK MERIDIAN HEALTH, A TAX-EXEMPT INTEGRATED HEALTHCARE DELIVERY NETWORK. THE NETWORK INCLUDES BOTH FOR-PROFIT AND NOT-FOR-PROFIT ORGANIZATIONS. CERTAIN BOARD OF GOVERNOR MEMBERS, OFFICERS AND/OR DIRECTORS LISTED ON CORE FORM, PART VII AND SCHEDULE J OF THIS FORM 990 MAY HOLD SIMILAR POSITIONS WITH BOTH HMH HOSPITALS CORPORATION AND OTHER SUBSIDIARIES AND CONTROLLED ENTITIES WITHIN THE NETWORK. THE HOURS SHOWN ON THIS FORM 990, FOR BOARD MEMBERS WHO RECEIVE NO COMPENSATION FOR SERVICES RENDERED IN A NON-BOARD CAPACITY, REPRESENT THE ESTIMATED HOURS DEVOTED PER WEEK FOR HMH HOSPITALS CORPORATION. TO THE EXTENT THESE INDIVIDUALS SERVE AS A MEMBER OF THE BOARD OF TRUSTEES OF OTHER RELATED SUBSIDIARIES AND CONTROLLED ENTITIES IN THE NETWORK, THEIR RESPECTIVE HOURS PER WEEK PER ORGANIZATION ARE APPROXIMATELY THE SAME AS REFLECTED ON PART VII OF THIS FORM 990. THE HOURS REFLECTED ON PART VII OF THIS FORM 990, FOR BOARD MEMBERS WHO RECEIVE COMPENSATION FOR SERVICES RENDERED IN A NON-BOARD CAPACITY, PAID OFFICERS AND KEY EMPLOYEES, REFLECT TOTAL HOURS WORKED PER WEEK ON BEHALF OF THE NETWORK; NOT SOLELY HMH HOSPITALS CORPORATION.
CORE FORM, PART VII AND SCHEDULE JPART VII AND SCHEDULE J REFLECT CERTAIN BOARD MEMBERS AND OFFICERS RECEIVING COMPENSATION AND BENEFITS FROM HMH HOSPITALS CORPORATION OR A RELATED ORGANIZATION. PLEASE NOTE THIS REMUNERATION WAS FOR SERVICES RENDERED AS FULL-TIME EMPLOYEES OF HMH HOSPITALS CORPORATION OR OF A RELATED ORGANIZATION AND NOT FOR SERVICES RENDERED AS A VOTING MEMBER OR OFFICER OF HMH HOSPITALS CORPORATION'S BOARD OF GOVERNORS.
