DescAs a Seventh-day Adventist medical center, we are a family of caring professionals serving our community with: 1. A spirit of Christian service 2. A passion for excellence and 3. A commitment to medical education. The Adventist Health White Memorial (AHWM), a member of Adventist Health, provides quality medical health care regardless of race, creed, sex, national origin, handicap, age, or ability to pay. Although reimbursement for services rendered is critical to the operation and stability of AHWM, the organization recognizes that not all individuals possess the ability to pay for essential medical services.Adventist Health's vision is to enhance the health of the communities where we live and serve, by engaging our communities and our patients in a new definition of and partnership for personal community health. In keeping with this commitment to serve all members of the community, the following will be considered when individuals who need health care cannot pay:Providing free care and/or subsidized careProviding care to persons covered by governmental programs at below costProviding health/wellness activities and community education programsNot only does AHWM provide low-cost care to individuals covered by government programs and those unable to afford health care, but it also helps patients find and access private and governmental resources for health care benefits. AHWM recognizes below-cost reimbursement as charity and uncompensated care in meeting its mission to the entire community. The unreimbursed value of providing care to these patients in 2017 was $10,923,847.Inpatient services in 2017 were provided to 19,531 patients. These services included: 3,834 Babies delivered 3,315 Surgeries performed 1,646 Cardiac catherization patients 386 Skilled nursing patients 248 Rehabilitation patients 594 Neonatal Intensive Care Patients 165 Pediatric Intensive Care Patients 2,015 Psychiatric Care Patients 9,168 Other Medical/Surgical Services Outpatient services in 2017 were provided to 133,560 patients. These services included: 63,161 Emergency room visits 4,897 Outpatient surgeries performed 87,320 Radiology procedures performed 1,535 Cardiac catheterizations outpatients721,619 Laboratory tests performed 2,101 Cleft Palate visits 5,793 Cancer Center proceduresAHWM recognizes it has an obligation to provide human services above and beyond its role as a healing facility. Thanks to support from our community partners, the organization is able to fulfill its mission through the following programs:Diabetes education and glucose testingRainbow Center Child CarePartners for PreventionHealth Fairs - Glucose Screenings for DiabetesPatient Healthcare TransportationWelcome BabyOne of the greatest assets an organization can possess is the trust of its community, both on campus and in the surrounding neighborhoods. Year after year, the health care needs of our community are assessed to guide the continued growth of programs and services and address those needs head on. Advancements were made in heart care, our first transcatheter aortic valve replacement (TAVR), a less-invasive valve replacement procedure that does not require open-heart surgery, was performed this year, making elderly heart patients in our community eligible for a procedure that can add years to their lives. The Cecilia Gonzalez De La Hoya Cancer Center, named for the late mother of professional boxer and philanthropist Oscar De La Hoya, addresses the high incidence of breast cancer in our community, featuring sophisticated diagnostic and treatment equipment, bilingual breast cancer support groups, a community resource center and free breast exams and mammograms to the uninsured or underinsured. The care we give at Adventist Health White Memorial follows our mission of living God's love by inspiring health, wholeness and hope. We touch the lives of people at every point throughout their lifetime beginning with exceptional prenatal and maternity care. Our Level III Neonatal Intensive Care Unit is one of the few in Los Angeles for newborns in need of advanced specialized care. The AHWM Cleft Palate Program focuses on providing the surgeries and support for children with this birth defect, including restoring normal function with minimal scarring, dentistry and speech therapy to help correct speaking difficulties. Mental and emotional health services are provided for all ages. Our Community Information Center, formed in 2014 to meet the need to educate our community on the Affordable Care Act and assist with health care insurance enrollment has grown to offer many more services to our surrounding Los Angeles community members. In partnership with Mexican American Opportunity Foundation (MAOF) and other not-for-profit partners, the Viva Bien program is a vital part of our seniors' lives, giving a place to connect, activities to help improve health and fitness, as well as assistance with accessibility and mobility. One of Adventist Health White Memorials signature efforts, the Workforce Development Program serves as an incubator for youth and young adults seeking work experience and exposure to careers in health care. Miguel Ruiz first started as an AHWM volunteer in high school and after college returned to the hospital as an intern with the Bank of America Career Pathways Program, which fosters future health professionals among local youth by teaching vital job skills. Miguels dream of working in medicine came true when he was hired at the hospital in 2014 working in the same-day surgery department. He now attends Western University of Health Sciences medical school and is pursuing a specialty in podiatry. Growing up in East Los Angeles, I always knew about White Memorial, said Miguel Ruiz. Having the opportunity to volunteer, intern and work there were experiences that definitely helped make my dream of going to medical school a reality. Like Miguel, Victor M. Gonzalez Luis was an intern with the Career Pathways Program. After completing the program, he began working at the hospital. White Memorial is a great hospital and I am proud that I was able to work there in admitting and same-day surgery, said Victor. Maybe I will work there again, but next time it will be as a doctor! He earned his B.S. in microbiology at California State University, Los Angeles and now attends the University of California, San Franciscos School of Medicine. Ronald Castillo volunteered with Adventist Health White Memorials Family Medicine Residency Program and served as a promotores (community health worker). He recently received an acceptance offer from the University of Southern Californias Keck School of Medicine. Ronalds career goal is to become a primary care physician. I am so grateful for the help, support and mentorship that I received at White Memorial, says Ronald. I learned so much from the physicians and all the staff. Their examples and encouragement helped inspire me to stay committed to my goal and work hard. Research has demonstrated that a healthcare workforce, which reflects its patient population increases access to care and improves quality. This is why we are fortunate that forty percent of Adventist Health White Memorial employees are from the hospitals surrounding community service area, many of them have started with the hospital as volunteers and interns. Developing this qualified pool of dedicated and passionate associates from within our community was accomplished through concerted planning and partnerships. Over the years, Adventist Health White Memorial has received multiple distinguished awards and accolades for its quality medical care, including Healthgrades 100 Best Hospitals Award two years in a row in 2016 and 2017. In 2018 AHWM was the only hospital in California to receive the highest Gold-level CAPE Eureka Award for outstanding commitment to sustainable performance excellence through innovation, continuous improvement and visionary leadership. Recently, AHWM received four CALNOC (Collaborative Alliance for Nursing Outcomes) Performance Excellence Awards: One for Best Performance in Preventing Injury Falls and three for Best Performance in Preventing Hospital-Acquired Infections. Recently, US News & World Report released its annual hospital rankings where AHWM was recognized as one of the best hospitals for 2018-2019, being named 'high performing' in the specialty care ranking for excellence in diabetes care. This is a major accomplishment for us diabetes continues to be a high-priority health risk factor in our community, affecting more than 50 percent of adults at some point in their lifetime. Confronted with the urgent need to combat the effects of this life-changing condition AHWM invested in building diabetes prevention and management programs, like the Center for Limb Preservation & Advanced Wound Care, so that our community members don't need to leave the area to receive nationally-recognized diabetes care. Part I, Line 7 - Explanation of Costing MethodologyThe hospital is located in a medically underserved area and participates in a quality assurance fee program with the State of California to fund certain Medi-Cal coverage expansions. The state redistributes funds to hospitals that provide patient care to a higher proportion of indigent and medically underprivileged patients, who otherwise would most likely not have access to physicians and other medical services. The community benefit analysis includes receipts from this redistribution that are used to assist in partially offsetting the significant costs associated with providing patient care to this population group. The program may or may not continue in the future based on the State of Californias regulations and policies and the approval of the federal government.
Part III, Line 2 - Methodology Used To Estimate Bad Debt ExpenseUncollected patient accounts are analyzed using written patient financial services policies that apply standard procedures for all patient accounts. The result of the analysis is what is recognized as bad debt expense. For example, all self-pay patients receive a discount. If the discounted account is unpaid after collection efforts, the unpaid balance is classified as bad debt. The cost-to-charge ratio described for Part I, Line 7 is multiplied times the hospital's bad debt expense as reported in the system-wide combined audited financial statements. The resulting figure has been reported as bad debts at cost on Part III, Line 2.The portion of the bad debts attributed to charity care as reported on Part III, Line 3 was calculated by an independent third-party consulting firm. This is an estimate of additional charity care that would have been granted if patients had cooperated by furnishing family financial information. A statistically valid sampling of patient accounts written-off was evaluated. The evaluation used various factors to determine which patients would have been eligible for charity care. Had the hospital obtained sufficient information from all patients who qualified for financial assistance, these additional accounts would have been recorded as charity care instead of bad debt. The system-wide combined audited financial statements do not contain a footnote describing bad debt expense.
Part III, Line 8 - Explanation Of Shortfall As Community BenefitThe Medicare cost report apportions the hospitals costs on the basis of inpatient days and ancillary and outpatient charges to establish the costing methodology.Healthcare delivery by hospitals is a complex, highly regulated business in the United States. Healthcare unit cost inflation is driven by compliance with ever-expanding regulatory requirements, shortages of highly skilled labor and evolving medical and information technology. The health care market basket is unrelated to that of the average individual consumer. Since the 1997 Balanced Budget Act, Medicare annual payment updates have fallen behind actual healthcare cost inflation to the point that Medicare payments to many U.S. hospitals are well below the cost of providing care. These unreimbursed costs are a community benefit for seniors and others in the community as these individuals are continuing to receive care without which many would become dependent on other governmental resources such as Medicaid. The benefit to the community for healthier Medicare recipients is no different than those benefits the community realizes for uninsured and underinsured patients who are eligible for partial and full charity care. Medicare is a safety net for seniors and others. Without Medicare coverage, many individuals would undoubtedly qualify for charity care.In addition to the mismatch between Medicare payment increases and healthcare cost inflation, the highly complex Medicare payment systems and formulas produce disparate payment levels from one hospital to another for the same service. These disparate payment levels create disparate results within groups of hospitals.Reconciliation of Medicare Revenue from the hospital's Medicare Cost Report to GL Revenue Rec. *Medicare Cost Report Revenue $59,762,934 Prior Year Settlements 1,334,941 Cost Report Reimbursable Bad Debts 588,857 Estimates and Accrual Variances (1,692,472) Other 11,627,563 ___________ Subtotal - Amount reported in Pt III line 5 $71,621,823 Amount included in Part 1, lines g and f 2,102,196 ___________ Total Medicare Revenue $73,724,019*Note: The Medicare Cost Report revenue does not include the bad debt reimbursement. The Cost Report revenue does include the patient co-pay and deductible amounts. Adding the bad debt reimbursement would have duplicated the revenue already accounted for in the co-pay and deductible amounts.
Part III, Line 9b - Provisions On Collection Practices For Qualified PatientsWhen a patient has requested screening for charity care, the hospital must immediately cease collection activity and place the account in a charity pending status. If 100% charity is approved, the entire account balance is written off to charity care. If the patient has a sliding scale liability based on the federal poverty guidelines, they are billed only for that liability. If the patient fails to pay their after-charity liability, they are assigned to a collection agency with an identifier that indicates to the agency that the patient is "low income" and the following criteria must be followed by the agency:1. They may not report the patient to a credit bureau2. They may not file a lawsuit to recover the outstanding liability3. They may not charge interest
Part VI, Line 2 - Needs AssessmentIn addition to assessing the needs of our communities through the conduct of a triennial Community Health Needs Assessment, as reported in Part V, Section B, the hospital facility assesses the health needs of the service area communities in a number of ways. In addition to having a vibrant volunteer base and diverse Boards of Directors, AHWM has organized a Community Leadership Council (CLC). The White Memorial Community Leadership Council (CLC) was established in 2009. The CLC includes members from educational institutions, churches, law enforcement agencies, local business owners, local governments and other civic organizations. The Council works with AHWM to keep abreast of the communitys needs and like the Boards has input into outreach efforts, community health, and wellness activities. The hospital facility has made the CHNA and Community Health Plan available on the website and welcomes written comments. By asking for public input AHWM solicits additional information on community health needs. AHWM staff actively participates in local collaborative groups that convene to address community needs. Finally, members of the hospital staff serve on a number of community-related planning groups, public health committees, and boards of community organizations. Information obtained from active community involvement factors into the identification of community health needs.
Part VI, Line 3 - Patient Education of Eligibility for AssistanceAHWM provides inpatient, outpatient, emergency, diagnostic care, and community education for over 156,000 patient visits annually. As a Seventh-day Adventist medical center, we are a family of caring professionals serving our community with: A spirit of Christian service; a passion for excellence and a commitment to medical education. AHWM provides quality medical health care regardless of race, creed, sex national origin, handicap, age or ability pay. Although reimbursement for services rendered is critical to the operation and stability of AHWM, the organization recognizes that not all individuals possess the ability to pay the essential medical services. In keeping with this commitment to serve all members of the community, the following will be considered when individuals who need health care cannot pay; providing free care and/or subsidized care; providing care to persons covered by governmental programs at below cost; providing health/wellness activities, community education programs and workshops. Not only does AHWM provide low-cost care to individuals covered by government programs and those unable to afford health care, it also helps patients find and access private and governmental resources for health care benefits. AHWM recognizes below-cost reimbursement as charity and uncompensated care in meeting its mission to the entire community.AHWM uses various vehicles to inform patients and persons who may be billed for patient care about their eligibility for assistance under federal, state, or local government programs. The Registration team is the first point of contact for the patient and there are a number of ways the patient is notified of their ability to apply for insurance coverage through state and federal avenues. AHWMs admissions packet contains documents that highlight patient financial services: The "Your Patient Account" trifold denotes we can "help you figure out your insurance coverage apply for government aid or make interest fee payment arrangements." This is also addressed in our "Welcome to Our Family" packet under Patient Financial Services. Financial assistance information is also provided in each of the Registration booths. AHWM statements sent to the patient has a section titled "Financial Assistance" where it indicates "If you can't pay part of your bill, please contact our Customer Service Department." More importantly AHWMs mission is to provide compassionate, quality care regardless of their ability to pay. The unreimbursed value of providing care to patients in 2017 was $10,923,847.Our on-campus AHWM Community Information Center provides access to health care programs, senior wellness programs, on-site enrollment services for state-funded insurance plans including Medicare, Covered California and MediCal available at no charge.
Part VI, Line 4 - Community InformationAdventist Health White Memorial (AHWM) is located in Boyle Heights, a vibrant neighborhood east of downtown Los Angeles. The AHWMs primary service area consists of 18 zip codes and caring for the communities of Bell Gardens, Boyle Heights, Chinatown, Commerce, East Los Angeles, El Sereno, Huntington Park, Lincoln Heights, Los Angeles, Maywood, Montebello, Pico Rivera and South Gate. AHWMs service area is designated as a medically underserved area/population and neighboring areas have been designated as health professional shortage areas for primary care. The population for the hospital service area is 1,165,691 and projected to grow about 2.3 percent in 5 years. The population is young with a median age of 30 and almost 46 percent of the female population is of childbearing age.The population is 44 percent Caucasian, 6 percent African American, 4 percent Asian/Pacific Islander and 55 percent Other which includes those choosing more than one race. As the population becomes blended and the US Census Bureau reporting methodologies change, the segment of the population that identifies as Hispanic is about 87 percent and could be included in any of the race/ethnicity categories. Spanish and English are the most commonly spoken languages in the primary service area. 13% of people, on average, aged 18-64 years reported speaking only English, with the greatest concentration residing within the 90039 zip code (Los Angeles). An average of 47% of persons aged 18-64 years reported speaking Spanish, with the greatest concentration residing within the 90255 zip code (Huntington Park). The community served by the hospital has an at-risk, vulnerable population. This is evidenced by low education rates as about 31 percent of adults aged 25 years and older have less than a 9th grade education and another 18 percent have some high school, but did not receive a high school diploma. The Federal Poverty Level guidelines for 2018 indicate the FPL for a family of 4 is $25,100. In the AHWM service area, 32 percent of the households are living below the FPL earning $25,000 or less each year. The unemployment rate in the primary service area is substantially higher in some neighborhoods according the the Community Health Needs Assement prepared in 2016. The highest rate is 26.7% in the area surrounding the hospital. As a result of high levels of unemployment and poverty, access to health care can be limited. In the service area, 29.3% of adults, ages 18-64, lack health insurance.
Part VI, Line 4 - Community Building ActivitiesMany of the organizations governing board members reside in the organizations primary service area and are neither employees nor independent contractors of the organization nor are family members. The Boards reflect the diversity of our community. As a nonprofit organization, any surplus funds are invested back into the organization, which greatly benefits the community. We have made a commitment to quality and safety and this commitment drives our participation in a number of in-house, statewide and national initiatives that seek to integrate patient safety into our organizational culture, from general policies and procedures, to the actions of individual physicians and employees. These initiatives also focus on clinical excellenceadopting best practices, monitoring our progress and continuously improving our care to ensure the best possible outcomes for our patients. Our efforts have been recognized as Healthgrades named White Memorial one of Americas 100 Best Hospitals! The 100 recipients of the Americas 100 Best Hospitals Award stand out among the rest for overall clinical excellence across a broad spectrum of care. WMMC has created a Community Information Center to bring health to the communities we serve. Partnering with highly respected community organizations like Mexican American Opportunity Foundation (MAOF), the Community Information Center provides on-site eligibility specialists to answer questions regarding health care coverage: enrollment and information for Covered CA, Medicare, and the Cal MediConnect Dual Enrollment Demonstration. We provide general information on access to health care coverage options, physicians and hospital-based services and programs. The Center also offers referrals to agencies and programs based on individual needs and hosts Vive Bien Senior Wellness Program workshops and events.
Part VI, Line 5 - Promotion of Community HealthAHWM is governed by a Board of Directors; a majority who are community members that reside in the hospitals service area The Board advises the President/CEO and executive leadership as it seeks to meet the health care needs of the community. In addition to the Board of Directors, AHWM also utilizes a Foundation Board and a Community Leadership Council (CLC) that is staffed by hospital employees and led by community members. The Boards and CLC are involved in the strategic planning process to ensure that the community benefit activities provided align with the health needs of our communities; health needs identified in the Community Health Needs Assessments are identified and prioritized; and Community benefit activities address the prioritized health needs and seek to focus our charitable resources on vulnerable populations with unmet health needs. To help ease the shortage of health care professionals and ensure the future needs of our communities are met, each year we train physicians, nurses and allied health professionals. AHWM offers postgraduate training programs to provide graduate medical education programs which develop personal, clinical and professional competence under the guidance and supervision of the faculty and staff. AHWM is accredited by the Joint Commission (TJC) and the Accreditation Council on Graduate Medical Education (ACGME). As a teaching facility, AHWM offers residency programs in family medicine, internal medicine, OB/GYN, podiatry and pharmacy practice.Medical staff membership is open to any physician regardless of group or other affiliation. Clinical privileges are granted based on meeting the prerequisite criteria.
Part VI, Line 6 - Affilated Health Care SystemThe hospital is a member of Adventist Health, a health care system which provides healthcare services in diverse markets within the Western United States. A member hospital may share some services with other member hospitals in its geographic area, such as clinical, management and support services. Using today's technology, hospitals outside the geographic area are able to provide support through remote services such as telepharmacy and robotics surgery. The Corporate Office provides important shared administrative support for member hospitals' rural health clinics and home care agencies, quality of care, other clinical needs, financing and risk management, and shared clinical and financial information technology. As many experienced and new physicians search for alternatives to independent practice, there is also corporate administrative support for hospital affiliated medical groups that engage physicians through employment or other contracts. This provides stability and growth of qualified physicians across many specialties, which is very important to make healthcare services available and to maintain and improve health within the communites served.
Part VI, Line 7 - States Filing of Community Benefit ReportCA
Part V - Explanation of Number of Facility TypeThe hospital provides outpatient services in multiple locations within its service area.
Part VI - Additional InformationAdditional Information:Adventist Health White Memorial (AHWM) is a full service 353-bed, faith-based, community-serving, comunity-engaged academic medical center which provides a full range of inpatient, outpatient, emergency and diagnostic services and is located just minutes from downtown Los Angeles. One of the greatest assets an organization can possess is the trust of its community --both internal and external. AHWM devotes a significant amount of financial and human resources to carry on its legacy of close to 100 years of community-centered service to medically underserved communities in our area. Beyond our role as one of the leading providers of health care in our community, we are committed to operating as a socially responsible organization as we meet the needs of our different stakeholders--our patients, physicians, workforce, neighbors, partners and donors. Our goal is to enable people to achieve more than just good health; it is to create opportunities for growth and development that will make a real, lasting impact on the health of our community.AHWM serves a community whose residents are predominantly Latino and where approximately 32% of the households have an annual income of less than $25,100, which is well below the federal poverty level. AHWM is positioned to provide this historically medically underserved population with Latino-focused language programs and education, including Spanish bilingual doctors and nurses and is dedicated to providing all its patients with the same level of high quality health care. This care includes highly advanced specialty services including advanced certifications, specialty care services and state-of-the-art procedures. AHWM has adopted rigorous national quality standards and has won four Eureka Awards for Performance Excellence from the California Council on Excellence.AHWM mission anchors everything we do and extends out to the community in many ways. Collaborative efforts between AHWM, local organizations and donors has created critical programs needed to address the specific health care needs of the more than 2 million residents living throughout eastern Los Angeles. Together we can change the outcome of our community's health. For example, the Cecilia Gonzalez De La Hoya Cancer Center, named for the late mother of champion boxer and philanthropist, Oscar De La Hoya, helps address the area's high incidence of breast cancer. The Cancer Center features sophisticated diagnostic and treatment equipment, bilingual breast cancer support groups, a community resource center and free breast exams and mammograms to women who are uninsured or underinsured. The Diabetes Care Center at AHWM addresses the high prevalence of diabetes within the community and provides full-service diabetes testing, education, peer counseling and follow-up care and runs a successful Healthy Eating & Lifestyle Program (H.E.L.P.); a six-week program designed to teach children, at-risk of developing diabetes, the benefits of a well-balanced diet and regular exercise. No insurance is needed to access this bilingual program. Our at-risk newborns, cared for in one of the few Level III Neonatal Intensive Care Units in Los Angeles, are protected by state-of-the-art technology neo blue lights and our Giraffe Beds, purchased with donations received through the AHWM Foundation. Babies are now safer and have a better chance of flourishing because our friends contributed to this successful fundraising effort. The Center for Limb Preservation & Advanced Wound Care offers a unique multidisciplinary approach to limb care and limb preservation and provides advanced outpatient therapy/treatment for wounds consistent with specific needs of the patients. The best thing is that all these services are available under one roof. The primary goal of the Center is to provide vital services to the population at risk of limb threatening condition, including patients of multiple and differing socioeconomic and cultural backgrounds. Limb amputation can be a major complication for patients who have diabetes, peripheral artery disease, kidney problems or another complex condition that impairs circulation.

Form And Line ReferenceFormAndLineReferenceDescExplanationExplanationTxt
Form 990, Part VI, Line 6: Explanation of Classes of Members or ShareholderThe hospital is organized as a not-for-profit religious corporation. The sole corporate member is Adventist Health System/West, a California not-for-profit religious corporation. The hospital bylaws define its board of directors to be the same individuals who are members of Adventist Health System/West board of directors.
Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or ShareholdersThe sole corporate member, Adventist Health System/West, must approve all changes to the articles of incorporation and bylaws.
Form 990, Part VI, Line 11b: Form 990 Review ProcessThe completed Form 990 is shared with members of the corporation's board of directors by electronic communication for their review prior to filing. A special board meeting is scheduled to answer questions and receive input from the board prior to filing.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of ConflictsDuring the first quarter of each year, the annual conflict of interest questionnaire is sent to board members, hospital officers, key employees and department directors for completion and signature. The questionnaire is accompanied by a letter of explanation, to illustrate examples of a conflict and to remind the recipient that if any perceived conflict should arise before the next annual questionnaire, he/she is to notify the CEO immediately. The Corporate General Counsel distributes, collects, and reviews for signatures the COIs for all applicable Corporate employees and the board. In addition, the hospitals administration is responsible for keeping record to ensure all hospital-based individuals with director and above positions have submitted their COIs. The Corporate General Counsel reviews all the disclosures on the board and Corporate employees COIs. Corporate General Counsel retains the COIs for the board members. The officers and key employees COIs are kept in their personnel files.During the year-end audit process, the auditors review all board member COIs and a sample of the Corporate officers, key employees, and hospital CEOs COIs. If a conflict is reported on a COI, the auditors will bring it to the attention of the AVP, Audit Services for follow-up.Further inquiries on any potential significant conflicts are made as needed. Conflicts were documented and reviewed with the Board, which in turn determined the conflicts were not inappropriate for the situations identified and that the terms of the arrangements would likely not be better for the organization.
Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top ManagementSee explanation of process for setting CEO compensation below on Form 990, Part VI, Line 15b explanation.
Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key EmployeesThe hospital board of directors has established a Compensation Committee to oversee the executive compensation program. This committee is composed of independent directors with no conflicts of interest. The committee performs the following functions: recommends a total compensation philosophy to the board; assures compliance with the board-approved philosophy; meets annually to review comparability data from outside consultants; recommends any adjustments to current executive compensation, including salary ranges for hospital CEOs and CFOs, that would be indicated by the data; evaluates executive performance against annual goals; recommends appropriate incentive awards to the board for approval; follows a diligent process that meets regulatory requirements for a rebuttable presumption of reasonableness; records committee deliberations and decisions in timely minutes; selects, engages and supervises any consultant hired to advise and provide comparability data. The board-approved executive compensation philosophy specifies that salary ranges will be established for hospital CEOs and executives, with midpoints aligned with the 50th percentile of comparable system hospital data, and having a 24 percent spread from minimum to maximum (industry norm is approximately a 50 percent spread). A hospital CEO has a maximum potential incentive of 30 percent of base salary. (This incentive potential is less than the industry norm.) Other hospital executives have a maximum potential incentive of 20 percent of base salary.
