Any potential conflicts are reviewed by the UCS President who determines whether a conflict exists and is material. If a matter is material, the President will bring it to the attention of the Board Chair. If the UCS President has the conflict, he or she would disclose the matter to the Board Chair directly. Disclosure involving Board members is made to the Board Chair (or if the conflict involves the Board Chair, to the Board Treasurer) who brings these matters, if material, to the Board. The Board determines whether a conflict exists and is material, and in the presence of an existing material conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to UCS. |
| Form 990, Part VI, Section B, line 15 | The UCS policy is that the Finance Committee of the Board be informed of the performance based recommendations for salary for key employees in the context of market information and our merit increase system. The purpose of this policy is to provide transparency and compliance with various legal standards for non-profit management. The President's salary is set after an annual merit review, by the Chair of the Board in consultation with the Treasurer and/or other Board members, as the Chair sees fit. The salaries for other key employees are set, after the annual merit review, by the management team. All salaries are set in the context of market information and our merit increase system. All salaries of key employees are reviewed by the Compensation Committee of the Board. |
