DescInformation Services - The American Chemical Society (ACS) achieves its goal to be an indispensable professional and information resource for members and other chemistry-related practitioners through two publishing divisions, Chemical Abstracts Service (CAS) and ACS Publications. These divisions provide significant services to ACS members and the global scientific community with accurate, timely, and authoritative chemical and related scientific information. For more than 110 years, CAS has been analyzing the world's scientific content and advancing new search technologies to make information more accessible. As a global hub for big chemistry data, CAS offers secure, reliable systems backed by proprietary cutting-edge technology. CAS's strength comes from its people: - Hundreds of scientists spend hours analyzing published literature - Tech experts manage data and build new technologies to tackle the unique challenges of scientific content - As a division of the American Chemical Society, CAS knowledge of scientific information far exceeds any other organization Top global research-and innovation-focused organizations trust CAS to deliver the information they need, from Fortune 500 companies to the world's leading contract research organizations and patent offices to top research universities and law firms, among others. The CAS REGISTRY(SM) is the largest and most authoritative collection of chemical substance information available to researchers. In addition to covering substances from journals and patents, CAS REGISTRY includes substances from chemical catalogs, worldwide governmental regulatory agencies and reputable web resources. CAS REGISTRY now contains more than 130 million unique organic and inorganic substances. In 2017, CAS had major upgrades to STN and Scifinder , the products for searching the world's disclosed scientific and technical research. CAS's broad-based, easy to use workflow solutions drive discovery and deep insights for the scientific enterprise that lead to innovations ranging from product improvements to revelations that solve some of the world's biggest problems in areas from treatment of disease to sustainable energy to global food supply needs. CAS also brings the unique capability to design custom solutions that combine the right content, specialized technologies and proven subject matter expertise which help CAS customers capture more opportunity and accelerate results. Through an unparalleled commitment to quality, reliability, and innovation, ACS Publications serves as the leading publisher of over 50 peer-reviewed research journals in the chemical and related sciences, and Chemical & Engineering News (C&EN), the leading news magazine of the chemical world. Through its journals, ACS provides the global scientific community with highly valued information in a cost-effective manner to foster scholarship and discovery in the chemical sciences and related disciplines. In 2017, the Division continued its strong record of service to the global community of researchers in the chemical and related sciences. More than 45,000 articles were selected for publication within the Society's peer-reviewed journals, through a rigorous editorial process that has solidified the Society's publishing portfolio as one of preeminence in terms of both subsequent literature citations and Impact Factor ranking metrics. ACS journals continue to be the most-cited and/or impactful scientific journals in 14 scientific categories, including 6 core chemistry categories (Analytical, Applied, Inorganic & Nuclear, Medicinal, Multidisciplinary, and Organic), according to the 2016 Journal Citation Reports (JCR), released by Clarivate Analytics. Two thirds of ACS journals featured in the report achieved a journal Impact Factor of 4.0 or higher and over 85% of ACS journals in the report ranked in the top quartile of their topical categories. Reinforcing its commitment to publishing the best peer-reviewed scientific research, the Publications Division launched ACS Reviewer Lab, an online course created to help educate researchers on the fundamentals of scholarly peer review. ACS Omega, the Society's second fully open access journal, continued to experience positive growth in submissions and published articles. Further expanding the global reach of the ACS Publications portfolio, ACS Earth and Space Chemistry launched in 2017. The year 2017 marked the first year ACS journals recorded 100,000,000 or more COUNTER-compliant downloads of articles to users - a double-digit increase over 2016. Readers worldwide viewed 210 million abstracts from across our online platform. In 2017, C&EN introduced C&EN BrandLab, a publishing studio designed to help advertisers create custom branded content such as white papers, Show Daily newspapers, and native advertising features. In addition, C&EN Global Enterprise went live in 2017, expanding the reach of C&EN to the 2,500 institutions around the globe that subscribe to ACS's all-publications package. C&EN also increased its Spanish content in 2017 and published Chinese versions of selected stories on ACS's WeChat platform. Traffic to the C&EN website increased again in 2017 to more than 3 million unique users and C&EN newsletters continue to drive readers to C&EN's growing body of digital first and digital only content.Desc

PART V, LINE 4:DESCRIBE THE INTENDED USES OF THE ORGANIZATION'S ENDOWMENT FUNDS. THE SOCIETY'S ENDOWMENTS WERE CREATED TO ENCOURAGE THE ADVANCEMENT OF CHEMISTRY IN ALL ITS BRANCHES, PROMOTE RESEARCH IN CHEMICAL SCIENCE AND INDUSTRY, AND IMPROVE THE QUALIFICATION AND USEFULNESS OF CHEMISTS. OVER $21,000,000 WAS AWARDED IN 2017 TO SUPPORT INNOVATIVE AND FUNDAMENTAL CHEMICAL RESEARCH, PROVIDE UNDERGRADUATE SCHOLARSHIPS, PROVIDE POST-DOCTORAL FELLOWSHIPS, SUPPORT SPECIAL EDUCATIONAL OPPORTUNITIES AT THE HIGH SCHOOL LEVEL, AND RECOGNIZE, ENCOURAGE, AND STIMULATE OUTSTANDING RESEARCH ACHIEVEMENTS THROUGHOUT THE MULTI-DISCIPLINARY BRANCHES OF CHEMISTRY.
PART X, LINE 2:FOOTNOTE TO THE ORGANIZATION'S FINANCIAL STATEMENTS THAT REPORTS THE ORGANIZATION'S LIABILITY FOR UNCERTAIN TAX POSITIONS UNDER FIN 48 (ASC 740): THE SOCIETY IS GENERALLY EXEMPT FROM FEDERAL INCOME TAXES UNDER INTERNAL REVENUE CODE SECTION 501(C)(3). HOWEVER, THE SOCIETY IS SUBJECT TO TAXATION ON ANY NET UNRELATED BUSINESS INCOME. AT DECEMBER 31, 2017, THE SOCIETY HAD A NET OPERATING LOSS CARRYFORWARD FOR INCOME TAX PURPOSES OF APPROXIMATELY $21,600,000, WHICH EXPIRES OVER THE YEARS 2018 THROUGH 2037. A DEFERRED TAX ASSET HAS NOT BEEN RECORDED FOR THE NET OPERATING LOSS BECAUSE THE SOCIETY HAS DETERMINED AS OF DECEMBER 31, 2017, IT IS NOT RECOVERABLE. MANAGEMENT ANNUALLY REVIEWS ITS TAX POSITIONS AND HAS DETERMINED THAT THERE ARE NO MATERIAL UNCERTAIN TAX POSITIONS THAT REQUIRE RECOGNITION IN THE CONSOLIDATED FINANCIAL STATEMENTS. PUBLIC LAW NO. 115-97, THE TAX CUTS AND JOBS ACT (THE ACT), WAS ENACTED DECEMBER 22, 2017, WITH MOST PROVISIONS EFFECTIVE JANUARY 1, 2018. THE ACT AMENDS THE INTERNAL REVENUE CODE AND INCLUDES SEVERAL CHANGES RELEVANT TO TAX EXEMPT ORGANIZATIONS, PRIMARILY TO UNRELATED BUSINESS INCOME, NET OPERATING LOSSES, CERTAIN NEW EXCISE TAXES, AND CHANGES AFFECTING THE DEDUCTIBILITY OF CERTAIN EXPENSES. MANAGEMENT IS CURRENTLY IN THE PROCESS OF EVALUATING THE NEW LAW AND THE IMPACT IT MAY HAVE ON THE SOCIETY.

PART VI, SECTION B - POLICIES, LINE 11B:DESCRIBE IN SCHEDULE O THE PROCESS, IF ANY, USED BY THE ORGANIZATION TO REVIEW THIS FORM 990. THE ACS FORM 990, INCLUDING REQUIRED SCHEDULES AND SUPPORTING DOCUMENTATION, WAS PREPARED BY THE ACS TAX COMPLIANCE AND REPORTING OFFICE (TAX OFFICE). A DETAILED REVIEW OF THE RETURN WAS CONDUCTED BY THE ASSISTANT DIRECTOR, FINANCIAL SERVICES, AND THE DIRECTOR OF FINANCE & ACS CONTROLLER. THE RETURN WAS THEN REVIEWED BY MEMBERS OF ACS SENIOR MANAGEMENT INCLUDING THE TREASURER & CHIEF FINANCIAL OFFICER, EXECUTIVE VICE PRESIDENT, HUMAN RESOURCES, DIRECTOR OF EXTERNAL AFFAIRS & COMMUNICATION, SECRETARY & GENERAL COUNSEL, AND EXECUTIVE DIRECTOR & CEO. IN ADDITION, THE RETURN WAS REVIEWED BY THE SOCIETY'S EXTERNAL TAX ADVISERS, KPMG LLP. PRIOR TO THE FILING OF THE RETURN WITH THE INTERNAL REVENUE SERVICE, A COPY OF THE FINAL FORM 990 AND REQUIRED SCHEDULES WAS MADE AVAILABLE TO EACH MEMBER OF THE BOARD OF DIRECTORS AND EACH MEMBER OF THE AUDIT COMMITTEE FOR THEIR REVIEW.
LINE 12C:DID THE ORGANIZATION REGULARLY AND CONSISTENTLY MONITOR AND ENFORCE COMPLIANCE WITH THE CONFLICT OF INTEREST POLICY? YES. IF "YES", DESCRIBE IN SCHEDULE O HOW THIS IS DONE. PURSUANT TO ACS BOARD REGULATIONS, DIRECTORS, OFFICERS, KEY EMPLOYEES, AND MEMBERS OF TWO ACS COMMITTEES AND ONE GOVERNING BOARD (THE COMMITTEE ON BUDGET AND FINANCE, THE COMMITTEE ON EDUCATION AND THE GOVERNING BOARD FOR PUBLISHING) ARE REQUIRED TO ANNUALLY SUBMIT A COMPLETED CONFLICT OF INTEREST DISCLOSURE FORM. THE ACS SECRETARY & GENERAL COUNSEL REVIEWS EACH OF THE FORMS (EXCEPT HIS/HER OWN, WHICH IS REVIEWED BY THE EXECUTIVE DIRECTOR & CEO) AND ASSESSES WHETHER AN ACTUAL OR POTENTIAL CONFLICT OF INTEREST EXISTS/MAY EXIST AND WHETHER THE INDIVIDUAL SHOULD REFRAIN FROM CONSIDERATION OF RELATED ITEMS. WHENEVER ANY BUSINESS MATTER, WHICH IS TO BE CONSIDERED BY BOARD-RELATED BODIES, OFFICERS, OR KEY EMPLOYEES, INVOLVES ACTIVITIES OR INFORMATION THAT MIGHT DIRECTLY OR INDIRECTLY PLACE A PARTICIPANT IN A SPECIAL CONFLICT OF INTEREST, THEN THE AFFECTED INDIVIDUAL SHALL REFRAIN FROM PARTICIPATING IN THE CONSIDERATION OF, OR ANY VOTING UPON, SUCH MATTER. The ACS Policies and Procedures Manual includes a Conflict of Interest policy applicable to all ACS employees. Additionally, on an annual basis, ACS employees in key positions are required to read, reaffirm their understanding of the ACS Conflict of Interest Policy, and, if applicable, to submit a completed conflict of interest disclosure form. Disclosure forms may be reviewed by a combination of Human Resources, General Counsel, and the employee's management chain, as appropriate, to determine whether an actual or potential conflict of interest exists/may exist and how to relieve any genuine conflict. Under ACS policy, a conflict of interest occurs when an employee permits the possibility of gain to himself or his immediate family, or permits others to have influence over his judgment when carrying out duties on behalf of the Society. An action may constitute a conflict of interest without being in violation of any laws, rules, or regulations. If an employee has questions about outside activities that may conflict with the Society's interests, the employee is required to consult with Human Resources in writing and receives a formal written response.
LINE 15:DID THE PROCESS FOR DETERMINING COMPENSATION OF THE FOLLOWING PERSONS INCLUDE A REVIEW AND APPROVAL BY INDEPENDENT PERSONS, COMPARABILITY DATA, AND CONTEMPORANEOUS SUBSTANTIATION OF THE DELIBERATION AND DECISION? LINE 15A: THE ORGANIZATION'S CEO, EXECUTIVE DIRECTOR, OR TOP MANAGEMENT OFFICIAL - YES. LINE 15B: OTHER OFFICERS OR KEY EMPLOYEES OF THE ORGANIZATION - YES IF "YES" TO LINE 15A OR 15B, - DESCRIBE THE PROCESS IN SCHEDULE O, - IDENTIFY THE OFFICES OR POSITIONS FOR WHICH THE PROCESS WAS USED TO ESTABLISH COMPENSATION OF THE PERSONS WHO SERVED IN THOSE OFFICES OR POSITIONS, - ENTER THE YEAR IN WHICH THE PROCESS WAS LAST UNDERTAKEN FOR EACH SUCH PERSON. The ACS Board of Directors determines the salaries and incentive pay of the organization's Executive Director & CEO, top management officials, other officers, and key employees. The ACS Board of Directors is advised on the salaries and incentive payments for the Executive Director & CEO, officers, top management officials, and key employees by the ACS Committee on Executive Compensation. Members of this Committee include nonpaid ACS members - the ACS President-Elect, the ACS President, the ACS Past President, the Chair of the ACS Budget & Finance Committee, and two ACS members with "expertise in senior and executive staff compensation issues" who are appointed by the ACS Board Chair - as well as the Executive Director & CEO who serves ex officio (non-voting). The Chair of this Committee is appointed by the ACS Board Chair from among the Committee members. In addition, the Committee on Executive Compensation is advised on the salary and incentive payment for the Executive Director & CEO by a Subcommittee of the ACS Board's Executive Committee - the Committee to Review the Executive Director (CRED). Members of this Subcommittee include the ACS Board Chair, the ACS President-Elect, the ACS President, the ACS Immediate Past President (Presidential Succession from performance year) and the longest tenured Board member who is an elected member of the Board's Executive Committee (for performance year under consideration). The Chair of this Subcommittee is the ACS Board Chair. The total cash compensation for ACS's executive positions is regularly benchmarked against comparable executive positions using independently published compensation survey data and independent executive consultants. The salary increases and incentive payments for the Executive Director & CEO, officers, top management officials, and key employees in 2017 were based on the 2016 performance year and were reviewed by the Committee on Executive Compensation and the ACS Board. The Committee and Board voted on these increases and incentives which were documented in the minutes from the Committee and Board meetings. The salary increase and incentive payment for the Executive Director & CEO were also reviewed by the CRED Subcommittee. The written performance reviews and related documentation were provided to the Committee members and the ACS Board of Directors. Salary increases for 2017 for ACS executives were processed at the end of the first quarter of 2018.
PART VI, SECTION C - DISCLOSURE, LINE 19:DESCRIBE IN SCHEDULE O WHETHER (AND IF SO, HOW) THE ORGANIZATION MAKES ITS GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY, AND FINANCIAL STATEMENTS AVAILABLE TO THE PUBLIC.
