California embraces our responsibility to respond to the needs of people in our communities, especially the poor and vulnerable. This commitment, this Mission rooted in God's love for all, began with the Sisters of Providence more than 150 years ago.The Heart of our Mission We focus our community benefit outreach on four specific populations. These are low-income and uninsured people, diverse populations, older citizens, and people with behavioral needs. Our outreach can range from covering the medical bills of a husband and father disabled by diabetes, to financially supporting a nonprofit that embraces older refugees and immigrants. During these hard economic times in our neighborhoods and our nation, we reinforce our commitments to caring for the poor and vulnerable. This compassionate caring is, and always has been, the heart of our Mission. From the San Fernando Valley to the Westside and the South Bay, six exceptional hospitals and our affiliated medical groups are redefining health care in the 21st Century. Every day, the medical centers of Providence Health & Services, Southern California, are proving it is possible to provide leading-edge care while staying true to a more than 150-year-old Mission to serve the poor and vulnerable.Exceptional Programs and Services Throughout Los Angeles County and beyond, we're known for our outstanding programs in cancer, cardiology, neurosciences, orthopedics, women's services, hospice and palliative care, and many other specialties. We continue to add services and technology to meet the needs of our ever changing communities. The Roy and Patricia Disney Family Cancer Center at Providence Saint Joseph Medical Center, is the largest, most comprehensive cancer center in the San Fernando and surrounding valleys. Providence continuously invests in the latest technology and seeks new evidence-based ways to improve diagnoses, treatments and patient safety, all in an environment of compassionate care. Providence provides care across the spectrum from our family-centered Neonatal ICUs for the most fragile of infants to nationally recognize pediatric, cardiac and cancer services to specialized team-based care for the elderly. The practice of expert-to-expert collaboration provides a wealth of experience and knowledge in managing complex illnesses by bringing in a range of specialists to help ensure the best possible outcomes for our patients. Providence Medical Centers are dedicated to improving upon excellence, affiliating with some of the best physicians in Southern California, encouraging nurses to seek innovation in patient care and providing a shared electronic medical record to help ensure the best care for every patient, every time. Five Stars for Excellence Providence Southern California is the first and only health system in the state to have all our eligible hospitals recognized with the Healthgrades' Distinguished Hospital Award for Clinical Excellence . Our Providence Medical Centers have won national awards for excellence and safety in neurosciences, orthopedics, critical and coronary care, women's services, maternity services, bariatrics and gastrointestinal treatment. These national awards recognize the high level of care and dedication to patient safety and improved outcomes. Gold-Standard Stroke CareStroke is the third leading cause of death and the leading cause of disability for all Americans. When and where you seek treatment can make a world of difference. Five of our medical centers are certified as Advanced Primary Stroke Centers, where the stroke care program follows national standards and guidelines that can significantly improve outcomes for stroke patients, earning them The Joint Commission's Gold Seal of Approval for Advanced Primary Stroke Centers and top awards from the American Heart/American Stroke Associations. In addition, Providence Saint Joseph Medical Center received the Healthgrades Stroke Care Excellence Award . Leaders in Heart Attack Care And for patients suffering the most severe type of heart attack, all of our hospitals are designated STEMI-receiving centers, recognized by Los Angeles County for their demonstrated abilities to provide rapid and effective care for the most serious heart attacks to help reduce long-term heart damage. Diagnosis begins upon arrival in our emergency departments and treatment follows immediately, with a full staff of specialists, nurses and therapists highly trained in critical care. Long Tradition of Community Service Our roots date back more than 150 years, when the Sisters of Providence and the Sisters of the Little Company of Mary arrived in the West to support communities in need. Today, community service is still one of our highest priorities. We offer a wide array of free or low-cost outreach programs for those in need, from primary care clinics and health screenings, to exercise and health education classes, to mental health counseling and telephone visits for seniors. In all, Providence's community benefit programs touch the lives of nearly a quarter million people each year. From school children to the elderly, our communities are served by programs that promote good health for the mind, body and spirit. Our Mission to serve is the cornerstone of Providence.* Providence Tarzana Medical Center received recognition as a Distinguished Hospital for Clinical Excellence ranking it among the top 5 percent in the nation for performance on 27 of the most common diagnosis and procedures. Designated as a Pediatric Medical Center, Providence Tarzana is certified to include treating critically ill children transported by the 9-1-1 Emergency Medical Services System. It has one of the largest and most renowned Neonatal Intensive Care Units in the area.* The award-winning Providence Saint Joseph Medical Center in Burbank is known for advanced technology, including the use of robotics, to bolster a tradition of quality care. Providence Saint Joseph has received recognition for orthopedics, neurology, bariatrics and cardiac services.* Providence Little Company of Mary Medical Center Torrance has a reputation for clinical excellence and sophisticated technology with a personal touch. Group A-Facility 1 -- Providence St. Joseph Medical Center Part V, Section B, line 11:In developing the list of priority needs/issues, Providence looked at bringing its expertise and resources to those issues where it can make positive change. After considerable discussion, the Board Committee on Community Benefits came to a consensus that the three year Community Health Improvement Plan would address five of the top seven identified health needs: (1) Access to healthcare and resources(2) Prevention and management of chronic diseases(3) Senior care and resources(4) Mental health services (including substance abuse)(5) Poverty and food insecurity(6) Low educational attainment and unemployment(7) Crime and community safetyThe five identified health needs will be addressed within the context of four strategies that make up the 2017-19 Implementation Strategy:1) IMPROVE ACCESS TO HEALTH CARE SERVICES Our goal is to improve access to quality health care services for vulnerable populations. We will do this by collaborating with community partners to provide services that increase enrollment in and utilization of health insurance, increase the number of people with access to primary care, and increase the number of children who receive their recommended immunizations.2) IMPLEMENT PREVENTION INTERVENTIONS TO REDUCE THE PREVALENCE OR PROGRESSION OF CHRONIC DISEASEOur goal is to reduce the prevalence of diabetes and obesity. We will do this by partnering with organizations to increase physical activity, promote healthy nutrition, and educate individuals with diabetes or at-risk of developing diabetes on how to manage the disease.3) STRENGTHEN COMMUNITY BASED MENTAL HEALTH INFRASTRUCTURE TO BETTER ALIGN WITH HOSPITAL-BASED MENTAL HEALTH SERVICESOur goal is to improve access to the mental health continuum of care in the San Fernando Valley. We will do this by improving integration of mental health in primary care settings, teaching community classes and workshops that build resilience in and reduce the stigma of mental illness, and coordinate access to community mental health resources for patients discharged from our ministries. 4) ALIGN COMMUNITY BENEFIT PROGRAMS WITH SAN FERNANDO VALLEY MEDICAL CENTERSOur goal is to improve the alignment of Community Health programs to each of the Providence Medical Centers in the San Fernando Valley. We will do this by raising the visibility of Community Health programs within each Medical Center by offering opportunities for caregivers to volunteer in local communities, communicating internally about the progress we are making in high-need communities within each Medical Center's Service Area and developing pilot programs for vulnerable patients being discharged from medical centers or pilot programs that address specific populations prioritized by the 2016 CHNA. The remaining two identified health needs: 1) low educational attainment and unemployment and 2) Crime and community safety will not be part of the CHIP due to financial barriers to entry and the lack of Providence expertise in the topic area. In balancing the existing infrastructure available to address these two identified needs and the resources available to address the five areas identified above, the consensus of the group that it was unlikely for substantial progress to be made over the next three years in addressing these two needs and that the greater good for the community was to maximize the available resources for the health needs that were prioritized.

Group B-Facility 5 -- Providence LCM Med. Ctr. - San Pedro Part V, Section B, line 11:In developing the list of priority needs/issues, Providence looked at bringing its expertise and resources to those issues where it can make positive change. After considerable discussion, the Board Committee on Community Benefits came to a consensus that the three year Community Health Improvement Plan would address five of the top seven identified health needs: 1) Access to healthcare and resources2) Prevention and management of chronic diseases3) Mental health services (ncluding substance abuse treatement)4) Violence5) Affordable housing and homelessnessThe five prioritized health needs will be addressed within four strategies, as follows: 1) IMPROVE ACCESS TO HEALTH CARE SERVICES Our goal is to improve access to quality health care services for vulnerable populations. We will do this by partnering with organizations to increase physical activity, promote healthy nutrition, and educate individuals with diabetes or at-risk of developing diabetes on how to manage the disease. 3) STRENGTHEN COMMUNITY BASED MENTAL HEALTH INFRASTRUCTURE TO BETTER ALIGN WITH HOSPITAL-BASED MENTAL HEALTH SERVICES Our goal is to improve access to the mental health continuum of care in the South Bay. We will do this by improving integration of mental health in primary care settings, teaching community classes and workshops that build resilience in and reduce the stigma of mental illness, and coordinate access to community mental health resources for patients discharged from our ministries. 4) DEVELOP PARTNERSHIPS THAT ADDRESS SOCIAL DETERMINANTS OF HEALTHOur goal is to collaborate with like-minded partners to create social and physical environments that promote good health for local communities. We will particularly focus on the social determinants that were prioritized identified community needs, namely: violence, affordable housing and homelessness, and poverty and food insecurity. We will do this by sustaining and expanding services at the Providence Wellness and Activity Center in Wilmington, strengthening collaborative partnerships with community organizations that focus on the prioritized social determinants of health, and providing services that improve access to healthy food in underserved communities. The remaining two identified health needs: 1) low educational attainment and unemployment and 2) Senior care and resources will not be part of the CHIP due to financial barriers to entry and the lack of PLCM expertise in the topic area. Form And Line ReferenceFormAndLineReferenceDescExplanationExplanationTxt
Part I, Line 3c:Eligibility for Charity is determined by an inability to pay defined in the policy based on one or more of the following criteria: Presumptive Charity and Charity. Presumptive Charity determines that financial Assistance Application is not required if a patient is either homeless, or is enrolled in some sort of Medicaid Program, or is verified to be unable to pay under income/asset test. Charity requires completion of Financial Assistance Application and validation that a patient's gross income is less than 350% of FPG.
Part I, Line 6a:In addition to having Community Benefit information included in the consolidated Providence Health & Services Community Benefit Report, this information is also included in the Providence Health System - Southern California Regional Community Benefit Report.
Part I, Line 7:Costs for table 7 are from actual expenses incurred.
Part I, Line 7, Column (f):The Bad Debt expense included on Form 990, Part IX, Line 25, Column (A), but subtracted for purposes of calculating the percentage in this column is $ 52,031.
Part II, Community Building Activities:COMMUNITY BUILDING ACTIVITIES:Building Stronger Families program - aims to build the capacity of residents and organizations to strengthen families and the community. Building Stronger Families consists of a leadership training program for residents in the community, the development of a reducing social isolation task force, capacity building for local community organizations, and community events planned and organized by residents to improve social connections. Upon completing the leadership training program, community leaders throughout Wilmington will be able to help identify and recruit others in their community who are socially isolated, share information, resources, and tools that they have received with other community members, and ultimately have a more active approach in improving their community by volunteering and being engaged.
Part III, Line 2:Bad debt expense represents the amount of gross charges for patients who do not have insurance and which PH&S-So. CA was unable to qualify for assistance under either government programs or our internal charity care policy.
Part III, Line 4:The Health System provides for an allowance against patient accounts receivable for amounts that could become uncollectible. The Health System estimates this allowance based on the aging of accounts receivable, historical collection experience by payor, and other relevant factors. There are various factors that can impact the collection trends, such as changes in the economy, which in turn have an impact on unemployment rates and the number of uninsured and underinsured patients, the increased burden of copayments to be made by patients with insurance coverage and business practices related to collection efforts. These factors continuously change and can have an impact on collection trends and the estimation process used by the Health System. The Health System records a provision for bad debts in the period of services on the basis of past experience, which has historically indicated that many patients are unresponsive or are otherwise unwilling to pay the portion of their bill for which they are financially responsible.
Part III, Line 8:It is Providence's policy to exclude any Medicare shortfall from Community Benefit information. The amount reported on Part III, Section B, Line 6, was determined by applying the Cost-to-Charge Ratio to the Medicare revenue.
Part III, Line 9b:BILLING & COLLECTION PRACTICESProvidence has written policies about when and under whose authority patient debt is advanced for collection, and uses its best efforts to ensure that patient accounts are processed fairly and consistently.Providence ensures that practices to be used by their outside (non-hospital) collection agencies conform to the standards set forth in this policy, and obtains written commitments from such agencies that they will adhere to those standards. Providence also conducts an assessment of each collection agency's adherence to the policy. Such assessments are conducted at least annually. At time of billing, we provide to all low-income uninsured patients the same information concerning services and charges provided to all other patients who receive care at the hospital. When sending a bill to a patient, Providence includes a) a statement that indicates that if the patient meets certain income requirements the patient may be eligible for a government-sponsored program or for financial assistance from the hospital; and b) a statement that provides the patient with the name and telephone number of a hospital employee or office from whom or which the patient may obtain information about Providence's financial assistance policies for patients and how to apply for such assistance.Any patient (or the patient's legal representative) seeking financial assistance from Providence provides the individual facility with information concerning health benefits coverage, financial status (i.e. income, assets) and any other information that is necessary for the hospital to make a determination regarding the patient's status relative to Providence's financial assistance policy, discounted payment policy, or eligibility for government-sponsored programs. For patients who have an application pending determination for either government-sponsored coverage or for the hospitals' own financial assistance program, Providence will not knowingly send that patient's bill to a collection agency.Eligibility for financial assistance will be determined as closely as possible to the date of service.
Part VI, Line 2:NEEDS ASSESSMENT:Every three years, Providence Little Company of Mary Medical Centers, San Pedro and Torrance conduct a community health needs assessment (CHNA) for the communities in South Bay. Little Company of Mary Medical Centers, San Pedro and Torrance contracted HC2 Strategies, Inc. to conduct and document this community health needs assessment. HC2 Strategies, Inc. is a healthcare consulting firm with expertise in health care systems, strategy and innovation, community health needs assessments, and program evaluation. Every three years, Providence San Fernando Valley Region conducts a community health needs assessment (CHNA) for the communities served by Providence Holy Cross, St. Joseph, and Tarzana Medical Centers. 2016 is the first year that the three hospitals have engaged in a joint community health needs assessment and represents a commitment to developing regional strategies, increased collaboration, and recognition of shared challenges and solutions among those we serve and partner with.Developing metrics for population health interventions are imperative for continued success in elevating the health status of our community. The CHNA ensures that we can target our community investments into interventions that best address community needs. Our hospital is transitioning from process evaluation based system to a more inclusive and regional focus of metrics. This requires being in alignment with statewide and national indicators, such as Healthy People 2020 and The County Health Rankings & Roadmaps. The domains used in this assessment encompass the same type of national and state community health indicators. We recognize that health status is a product of multiple factors. Each domain influences the next, and through systematic and collective action, improved health can be achieved. The hospitals conducted key informant interviews, focus groups, and an online survey with community based organizations to gather more insightful data and aid in describing the community. Key informants were selected based on their expertise in working with low-income, medically underserved, minority, or otherwise vulnerable populations related to mental health, access to wellness related services and health insurance application assistance. Focus groups focused on end-user experiences and needs related to mental health and access to wellness related services, including health insurance and application assistance. The online survey was targeted to community based safety net organizations and focused on service needs among clients. After all the primary and secondary data was collected and summarized, a group of 14 community stakeholders, including seven affiliated with Providence and seven from different community sectors (public schools, Public Health, FQHC's, community based organizations and faith organizations) met on two separate occasions to review the findings. In 2016, Providence Health and Services Community Benefit staff provided leadership that resulted in the formation of a regional coalition of hospitals working to devise standard core indicators for community health to be used in community health needs assessments, implementation plans, and program planning. The efforts of the coalition resulted in an enhanced custom report furnished by the Epidemiology Unit at the Los Angeles Public Health Department. Based on the results of the 2015 LA County Health Survey, the report covers 65 indicators related to community health status, the majority of which are reported in 2016 CHNA.The custom report presented data for each hospital, grouped by zip code to further breakout and define areas of greater and lower need in the total service area and better identify existing health disparities. For each of the 65 core indicators, an estimate was obtained for the community benefit service area (areas of greater need), the Broader service area (remaining zip codes after application of the Community Need Index), and Los Angeles County. Other secondary data sources included publicly available state and nationally recognized data sources such as the US Census Bureau, Centers for Disease Control and Prevention, Community Commons, Nielsen, and various other state and federal databases. When feasible, health metrics have been further compared to national benchmarks, such as Healthy People 2020 objectives to better gauge health in our community. It should be noted that the community based organization survey results are not based on a stratified random sample of community based safety net organizations throughout Los Angeles County. The perspectives captured in this data simply represent the partners who agreed to participate. In addition, this assessment relies on several local, national, and state entities with publicly available data. All limitations inherent in these sources remain present for this assessment.
Part VI, Line 3:COMMUNICATION TO THE PUBLIC:Providence hospitals post notices regarding the availability of financial assistance to low-income uninsured patients. These notices are posted in visible locations throughout the hospital such as admitting/registration, billing office, emergency department and other outpatient settings.Every posted notice regarding financial assistance policies contains brief instructions on how to apply for financial assistance or a discounted payment. The notices also include a contact telephone number that a patient or family member can call to obtain more information. At the time of registration, patients receive a packet that includes information on charity care and financial assistance. If patients have any questions, Providence has financial counselors that will educate them on any financial assistance through the hospital or any government program that the patient may qualify for.Providence ensures that appropriate staff members are knowledgeable about the existence of the hospital's financial assistance policies. Training is provided to staff members (i.e., billing office, financial department, etc.) who directly interact with patients regarding their hospital bills. When communicating to patients regarding their financial assistance policies, Providence attempts to do so in the primary language of the patient, or his/her family, if reasonably possible, and in a manner consistent with all applicable federal and state laws and regulations.Providence shares their financial assistance policies with appropriate community health and human services agencies and other organizations that assist such patients.

Part VI, Line 5:PROMOTION OF COMMUNITY HEALTH:As a not-for-profit Catholic health care ministry, Providence Health & Services embraces its responsibility to provide for the needs of the communities it serves - especially the poor and vulnerable. Providence's not-for-profit, tax-exempt status enables Providence to serve its communities, to solicit donations through its foundations and to access capital to respond to community needs that otherwise would go unmet. The charitable purpose of Providence Health & Services and each of its ministries is guided by one Mission and set of core values based on Catholic health care and guided by the legacy of the Sisters of Providence. As one system committed to caring for those who are poor and vulnerable, Providence Health & Services has developed a single framework for consistently reporting charity care and community benefit. Locally, Providence ministries are empowered to apply these policies to meet the needs of their community. Additionally, Providence ministries conduct local assessments to make sure the needs of the community are met.Opened in 2015 in partnership with Mercy Housing and Abode Communities, the Providence Wellness and Activity Center reflects a new endeavor to improved access to wellness services to Wilmington residents. Of the 14 communities that make up the South Bay, Wilmington is the community with the greatest, heath, social and economic disparities, compared to the more advantaged areas of the South Bay. The Center provides a place where residents can learn and grow and succeed in life by attending classes and support groups and access services that link them to community resources. Many of those who come to the facility are attending ongoing fitness, yoga, and Zumba classes, as well as dropping their children off at after-school and summer recreation programs. The Greater Los Angeles Area has a growing population of poor, uninsured and under-insured in need of basic health care, and the safety net has been further stretched by the current economic slowdown. In each service area, access to low cost or free primary care is the top health care need identified by the separate needs assessments conducted in the San Fernando Valley and South Bay regions. As the home to a large number of immigrants, all of whom have immediate health care and health education needs, finding a medical home and connecting children and adults to health care remains our greatest challenge. Untreated diabetes is epidemic, and among the growing Latino population the ability to provide services in Spanish is critical to successful clinical outcomes. Providence plays a leadership role in providing program infrastructure to the most economically disadvantaged communities in the service area and seeks to improve management of these chronic conditions. Each hospital's emergency department is open 24 hours and no patient is ever denied emergency care regardless of ability to pay. Because more and more patients utilize emergency rooms as primary care, Providence medical centers provide fast-track service for routine health issues and bilingual lay people to guide and direct children and adults to appropriate community based follow up services.Providence Saint Joseph Medical Center has a Paramedic Base Station where we relay instructions from our medical team so that paramedics can begin critical treatment protocols even before our patients arrive at the hospital. Furthermore, the Medical Center partners with Leeza's Care Connection, a safe home-like living room setting where family caregivers connect with each other and with vital resources. Located within Providence Saint Joseph's Hospital and Howard Hill Neuroscience Institute, all Leeza's Care Connection programs and services are free. They include scrapbooking to help caregivers and their loved ones honor memories, exercise and wellness programs for strengthening the body and the mind, and support groups so that caregivers can safely express, share, and connect during this challenging time. In addition, safety net organizations can apply for community grants from the Medical Center.Providence Holy Cross has one of the few Level II Trauma Centers serving both the San Fernando and Santa Clarita Valleys. As an open catchment trauma center, Providence Holy Cross Medical Center meticulously coordinates patient transportation within the LA system, ensuring that patients who have sustained traumatic injuries within our geographical area can get to the trauma center for treatment within the crucial 30-minute time period. As a Level II trauma center, our Center provides surgeons, surgical specialists, emergency physicians, nurses, and other healthcare professionals trained to give immediate care to the trauma patient. In addition, safety net organizations can apply for community grants from the Medical Center.
Part VI, Line 6:AFFILIATED HEALTH CARE SYSTEM:Effective July 1, 2016, Providence Health & Services and St. Joseph Health came together to serve more people in a partnership that joins two remarkable organizations with rich heritages. We are now connected by a new parent organization, Providence St. Joseph Health. Together, over 100,000 of our caregivers (employees) now serve in 50 hospitals, over 800 clinics and a comprehensive range of health and social services across Alaska, California, Montana, New Mexico, Oregon, Texas and Washington. All hospitals and other ministries will maintain their current names and identities. This parent structure allows our family of diverse organizations to work together to meet the needs of our communities both today and into the future.

ExplanationIn the application for support/financial aid, we request a detailed explanation of the kind of services provided to the community along with specific financial data. If the application for support is approved, we send a letter indicating the amount of the support along with a request for documentation of how the funds were used, along with a report of the number of children/families served over the year. Grants made to affiliated foundations are monitored on a monthly basis since the financial statements of these organizations are readily available. Part I, Line 1aProvidence Health & Services Expense Reimbursement Procedures include the following policies: Travel or Charter Travel or Travel of Companions Air travel is reimbursable and should be at the least expensive airfare; which permits departures and arrivals at reasonable times and reasonable distance traveled. Employees are encouraged to plan in advance to get available discounts. Airline frequent flyer upgrades will never be reimbursed. First class full fare tickets and charter must be approved by a senior level supervisor. Companion travel will only be reimbursed by the organization for travel related to relocation, and should not exceed two relocation-related visits, unless approved by the Executive Vice President, Chief Administrative Officer (EVP, CAO) of Providence St. Joseph Health. Spouse or Companion Travel. Travel expenses incurred by a PH&S employee's spouse or companion will not be reimbursed by PH&S unless the spouse or companion is required to, or invited to attend a PH&S System-sponsored meeting. These expenses may be considered a taxable benefit by the IRS and if so, will be included on the employee's W- 2. During 2016, there were 19 First Class tickets utilized by Officers, Directors or Key Employees listed on Form 990, Part VII. Tax Indemnifications or Gross-Up Payments - Relocation Providence Health & Services follows the federal and state taxation laws related to relocation expenses paid to the employee or to a third party on the employee's behalf. They are considered income and are therefore subject to payroll taxes. Based on the way Providence has chosen to pay the relocation expenses, Providence reports reimbursements and payments to vendors as income and these expense payments are reflected on the executive's Form W-2. Providence will gross-up the relocation benefits to offset the personal tax burden to the employee for IRS allowable expenses. During 2016, there were 5 Key Employees receiving gross-up payments. The amounts reported for these gross-up payments are included on Schedule J, Part II, Column B (iii) - Other Reportable Compensation on the Form 990. Tax Indemnifications or Gross-Up Payments - Financial/Retirement Planning Providence Health & Services follows the federal and state taxation laws related to other expenses paid to the employee or to a third party on the employee's behalf. They are considered income and are therefore subject to payroll taxes. Based on the way Providence has chosen to pay these other expenses, Providence reports reimbursements and payments to vendors as income and these expense payments are reflected on the executive's Form W-2. Providence will gross-up the financial/retirement planning benefits, during 2016 only, to offset the personal tax burden to the employee for IRS allowable expenses. During 2016, there were 4 Officers, 13 Key Employees and 2 Former Key Employees receiving this type of gross-up payment. The amounts reported for these gross-up payments are included on Schedule J, Part II, Column B (iii) - Other Reportable Compensation on the Form 990. In 2016 the percent allocation for each of these strategic priorities was as outlined below: System Goals: First-year Turnover - 10% Inpatient Experience - 5% Patient Experience - 5% Medical Group Patient Experience - 5% Community Benefit - 10% Clinical Excellence - 15% Free Cash Flow - 10% The remaining 40% was based on a robust set of function specific goals designed to align critical mission and business drivers.

Form 990, Part VI, Section B, line 15It is Providence's intention to make financial information accessible and transparent. Although the filing of Form 990 provides insight into how Providence achieves its Mission, delivers its programs and stewards its finances, deciphering the information directly from Form 990 can be challenging. The following paragraphs provide further information about the process we use to determine compensation for top management, officers and key employees. Providence has a single fiduciary Board, with responsibility for financial oversight associated with fulfillment of the Providence Mission, developing system policies, protecting the assets entrusted to the organization and overseeing the strategic and operational affairs of Providence's legal entities. Providence also maintains a network of community ministry boards with responsibility for quality of care oversight, community relations, advocacy and community needs assessments. Providence has a consistent compensation philosophy for all of its employees, including our senior executives. Salaries for senior executives are reviewed by the Providence Board's Human Resources Committee and approved by the full Board of Directors, none of whom is a Providence employee. The Board retains an independent consultant each year to review salaries of those in the most significant leadership roles in the organization. Part of the consultant's role is to review an extensive array of compensation surveys of large, not-for-profit health care systems in the United States. Providence is one of the larger health systems in the country, and as such, the Board benchmarks executive compensation against other large, not-for-profit health systems whose revenue is similar to that of Providence. Base salaries for Providence executives are set at the median level of the market, as identified by the independent consultant and reviewed with the Human Resources Committee. Each year, the Board Chair conducts a formal performance evaluation of the President/CEO that considers input from the other directors and senior leaders reporting to the President. The evaluation is discussed with the Human Resources Committee and then a recommendation is made by the committee to the full Board. The Board Chair and the Chair of the Human Resources Committee also meet with an independent consultant to develop a salary recommendation; which is reviewed and approved first by the committee and then by the Board of Directors. Additionally, the President/CEO utilizes the market information provided by the consultant along with formal performance evaluations, to determine salary recommendations for other senior executives. This process includes a rigorous analysis of those recommendations with the Human Resources Committee as a part of the review and approval process. Performance incentives allow executives to earn additional compensation if they achieve specific organizational goals for furthering Providence operating commitments and strategic objectives - advancing the Providence Mission and core values, meeting benchmarks for charity care, achieving quality targets, delivering top-rated patient satisfaction, meeting employee satisfaction goals and reaching financial performance objectives. The Board of Directors conducts a thorough process to ensure performance incentives are aligned with appropriate practices for not-for-profit health care systems. The Board's process for executive compensation fully complies with IRS standards and mirrors the best practices recommended in the "Report to Congress and the Nonprofit Sector on Governance, Transparency, and Accountability" submitted to the Senate Finance Committee by the Panel on the Nonprofit Sector.
Form 990, Part VI, Section C, line 19Public disclosure of governing documents, conflict of interest policy and 990 filings are made available to the public upon request. The consolidated financial statements are available on our public Internet site www2.providence.org. All governing policies including the conflict of interest policy, as well as 990 filings are available to employees on the Intranet site.
