ExplanationGrants to Children's Health: Transfer of funds by the Foundation to Children's Health and its affiliates are to reimburse them for expenditures that are to be covered by Foundation donated funds. Grants to others: Passion for Children's (PFC) is a section 501(c)(3) organization that raises money exclusively for Children's Health System of Texas (CHST) in conjunction with Children's Medical Center Foundation (CMCF). PFC is not a related organization to CMCF or CHST. The main fundraising vehicle is the Red Balloon Run and Ride which occurs in April each year. This event is held by PFC in support of CHST. CMCF grants overhead support in the amount of $150,000 per year, to offset staff expenses for PFC. In addition to the overhead support, CMCF assists PFC in soliciting sponsors for the Red Balloon Run and Ride. Any qualified sponsorship payments received are used to reimburse the production expenses for the Red Balloon Run and Ride. For purposes of monitoring the use of the funds granted to PFC, CMCF may request a review of expenses and overhead at any time during the year, however a review of expenses is completed in May of each year, after an accounting of all events costs have been obtained and all fundraising dollars are transferred to CMCF.ExplanationTxt

Schedule J, Part I, Line 3 Arrangement used to establish the top management official's compensationCHILDREN'S HEALTH SYSTEM OF TEXAS (EIN 75-2062019) IS THE SOLE MEMBER AND COMMON PAYING AGENT FOR CHILDREN'S MEDICAL CENTER FOUNDATION (CMCF). THEREFORE, Executives, OTHER OFFICERS, AND KEY EMPLOYEES ARE EMPLOYED AND COMPENSATED BY CHILDREN'S HEALTH SYSTEM OF TEXAS (CHST). The CHST process for determining executive compensation is as follows: The Human Resources Committee (Committee) of the CHST Board is responsible for setting the compensation for executives. The Committee is comprised of independent, non-employee directors. A written compensation philosophy has been developed by the Human Resources Committee for timeliness and appropriateness and defines the desired peer groups for compensation surveys. COMPENSATION PROGRAM COMPONENTS: The elements of total compensation provided to CHST executives include: - Cash compensation (i.e., base salary, short-term and long-term incentive compensation, and/or other cash compensation), determined in consideration of competitive market practices, organizational and individual performance, recruitment and retention considerations, and other relevant factors. - Standard benefits, assisting in each executive's medical, dental, disability, life insurance, time off, and retirement needs, reflective of the employment status (i.e., full or part time) of the executive. - Supplemental benefits, including supplemental insurance, retirement benefits, and/or other supplemental benefits determined by the Committee to be appropriate and reasonable in relation to marketplace practices. Compensation and benefits decisions are made in consideration of each executive's position, responsibilities, skills, effort, and performance, in relation to documented practices within the appropriate comparator group(s). PEER GROUP: The Committee has defined its primary peer group for executives as not-for-profit health care organizations similar in size, structure, and complexity. This group will include leading pediatric health systems as well as integrated health systems and academic medical centers. - Data will be compiled in a manner consistent with the IRS Intermediate Sanctions rules of federal tax law, to reflect what is "ordinarily paid to like executives by like enterprises under like circumstances." - In certain circumstances, market data from additional comparator groups (e.g., research institutions, insurance industry, and general industry companies) may also be referenced. - The specific nature of the role at CHST will be considered when adding comparator groups outside of the primary peer group, and the Committee will discuss and agree on the appropriateness of adding comparator groups whenever the specific nature of the CHST role requires additional comparator groups to be used.

Form 990, Part V, Line 2aCHILDREN'S HEALTH SYSTEM OF TEXAS (CHST) EIN 75-2062019 IS THE COMMON PAYING AGENT FOR CHILDREN'S MEDICAL CENTER FOUNDATION (CMCF) THEREFORE, ALL APPLICABLE IRS TAX COMPLIANCE FILINGS ARE REPORTED BY CHST ON BEHALF OF CMCF. CMCF HAS APPROXIMATELY 50 EMPLOYEES.
Form 990, Part VI, Line 15a PROCESS TO ESTABLISH COMPENSATION OF TOP MANAGEMENT OFFICIALCHILDREN'S HEALTH SYSTEM OF TEXAS (EIN 75-2062019) IS THE SOLE MEMBER AND COMMON PAYING AGENT FOR CHILDREN'S MEDICAL CENTER FOUNDATION (CMCF).
Form 990, Part VI, Line 1a Delegate broad authority to a committeeThe bylaws for Children's Medical Center Foundation define the governing Executive Committee as follows: Executive Committee, whose charter and membership shall be reviewed and approved annually by the Board of Directors of CHST, and shall be comprised of 10-15 elected members, and such other ex officio voting members as shall be provided for in the Executive Committee's charter, the majority of whom must be Directors of the Corporation. The chair of the Executive Committee shall be the chair of the Board of the Corporation. The Executive Committee shall have the power to perform any and all acts relating to the affairs of the Corporation and to exercise any and all powers of the Board in the management and direction of the business and conduct of the Corporation, subject to any limitations provided by applicable law, the Certificate of Formation of the Corporation or these Bylaws.
