Part III, Line 7:Aurora monitors the private use of its bond-financed assets and routinely takes steps to limit private use. Based solely on such assumption, Aurora has responded yes to this question.
Part III, Line 8b:Amounts reported include routine dispositions in the ordinary course of business at the end of an asset's useful life. When there is an anticipated transfer to a non-exempt entity, Aurora has a system in place and routinely works with counsel to take the appropriate remedial action prior to transfer. In most cases, an appropriate action is taken. However, if Aurora discovers that a transfer has not been remediated, Aurora has procedures in place and works with counsel to engage in the VCAP process. Aurora engaged in the VCAP process on the following three occasions and has received closing agreements for all three VCAP disclosures: Closing letter dated December 13, 2011 resulted in a tax payment of $335,944.43 as a term for resolution in request for a voluntary closing agreement pertaining to Series 1997 issued 9/1/1997. Form 990, Part VI, Section B, line 11The 2015 Form 990 was reviewed by the senior management of AHC and the chair of the audit committee. A copy of the final return was made available to the AHC Board of Directors.
Form 990, Part VI, Section B, line 12cOfficers, directors and key employees are required to complete a Conflict of Interest Statement on an annual basis. AHC Leadership reviews these statements for compliance with the established policy. When a conflict is discovered, the governing body determines if such conflict warrants a restiction on the capacity of the board member or key employee involved (e.g. recusal from decision-making or utilizing another method of non-participation in an activity).
Form 990, Part VI, Section B, line 15The following compensation review process was conducted in 2015: AHC's CEO and the CEO's executive team (the CEO's direct reports) have their compensation reviewed annually by the Compensation Committee of the AHC Board of Directors, which is vested with board-delegated powers to act on behalf of the board with respect to compensation matters in reviewing and establishing compensation for the CEO and the CEO's executive team. The Committee uses a process which is intended to create the presumption that payment of compensation to these persons constitutes reasonable compensation, defined as amounts that are within the range of compensation paid to similarly qualified persons in functionally-comparable positions at similarly-situated organizations. In this process, no member of the Committee who has a conflict of interest with respect to the compensation arrangement at issue is permitted to participate in the review and approval of that compensation arrangement. The Compensation Committee retains and consults with an independent compensation consultant who prepares a customized market-based analysis for the Committee regarding amounts paid to similarly-qualified persons in functionally-comparable positions at similarly-situated organizations. The Committee uses the market-based analysis provided by the consultant, and where appropriate, performance review and compensation recommendations, to establish market-based compensation for the CEO and the CEO's executive team. After making its compensation decisions, the Committee documents its deliberations and decisions in AHC's written or electronic books and records. Key employees and all other employees have their compensation reviewed and approved by their leader annually within market-based guidelines prescribed by the organization's Human Resources function. These market-based guidelines are established using applicable comparability data and similar compensation metrics that are based on similarly-qualified persons in functionally-comparable positions at similarly-situated organizations. Documentation and recordkeeping for these deliberations and decisions are maintained.
Form 990, Part VI, Section C, line 19The Articles of Incorporation for Aurora Health Care, Inc. are on file with the State of Wisconsin, Department of Financial Institutions. The financial statements are also on file with the State of Wisconsin, Department of Financial Institutions. The conflict of interest policy is available upon request.
