| Explanation | THE PURPOSE OF THE COUNCIL IS TO IMPROVE THE WORKING CONDITIONS OF LABORERS THROUGHOUT CALIFORNIA AND TO ACTIVELY PARTICIPATE IN THE STATE LEGISLATIVE AND ADMINISTRATIVE PROCESS. Part VI, Line 8B: The council does not have any committees with authority to act on behalf of the governing body. PART VI, LINE 11B: THE FORM 990 IS PREPARED BY THE CSCL CPA AND PRESENTED TO THE DIRECTOR FOR REVIEW. HE FORWARDS IT TO A BOARD MEMBER FOR SIGNATURE THEN FILES. After filing Form 990, copies of the RETURN are distributed at the board meeting. PART VI, LINE 12C: In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the CSCL Board considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the CSCL Board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining CSCL Board members shall decide if a conflict of interest exists: A.) An interested person may make a presentation at the CSCL Board meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest; B.) The chairperson of the CSCL Board shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement; C.) After exercising due diligence, the CSCL Board shall determine whether the CSCL can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest; D.) If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the CSCL Board shall determine by a majority vote of the disinterested officers and CSCL Board members whether the transaction or arrangement is in the CSCL's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into transaction or arrangement. Part VI, Lines 15A and 15B: Compensation was agreed upon in 2004 for each employee and Director of the Council. A cost-of-living increase has been approved by the board each subsequent year.
