FORM 990, SCHEDULE J, PART I, LINE 1AHOUSING ALLOWANCE OR RESIDENCE FOR PERSONAL USEA HOUSING ALLOWANCE IS PROVIDED TO THE CHANCELLOR (GARY BRAHM). IT IS CONSIDERED A TAXABLE BENEFIT AND AS SUCH, IS INCLUDED IN HIS W-2 EARNINGS. Schedule J, Part I, Line 4B Supplemental Nonqualified Plan Gary Brahm participated in a nonqualified Deferred Compensation Agreement dated December 21, 2007. Under the terms of the Agreement, during the calendar year 2008 twelve monthly payments equal to 1/12 each of Brahm's base salary was credited to a separately maintained bookkeeping account of the University. As of December 31 of each year, commencing December 31, 2008, all amounts credited to the account were credited with interest at the rate equal to the 10-year Treasury Bond rate. In 2012 Full payment was made of all amounts credited to the account, including all deemed earnings. Amounts paid under this plan of $277,917 are reported in Part II, column (b)(iii) and column (f). Executive Retirment Agreements Gary Brahm and Saskia Knight (Executive) participate in a Supplemental Deferred Compensation Plan effective June 1, 2007. Under the terms of the Plan, variable retirement compensation is indexed to the level of success that the Executive is able to achieve with respect to the improvement in University operations, measured during the 10-year period beginning on the day Executive retires or when the Employment Agreement is terminated pursuant to its terms. Under the conditions of the Plan, Executive shall be paid ten annual retirement payments only if Executive has served the University for a minimum of 5 years, or if Executive has terminated the Employment Agreement pursuant to a Change in Control, and if Executive has continuously achieved the Minimum Performance Standard set forth in the Employment Agreement and has devoted the time and skills required under such Employment Agreement. Pursuant to the vesting share requirements under the Plan, if employment is terminated prior to sixty months because the minimum performance standards are not met or if termination occurs by the discretion of the board and Executive has served at least thirty months, then Executive will receive a proportional share of the retirement benefits equal to the number of months served under the Employment Agreement divided by sixty. If during any of the last nine years of the term, the operating surplus of the University increases or decreases by over 15% of the operating surplus of the immediately preceding year, then the maximum increase, or decrease, is limited to 15% of the retirement payment actually payable for the prior year. No amounts were paid or accrued under this Agreement during the year.
