CAREFULLY EVALUATES COMPETITIVE INFORMATION FOR SIMILARLY QUALIFIED INDIVIDUALS IN COMPARABLE POSITIONS AT LIKE SIZED AND SITUATED ORGANIZATIONS AND HAS THE OPPORTUNITY TO ASK QUESTIONS OF THE QUALIFIED PERSON WHO ANALYZES THE INFORMATION; AND, 4. CONTEMPORANEOUSLY RECORDS DECISIONS AND ACTIONS, CLEARLY DEMONSTRATING THAT ALL APPROVALS ARE SECURED BEFORE PAY ACTIONS ARE UNDERTAKEN. |

PHS BYLAWS BECAME EFFECTIVE JUNE 27, 2012. PHS COUNCIL REMAINED AS THE GOVERNING BODY OF PHS THROUGH JUNE 27 2012 AT WHICH POINT THE PHS EXECUTIVE COMMITTEE BECAME THE NEW BOARD OF DIRECTORS THROUGH THE ANNUAL MEETING (SCHEDULED FOR NOVEMBER 13 2012) AND A NEW BOARD OF DIRECTORS WOULD THEN BE ELECTED. PHS'S GOVERNING BODY IS THE BOARD AND PHS COUNCIL BECAME AN ADVISORY COMMITTEE. THE AMENDED BYLAWS AND THE ARTICLES OF INCORPORTION ELIMINATE THE VOTING RIGHTS OF PHS MEMBERS TO ELECT MEMBERS OF THE GOVERNING BODY; AND CREATE A GOVERNING BOARD OF 12-18 MEMBERS WITH FIDUCIARY AUTHORITY AND TERM LIMITS. THE GOVERNANCE AND NOMINATING COMMITTEE IS RESPONSIBLE FOR THE NOMINATION OF CANDIDATES TO SERVE ON THE BOARD. A MAJORITY OF THE MEMBERS OF THE BOARD SHALL CONSTITUTE A QUORUM . PRESIDENT OF THE SOCIETY IS A VOTING, EX-OFFICIO MEMBER OF THE BOARD AND ALL OF ITS COMMITTEE EXCEPT THE AUDIT AND COMPLIANCE COMMITTEE AND THE EXECUTIVE COMPENSATION COMMITTEE.
