| Explanation | MIPI is exempt from federal and state income taxes under Section 501(c)(6) of the Internal Revenue Code. Accordingly, no provision for income taxes has been reflected. The Organization has been determined by the Internal Revenue Service not to be a "Private Foundation" within the meaning of Section 509(a) of the Internal Revenue Code. MIPI adopted the accounting pronouncement dealing with uncertain tax positions, as of January 1, 2009. Upon adoption of this accounting pronouncement, MIPI has no unrecognized tax benefits. Furthermore, MIPI had no unrecognized tax benefits at December 31, 2011 and 2010. Our evaluation was performed for the tax years ended December 31, 2008, 2009, 2010, the tax years which remain subject to examination by major tax jurisdictions as of December 31, 2011.
