IdentifierIdentifierExplanationExplanation
Part I Line 3cPatients who are uninsured or underinsured and cannot pay for hospital services are eligible for charity consideration. These patients are screened by designated team members in our Financial Assistance Department. The Agency for Health Care Administration (AHCA) defines charity eligibility at 200 percent of the federal poverty guidelines, unless the total hospital bill is more than 25 percent of the patient's annual income. Medicaid recipients who have exceeded their coverage limits are also considered for charity care. Morton Plant Hospital Association, Inc goes above and beyond the AHCA requirements by providing additional "hardship" charity for patients who are at 250 percent of the federal poverty guidelines. In addition, an uninsured discount of 40% is automatically given to any patient who does not have insurance coverage or benefits. There is no income or asset test required for the uninsured discount. Patients receive an additional 10% discount if the account is paid within 30 days.
Part I Line 6aN/A - The Community Benefit Report is available to the public.
Part I Line 7Financial assistance and means-tested government programs costs (lines A through D) are determined using our cost accounting system, which captures all inpatients and outpatients, including emergency room patients. The system also captures all patient pay types - private insurance, Medicare, Medicaid, uninsured and self pay. The costs have been offset by any payments received from Medicaid or any other uncompensated care program. Other benefits at cost (lines E through J, as well as amounts reported in Part II) were compiled by the community health department using the Catholic Health Association guide for planning and reporting community benefits.
Part I Line 7 Column fBad Debt expense of $30,604,434 was included on form 990, Part IX, Line 25, Column (a), but subtracted for purposes of calculating the percentage in this column.
Part III Line 2,3, & 4The organization's financial statements do not include a footnote directly on bad debt expense. Bad debt expense is reported as total bad debt for the facility. The amount of bad debt expense attributable to patients eligible for financial assistance is calculated as a charge ratio, derived from data sampling. The resulting charge ratio is then applied to total bad debt accounts of the organization, which calculates the bad debt attributable to finance assistance. The state of Florida requires the patient to provide certain documentation in order to qualify for financial assistance. In cases where the patient has not responded to hospital requests or billing statement alerts, those accounts are processed as bad debt, if unpaid.
Part III Line 8Cost reports were used to report Medicare allowable costs. Medicare defines allowable costs as those appropriate and helpful in developing and maintaining the operation of patient care facilities and activities. It specifically excludes certain costs that are not directly related to patient care. The hospital incurs additional expense related to the provision of care to Medicare patients that Medicare has deemed non-allowable. This additional expense includes costs of physician services (emergency on-call fees, hospitalist program, recruitment, etc.), advertising costs, cafeteria costs for meals sold to visitors, etc. The hospital attempts to collect coinsurance and deductibles from Medicare beneficiaries. To the extent collection efforts are unsuccessful, Medicare reimburses the hospital at 70% of unpaid amounts. The following table reconciles the surplus or shortfall from Line 7 to the actual surplus or shortfall. The additional costs were allocated to Medicare based upon Medicare's percentage of total allowable costs. The unpaid coinsurance/deductibles were estimated using historical collection results. Any shortfall amounts have not been treated as community benefit. Line 7 Surplus or (Shortfall) ($3,899,494) Additional non-allowable costs and unpaid/non-reimbursed coinsurance/deductibles ($19,925,290) Total Surplus or (Shortfall) ($23,824,784)
Part III Line 9bPatients who are unable to pay are encouraged by BayCare Health System representatives, via personal interviews, signage, on patient billing statements, brochures or Customer Service phone calls, to submit financial information to the Financial Assistance Department to determine eligibility for programs, such as County, Medicaid, Disability, Victims of Crime, Charity, etc. For those patients who provide all the necessary documentation and qualify for charity according to the Financial Assistance policy, (defined in Part I, line 3c), patients' account balance would be written off completely to charity and not billed to the patients.
Part V Section B Line 11An uninsured discount of 40% is given to any patient who does not have insurance coverage or benefits. There is no income or asset test required for the uninsured discount. Patients receive an additional 10% discount if the account is paid within 30 days.
Part V Section B Line 14Contact information related to financial assistance is posted in the emergency room waiting area, admissions office, and printed on all patient billing.
Part V Section B Line 16Lien action related to collections is limited to patients involving auto liability insurance.
Part V Section B Line 20dPatients who are uninsured or underinsured and cannot pay for hospital services are eligible for charity consideration. BayCare Alliant Hospital, Inc goes above and beyond the AHCA requirements by providing additional "hardship" charity for patients who are at 250 percent of the federal poverty guidelines. Once a patient is identified as eligible for financial assistance his/her account balance is written off 100% to charity write-offs and are no longer billed for services provided.
Part VI Line 2 - Needs AssessmentMorton Plant Hospital Association, Inc is committed to meeting the needs of the community it serves. Our quality philosophy is modeled around understanding our customers' needs in the communities it serves. Morton Plant Hospital Association, Inc addresses community health status assessments by accessing existing third party databases profiling health status information for geographies it serves. The assessments provide a profile of health status indicators in comparison to state averages and, if available, national benchmarks. In addition, Morton Plant Hospital Association, Inc conducts physician community need studies that outline physician deficits by specialty for the geographic area served. Studies are also conducted to identify gaps in geographic access to services such as primary care, outpatient services and inpatient services. All of the above processes occur on an ongoing basis to assist Morton Plant Hospital Association, Inc in developing initiatives and programs/services to address identified health care needs in the communities it serves.
Part VI Line 3 - Patient Education of Eligibility AssistanceMorton Plant Hospital Association, Inc Financial Assistance team members are dedicated to assisting patients in obtaining assistance through federal, state and local government programs or through the Morton Plant Hospital Association, Inc financial assistance policy. Signage and brochures are available, as well as team members whose full responsibility is to assist patients in the emergency room and on inpatient units. The Financial Assistance team interviews patients for all available programs, assists the patients in completing applications to government agencies and for hospital charity care, advises patients regarding available community resources for health care, reviews and approves patient requests for charity care, and provides education and support to the patient throughout the assistance process. In addition to the aforementioned comprehensive process, Morton Plant Hospital Association, Inc also informs and educates patients who may be billed for patient care, but may be eligible for charity or other programs, via patient billing statements and customer service representative calls. The goal in using these various means is to effectively communicate with the entire patient population so they are informed and educated about their eligibility for assistance.
Part VI Line 4 - Community InformationMorton Plant Hospitals is in a suburban setting serving parts of Pasco and Pinellas counties. The average income is lower than both the state and national averages. The population served is predominantly Caucasian and high-school or higher educated. Hispanics are the second largest ethnic group representing 11% of the population and 13% of households are poverty level. Morton Plant Hospitals are part of BayCare Health System that serves west central Florida. The area served by Morton Plant Hospitals has 13 hospitals with 6 being Not-for Profit. There are 6 federally designated medically underserved areas in Morton Plant Hospitals' service area. With the service area expanding and the over 55 population expected to grow 9% in the next five years, the health care needs of our service area are expanding and changing. The population served by Morton Plant Hospitals is expected to grow 3.7% in the next 5 years. This expected growth is similar to the expected growth rate for the United States. However, the population Age 55+ is expected to grow 11% in the next 5 years. The community experiences higher incidence rates compared to the state of Florida in the following areas: adults with asthma, HIV cases, AIDs cases, adults with high blood cholesterol, melanoma, asthma hospitalization, adult smokers, domestic violence, fully immunized kindergarteners and sexually transmitted diseases. Based on Florida inpatient discharge data for the period of 10/01/11-09/30/12, the payor mix for the geographic area consists of 54.8% Medicare/Medicare HMO, 14.2% Medicaid/Medicaid HMO, 20.5% Commercial Insurance, 7.4% Self-pay, and 3.1% Other.
Part VI Line 5 - Promotion of Community HealthMorton Plant Hospital and Morton Plant North Bay Hospital The history of Morton Plant Hospital Association began in 1916 when Morton F. Plant responded to the lack of hospitals and medical care in the area by helping the community raise funds needed to open a 20-bed hospital. Morton Plant North Bay Hospital opened in 1965 in New Port Richey, Florida and was subsequently acquired by Morton Plant Hospital Association, Inc. Today, Morton Plant Hospital Association continues in that same philosophy of improving the health of the community with two hospitals that set the standard for high-quality, compassionate care - Morton Plant in Clearwater, Florida and Morton Plant North Bay in New Port Richey, Florida. Services are provided through more than 7,300 Morton Plant Mease employees and more than 1,100 board-certified physicians. According to a 2011 study from the Pinellas County Coalition for the Homeless, there are approximately 5,887 homeless men, women and children in Pinellas County. The study revealed that 32.8 percent of respondents admitted to experiencing Depression and 23.1 percent deal with Mental Illness. The Coalition notes that while these are not clinical diagnoses, high reported prevalence rates of Depression, Physical Disability, Mental Illness, Alcohol Abuse, and PTSD, as well as a willingness to admit to these, indicates a substantial need for help with regard to these conditions among the homeless population. BayCare Behavioral Health and the Homeless Emergency Project (HEP), along with Morton Plant Hospital partnered together to apply for and receive a five-year grant of $400,000 for each year for a total of $2 million from the U.S. Department of Health and Human Services Substance Abuse and Mental Health Services Administration (SAMHSA) Center for Substance Abuse Treatment (CSAT). The project entitled, Supportive Housing Overlay Program (SHOP) operated in its third year of service delivery in therapeutic clinical and case management areas that contribute to homeless intervention and treatment programming. The staff continues to strongly be supported by BayCare and HEP leadership and have had no administrative obstacles other than the complex challenges brought by this high-risk, co-occurring homeless population which requires holistic intervention leading to permanent housing. Emphasis continues to be applied to utilizing motivational interviewing since it appears to have meaningful impact with the target population. The latter has strengthened the alliance for creating the right ambiance for building a meaningful comfort zone for the client population to engage in program and evaluation activities. Significant findings (improvement) for 75 participants completing pre- and post-program evaluations indicate that the persistence of mental health symptoms is reduced. Veteran and Inebriate Program In 2010, BayCare Behavioral Health and Morton Plant Mease applied for and received a five-year grant of $350,000 for each year for a total of $1,750,000 million from the U.S. Department of Health and Human Services Substance Abuse and Mental Health Services Administration (SAMHSA) Center for Substance Abuse Treatment (CSAT). BayCare was awarded funding for the Veteran and Inebriate Program (VIP) to provide services for homeless veterans and chronic inebriates experiencing behavioral health disorders in Pinellas County, Florida. VIP is designed to expand and strengthen treatment resources for 420 individuals based on identified local needs. As the project moves into its second year of operation, the evaluation team continues to assess this challenging case management and therapeutic treatment endeavor that serves a target population of homeless veterans and chronic inebriates experiencing behavioral health disorders. Four of our Advisory Group members are residents themselves and this helps us remain concrete in areas which warrant new initiatives, attention and/or corrective action. The program also captures process data and interfaces it with outcome data in both areas of outreach and maintaining participants in a safe home and treatment environment including access to resources to support their recovery and reduce their clinical symptoms. Ultimately the goal of the program is to reduce clinical symptoms while improving the program participant's quality of life. To date, 250 VIP participants have received a bio-psychosocial assessment from a licensed clinician; 214 VIP participants have received clinical services from a licensed clinician to include trauma/PTSD (Post Traumatic Stress Disorder), illness management, mental health treatment, substance abuse treatment, co-occurring treatment, crisis counseling, motivational interventions, and discharge planning; 250 VIP participants have received Role Recovery Services from a Bachelor's level Role Recovery Specialist to include functional assessment, Wellness Recovery Action Planning (WRAP), case management, psychosocial rehab, activities of daily living, and other support services; and 250 VIP participants have received HIV, Hepatitis B and Hepatitis C education. Free Community Clinic Support Community members who are uninsured or under-insured often rely on free clinics to meet their health care needs. These clinics survive on generous donations - both financial and in-kind - to provide valuable services to the community. Morton Plant Mease physicians also donated their time to provide care at three area clinics: Clearwater Free Clinic: Morton Plant Mease is a community partner with the Clearwater Free Clinic, which provides health services to low-income citizens. The clinic operates with volunteers and one paid administrator. When services are beyond the clinic's capability, patients are referred to our hospitals. Morton Plant Mease donated $150,000 in 2012 to the clinic for support of ongoing services. Morton Plant Mease provided 15 free sleep studies and CPAP machines to Clearwater Free Clinic patients as a treatment for sleep disorders. La Clinica Guadalupana: La Clinica Guadalupana is a free clinic that provides health care to Pinellas County's rapidly growing Hispanic community. Morton Plant Mease provides $50,000 annually to support ongoing operations which include services such as primary, gynecological and pediatric care; free health screenings; and immunizations. Willa Carson Health Resource Center: The Willa Carson Health Resource Center in Clearwater provides basic health services to community members at no charge. Morton Plant Mease provides $50,000 annually to support ongoing operations. Services include blood pressure tests, diabetes screenings, lead screenings, physicals and tuberculosis (TB) testing. In 2012, 14 free sleep studies and 12 CPAP machines were provided to patients referred from the Willa Carson Health Resource Center. Morton Plant Hospital Morton Plant Hospital's heart care continues to be nationally recognized. Morton Plant was recognized 13 times as a top hospital for heart care, after Thomson Reuters selected Morton Plant in its annual study identifying the top 50 U.S. hospitals. The Society for Thoracic Surgeons awarded Morton Plant Hospital's heart surgery program with its prestigious overall three-star rating for the third time. Morton Plant Hospital was nationally recognized on 2012's Thomson Reuters 100 Top U.S. Hospitals study based on overall organizational performance. Improving Access to the Diagnosis of Breast Cancer-To expand access to comprehensive and timely diagnosis of breast cancer, Morton Plant Mease opened a third location of the Susan Cheek Needler Breast Center which offers an integrated network of comprehensive breast health services that are focused on the needs and concerns of all women. It features a tranquil atmosphere, upgraded amenities and comfortable women's only waiting areas. Located at the Trinity Outpatient Center, the facility brings specialized breast cancer diagnostic services to the Pasco County area. A full range of diagnostic tests including mammograms, ultrasound and biopsies are performed at the center. Morton Plant Master Site Plan--Construction began in 2012 for a comprehensive master site plan to create a seamless facility design that ties together the existing inpatient buildings for the almost 100-year-old hospital campus. The new facilities will house a number of clinical services including surgery, women's and newborn services and orthopedics. The overall plan will provide improved patient access and navigation, better alignment of resource utilization and efficiencies, larger operating suites, flexibility in future planning and additional space for ancillary departments and storage. Excellence in Supporting New Mothers--Morton Plant Hospital's work in offering support and education to breast feeding mothers through classes and support groups has been recognized with the Care Award from the International Board of Lactation Consultant Examiners and International Lactation Consultant Association.
Part VI Line 5 - Promotion of Community Health ContinuedNursing Care Morton Plant and Morton Plant North Bay hospitals hold the "Magnet" designation, the coveted gold standard for nursing excellence from the American Nurses Credentialing Center (ANCC), for the second time. Magnet designation, first awarded to the hospitals in 2003 and then again in 2008 by the ANCC, is the culmination of a comprehensive process that evaluates the patient care, working environment, interdisciplinary relationships and processes of the entire organization. This nursing award recognizes excellence in the management, philosophy and practices of nursing services, adherence to national standards for improving the quality of patient care services, leadership of the nurse administrator in supporting professional practice and continued competence of nurses, understanding and respecting the cultural and ethnic diversity of patients, their significant others and health care providers. Health Professional Education Student clinical experiences afford health care students opportunities to learn skills and knowledge necessary to function in acute care facilities. Students are provided with diverse experiences in multiple patient settings based on the level of education they have received. Clinical experiences allow students to obtain the guidance, supervision and encouragement necessary to gain competence in clinical techniques. Nursing students from St. Petersburg College, Pinellas Technical Education Center, Galen College of Nursing, University of South Florida, Pasco-Hernando Community College and Rasmussen College completed their clinical internships at many facilities throughout MPM. In total, $2,933,856 in staff time for nurses, dietitians, lab technologists and respiratory therapists was used to educate these future nurses about many aspects of patient care. Students pursuing careers in other health fields, such as hospital chaplaincy and radiation therapy, also completed internships and clinical rotations at MPM. In 2012, students studied at our facilities with team members devoting more than $166,125 toward their time and training. Future Health Care Workers Palm Harbor University High School: The Center for Wellness and Medical Professions (CWMP) at Palm Harbor University High School is designed to prepare students for entry into post-secondary health care studies as well as direct entry into health industry careers. Graduating seniors exit the program with a strong background in medical technology and pathophysiology, in addition to having completed clinicals in their chosen fields. Morton Plant Mease staff time in providing educational tours for the students represents a value of $1,154. Camp Nurse Jr. Seventh and eighth-grade students who are interested in becoming a doctor, nurse or other health care professional attended Camp Nurse Jr. During the week long camp, students experience health care careers through visits to various hospital departments and hands-on activities such as working with computerized patient simulators. The camp was held at Mease Dunedin Hospital and taught by registered nurses from Morton Plant Mease Health Care. Women's & Children's Care The Sarah Walker Women's Center at Morton Plant Hospital offers a family centered environment to allow mothers, fathers and infants to remain together as much as possible. The World Health Organization and United Nations Children's Fund has re-designated Morton Plant Hospital as a UNICEF "Baby-FriendlyTM" birth facility. A Baby-Friendly facility promotes and supports breastfeeding by empowering mothers to give their infant the best possible start in life. In recognition of its focus on supporting breastfeeding mothers, Morton Plant received the Care Award from the International Board of Lactation Consultant Examiners (IBLCE) and the International Lactation Consultant Association (ILCA). Morton Plant offers all board-certified physicians, a Level II Neonatal unit staffed with neonatologists and neonatal nurse practitioners and board-certified lactation consultants to assist with breastfeeding concerns. Birthing, childcare and breastfeeding classes and support are offered to expectant parents, as well as an online class for parents who prefer to learn on their own schedule. To strengthen advanced children's care in north Pinellas County, Morton Plant Mease Health Care forged a partnership in 2009 with St. Joseph's Children's Hospital of Tampa. The St. Joseph's Children's Specialty Center offers specialists, community education and pediatric speech, occupational and physical therapy. The partnership brings in the resources of a premier children's hospital to Morton Plant Hospital's family-centered care. The partnership includes emergency services and neonatal intensive care units. Physicians at Morton Plant follow the same protocols as St. Joseph's Children's physicians. A child life specialist works with children and their parents to bring a sense of normalcy to the experience of hospitalization. Pre-Natal Care for Drug Treatment Patients Babies born to mothers addicted to drugs are a problem in the state of Florida and across the country. Morton Plant Hospital offers expectant moms addicted to drugs a program that crosses the continuum of care from prenatal through hospital stay. The hospital has reached out to the drug treatment centers to register expectant mothers who are on methadone into a special prenatal class. The hospital also provides a parent advocate that works one-on-one with the parents to enhance bonding and teach parenting skills such as soothing techniques for babies suffering the effects of drug withdrawal. Gynecological Wing Morton Plant has a dedicated women's medical/surgical unit to provide for women's gynecological and medical surgery recovery needs. All private rooms enhance privacy to make it more comfortable for family members to stay with recovering patients. Care for Menopausal Women Morton Plant Mease Women's Services is part of the national group, Red Hot Mamas, to raise awareness of women's health in menopausal years. The alliance has led to workshops, lectures and events to educate and equip women for dealing with health concerns and issues related to menopause. Concussion Management Program for Student Athletes Morton Plant Mease's sports medicine program for student athletes reached a milestone in 2012, screening 1,700 student athletes in Pinellas County, Florida, with ImPACT, (Immediate Post-Concussion Assessment and Cognitive Testing) an objective measurement tool used for concussion screenings. ImPACT is a neurocognitive test that measures visual and verbal memory, reaction time, visual motor time, and impulse control. The baseline test is compared to a follow up test after a concussion occurs to determine if there are any changes in the brain, whether or not the student athlete needs to be sidelined for a period of time, and when an athlete can return to play. Sports Medicine Conference Sports medicine experts from BayCare Health System presented at the 2012 BayCare Sports Medicine Conference, The Female Athlete: Strategies for Optimal Performance and Injury Prevention. Female athletes, along with parents, coaches and health care providers attended the conference to hear such topics as recognizing and preventing injuries to the knee, hip, shoulder and elbow; getting the right amount of sleep to improve athletic performance; exercise-induced breathing problems; functional training techniques for sports rehabilitation; and the effects of substance abuse on endurance and performance. Psychiatric Care For more than 20 years, Morton Plant Hospital has provided inpatient treatment to those suffering from a personal crisis or mental illness that requires treatment in a structured, supervised setting. Inpatient treatment consists of individual and group sessions, activity therapy, medication therapy and social work services. A qualified team of behavioral health professionals, including psychiatrists, nurses, social workers, case managers and mental health technicians, assist patients in the treatment process with the goal of stabilizing symptoms and developing an appropriate discharge plan for follow-up care in a less restrictive setting. In 2012, Morton Plant's behavioral health inpatient programs addressed the needs of three groups. The adult inpatient program is specifically designed for adults 18 years and older that have a primary mental health disorder or a co-occurring mental health and substance abuse disorder. The geriatric inpatient program is a secure unit providing individualized treatment to help elderly people 62 years and older overcome behavioral health problems. A variety of treatment options are available to help meet the special needs of older patients, stabilize them and improve their daily functioning. Part VI Line 6 - Affiliated Health Care SystemMorton Plant Hospital Association, Inc is part of BayCare Health System, a leading, community-based health system in the Tampa Bay area with 20,100 employees, 10 not-for-profit hospitals, 14 outpatient centers, and a complete range of services, such as imaging, laboratory, behavioral health, and home care. BayCare hospitals include Mease Countryside, Mease Dunedin, Morton Plant, Morton Plant North Bay, St. Anthony's, South Florida Baptist, St. Joseph's, St. Joseph's Women's, St. Joseph's Children's, and St. Joseph's Hospital-North. St. Joseph's hospitals operate as one entity and file one Form 990. BayCare was founded in 1997 when the area's top not-for-profit hospitals came together, united by a common mission to improve the health of their communities and continue caring for all patients regardless of their ability to pay. In 2012, BayCare provided $188.6 million in community benefits, which includes $86.2 million in traditional charity care, $91.5 million in Medicaid and other means-tested programs, and $10.9 million in unbilled community services. All of these are measured in unreimbursed cost. BayCare's financial stability and centralization of shared services in finance, information technology and human resources strengthens each hospital's ability to allocate resources to meet the needs of their communities. BayCare's hospitals are located in three geographic regions, each with its own Board of local leadership focused on its community's specific needs. BayCare also meets the needs of the community by being one of the largest employers in the Tampa Bay region, spending $1.2 billion on payroll and benefits for 20,100 employees. In 2012, BayCare added 500 new employees during a tough economy when unemployment rates in other areas remained high. To meet the health care needs of the community, BayCare provides expert medical care through a network with more than 200 access points connecting patients to a complete range of preventive, diagnostic and treatment services for any health care need. BayCare's network includes primary care and specialist physicians, urgent/immediate care centers, imaging, wellness centers, and 21 laboratory locations providing general, specialized and molecular testing. In addition, BayCare's home care division is one of the largest in Florida, providing 622,000 home health visits in 2012, helping patients leave the hospital sooner and recover at home where they are more comfortable. Recognizing the community's need for mental health services, BayCare also continues to be the largest, not-for-profit provider of behavioral health services in west central Florida. BayCare Behavioral Health offers inpatient, outpatient, in-home treatment, support group and case management services. BayCare's designated Baker Act-receiving facilities in Hillsborough, Pinellas, and Pasco counties provide inpatient crisis stabilization and partial hospitalization programs as part of the continuum of mental health care. BayCare also operates the only private, freestanding Baker Act-receiving hospitals in Hillsborough and Pasco counties. In 2012, BayCare began the process of assisting each hospital with a Community Health Needs Assessment (CHNA) as required by the Patient Protection and Affordable Care Act. As part of the process, BayCare conducted primary research with community stakeholders and focus groups, and secondary research to analyze the area's health status indicators, morbidity, mortality prevalence rates, socio-economic factors, behavioral risk factors, community needs scores, and prevention quality indicators. BayCare will use this information to develop reports for each hospital, implementation plans to address identified community needs, and specific measures to monitor progress. BayCare also continued developing its clinically integrated network, known as BayCare Physician Partners. This is a new model of care designed to improve the clinical coordination between employed physicians, independent physicians and health system resources. The goal of BayCare Physician Partners is to improve the overall health and patient experience of populations served by the network. More than 1,100 physicians joined BayCare Physician Partners in 2012. The network also approved 17 clinical performance measures for all of its member physicians and attained contractual agreements with three major health plans, affecting about 50,000 patient lives in the area. In addition to the strong growth of physician membership in 2012, BayCare Physician Partners continued developing the administrative and technology infrastructure needed to deliver the network's improved care coordination and overall population health in 2013. To meet the health care needs of a growing but medically underserved area in southern Hillsborough, BayCare has started construction on St. Joseph's Hospital South, a 352,000-square-foot, 90-bed, acute-care community hospital. The $237-million facility, which includes an 86,000-square-foot medical office building, is scheduled to open in 2015. In 2012, BayCare also successfully completed its seven-year implementation of a system-wide, electronic medical record at its 10 hospitals. With the completion of the project, all ancillary, nursing and physician staff members now document clinical information electronically, providing the entire care team with a more complete and more accurate care record, available in real time. BayCare hosted its largest annual Quality Sharing Day event in 2012, with more than 600 employees taking part in a full day of learning about best practices from Six Sigma and performance improvement projects throughout the health system. The event featured 13 teams presenting summaries of successful process improvements and 80 storyboard exhibits on projects recognized for quality contributions. Since BayCare began its Six Sigma program in 2004, thousands of employees have participated in performance improvement projects that have helped drive process efficiency and cost savings throughout the organization. To help educate future nurses and health care professionals, BayCare collaborates with Hillsborough Community College, University of Tampa, St. Petersburg College, Pasco Hernando Community College, and the Pinellas Technical Education Center. In 2012, BayCare also supported more than 90 community organizations and charities, big and small, through event sponsorships as part of the health system's commitment to the community. These organizations include the American Heart Association, Susan G. Komen for the Cure, American Cancer Society, the Tampa Bay Partnership: ONE BAY Healthy Communities, and local economic development councils and chambers of commerce.

Part VIPart VI, Lines 15a & 15b - Process used for Compensation Review and Approval The filing organization does not directly compensate some of its top management employees; rather compensation is paid by a related organization that also follows the compensation policy of the Compensation Committee. The independent Compensation Committee is appointed by the Board of Directors. The Compensation Committee's purpose is to provide oversight for the organization's executive compensation program, review and approve compensation and benefits for all "disqualified persons" subject to the Intermediate Sanctions regulations issued under Section 4958 of the Internal Revenue Code (including the Chief Executive Officer, Chief Operating Officer & CFO, other system and entity executives, and other disqualified persons as defined in the Intermediate Sanctions regulations (i.e., voting members of the governing body, family members, former officers)), and establish the compensation philosophy for all other executives. This committee engages nationally recognized compensation consultants to assist them in review of executive compensation. The compensation consultants provide a review of each vice president and above in the system to determine if that employee's compensation is reasonable when compared against market standards. The data reviewed comes from compensation studies that include comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations. The organization keeps contemporaneous minutes of the compensation committees meetings and decisions. External consultants review compensation every other year, the last review occurring in 2011, but the compensation committee regularly monitors compensation and all other procedures are followed annually. Part VI, Line 16b - Procedure to evaluate Joint Venture Arrangements The organization has a joint venture committee of subject matter experts who review potential arrangements with taxable joint ventures.
