DescriptionMEMBERSHIPS & PUBLIC IMPERATIVES - IEEE membership reached an all-time high in 2012- nearly 430,000 members, 52 percent in 190 countries outside of the United States. The largest membership gains continue to come from Asia and the Pacific Rim. Over the past decade, membership in China has grown 330 percent, in India 90 percent, and in Southeast Asia 32 percent. IEEE student membership grew to over 116,000. Members elected the first IEEE president from outside of North America, J. Roberto de Marca from Brazil, who will serve as IEEE president in 2014. IEEE recognizes excellence through IEEE-Eta Kappa Nu, the electrical engineering honor society, and in 2012 its first four chapters outside of the United States were installed. Stanford University President John L. Hennessy, who pioneered the RISC (Reduced Instruction Set Computer) processor architecture and demonstrated exceptional leadership in computer engineering and higher education, was presented with the IEEE Medal of Honor at the IEEE Honors Ceremony held in Boston, Massachusetts.Description

DescriptionPERIODICALS - IEEE publishes 17 of the top 20 journals in electrical and electronic engineering, eight of the top 10 journals in telecommunications, and four of the top five journals in computer science, hardware and architecture. In 2012, IEEE introduced a Chinese edition of IEEE Spectrum, the first non-English edition of the IEEE award-winning magazine; acted on IEEE's commitment to provide open access publishing options to those authors who wish, or are required, to publish in open access publications; created a new multidisciplinary, open access, online journal, IEEE Access, which was launched in 2013; expanded its portfolio of topical open access journals, and created an open access option for our traditional journals. New features were added to IEEE Xplore, IEEE's digital library, and the conversion of Xplore content to HTML is proceeding steadily, with more than 100,000 articles now accessible in the new format. On average, 25,000 new documents are being added to IEEE Xplore each month. Two new journals and two new magazines joined IEEE's growing publications portfolio. Publication metrics, including time to publish and publication costs, are steadily improving. Many of the world's largest and most prestigious organizations became subscribers to the IEEE Electronic Library. New customers include more than 130 universities in China.Description

DescriptionCONFERENCES - In 2012 IEEE sponsored more than 1,300 conferences. IEEE brought together 50 engineering societies, headquartered in 30 countries, in support of the United Nations' Sustainable Energy for All Initiative. The first IEEE International Electric Vehicle Conference brought together technologies and policy makers for three days of discussions about the future of electric transportation. IEEE organized the first of a series of international conferences on Cloud Computing held in India, China and Brazil. The Third Annual IEEE Smart Grid World Forum, held in Geneva, Switzerland, and the Second Annual Smart Grid for Practitioners Conference, held in New York, were prominent among seven major IEEE conferences in the field. At the 2012 Annual International Conference on Advanced Computing and Communications (ADCOM), held in Bangalore, participants explored many aspects of virtualization. IEEE organized the inaugural IEEE Life Sciences Grand Challenges Conference, which brought together international innovators and thought-leaders at the National Academy of Sciences in Washington, D.C. The event explored the most pressing challenges in engineering, life sciences and healthcare over the next decade.Description

DescriptionStandards and Other Miscellaneous Programs - In Europe, IEEE set the stage for stronger member engagement in the development of standards and public policy, which included joining other dignitaries at the 4th European Innovation Summit held in the European Parliament in Brussels to discuss The Role of Science and Technology in Support of Innovation. A new partnership with UNESCO on engineering education in Africa strengthens IEEE's efforts to assist in building engineering capacity on the continent. IEEE strengthened its commitment to emerging technologies, notably in areas of life sciences, smart grid, electric transportation and cloud computing - for each of these areas, IEEE created an IEEE Virtual Community and a web portal that directly provides access to topical resources throughout IEEE. IEEE Standards Association joined OpenStand, a statement of principles for the development of modern international technical standards. IEEE signed memoranda of understanding with three other standards developing organizations around the world - the European Telecommunications Standards Institute, CIGRE, a Paris-based international nonprofit association, and the Standards Institution of Israel -- reinforcing IEEE's leadership in the development of global standards.Description

SchD_P10_S00_L02Schedule D, Part X, Line 2Income Taxes and Tax Status - The Institute follows the provisions of FASB Interpretation No. 48 ("FIN 48") Accounting for Uncertainties in Income Taxes - an interpretation of FASB Statement No. 109, now incorporated in Accounting Standards Codification ("ASC") 740, Income Taxes. ASC 740-10 clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This section provides that the tax effects from an uncertain tax position can be recognized in the financial statements only if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. The Institute is qualified under Section 501(c)(3) of the Internal Revenue Code (Code) as an organization exempt from federal income tax and applicable state income tax and is classified as a publicly supported charitable organization under Section 509(a)(1) of the Code. Nevertheless, the Institute may be subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the Code. The tax years ending December 31, 2009, 2010, 2011 and 2012 are still open to audit for both federal and state purposes. This standard has not had an impact on the Institute's consolidated financial statements, as management determined that there are no significant uncertain tax positions within its consolidated financial statements.

IdentifierIdentifierReturn ReferenceReturnReferenceExplanationExplanation
SchJ_P01_S00_L01aSchedule J, Part I, Line 1aFirst-class travel: In accordance with Policy, business class fares are permissible, if budgeted by the organizational unit, and if the flying time is over eight consecutive hours for a single segment or over eight hours flying time where a layover is required. Business class is defined as an intermediate class above economy class but below first-class. In all cases individuals are encouraged to purchase upgradeable coach class fares and use miles or coupons to upgrade to business class. Permission to travel business class for medical reasons may be granted by the President. If first-class is the only available class other than economy class, reimbursement shall occur only when all criteria to travel business class have been met and permission is granted by the IEEE President. All reimbursed first-class fares shall be reported to the IEEE Audit Committee. The following listed persons were reimbursed for first-class travel or business-first class travel: Jonathan Dahl (Sr Director - Global Sales), Gordon W. Day (President & CEO), Jean Jennings (Director - Int'I Sales), Konstantinos Karachalios (Managing Director, IEEE Standards), Eileen M. Lach (General Counsel & CCO), Michael R. Lightner (Vice-President - Educational Activities), Matthew S. Loeb (Staff Executive-Corp. Strategy), Patrick Mahoney (Chief Marketing Officer), Steven M. Mills (President IEEE - Standards Association), Alexander Pasik (Chief Information Officer), E. James Prendergast (Asst. Secretary & Executive Director), Francis Staples (Director - NA Sales) , and Mary Ward-Callan (Mging Director - Technical Activities). No part of these reimbursements were treated as taxable compensation. Travel for companions: In accordance with Policy, due to the extensive travel required by the IEEE President, the IEEE President is reimbursed for reasonable, budgeted travel expenses for his/her spouse or other travel companion when accompanying the President on IEEE business. Gordon W. Day (President & CEO) received reimbursement for spousal travel. These reimbursements were treated as taxable compensation and reported on Form 1099MISC. Tax indemnification and gross-up payments: In accordance with Policy, the IEEE President is paid a cash gross-up payment to cover any foreign or United States federal, state or local income taxes applicable to the aggregate value of (x) the spouse or other travel companion travel expense reimbursement, plus (y) the cash gross-up payment. Gordon W. Day (President & CEO) received a tax indemnification and gross-up payment. This payment was treated as taxable compensation and reported on Form 1099MISC.
SchJ_P01_S00_L03Schedule J, Part I, Line 3The IEEE Board of Directors, through its external legal counsel, engaged a Compensation Consultant to provide the Board with consulting advice and market comparability data about executive compensation to enable the Board to establish a rebuttable presumption of reasonableness under Intermediate Sanctions Legislation ("Section 4958"). A committee of Independent Board members and non-board members (The IEEE Employee Benefits & Compensation Committee) is charged with evaluating the total compensation package of selected executives and Board members, called "Disqualified Persons." The Consultant provided this committee with valid comparable market data from published sources for comparable positions from both tax-exempt and for-profit organizations. The assessment was conducted at the total rewards level and included all compensation components. External market comparisons were based on two primary sources of data: (1) Form 990 filings for a group of peer organizations identified by the Consultant based on various criteria and (2) Published surveys; scope cuts including industry, FTEs and revenue were selected that represented organizations comparable to IEEE. The following screening criteria were used to select comparable organizations: (1) NTEE code: (a) general science institutions (b) Engineering and Technology Services (c) Professional Society and (d) Research institutions; (2) Income and assets; (3) Employee Size. Once organizations were screened using that criteria, the following information was collected: (a) whether the organization has international presence, (b) whether they are a standard-setting organization; (c) whether they have a significant publishing activity; and (4) the extent of its focus on contract research. The Committee then reviewed individual and market data. The Committee then debated and documented its decisions about what is reasonable and its decision-making process for multiple disqualified persons. The Consultant then provided a "presumption of reasonable compensation" letter for the IEEE's files. Disqualified individuals include the following: 1. Executive Director and Chief Operating Officer 2. Chief Financial Officer and Staff Executive for Business Administration 3. Chief Strategy Officer and Staff Executive Corporate Strategy and Communications 4. Staff Executive, Publications 5. Chief Information Officer and Staff Executive for Information Systems 6. F990_P06_S0A_L07bForm 990, Part VI, Section A, Line 7bAmendments to the Constitution are subject to approval by the voting members of the organization. Voting members are those members of Member grade or above as defined in the Bylaws. The Constitution was last amended in 2004.
F990_P06_S0B_L11bForm 990, Part VI, Section B, Line 11bBefore the Form 990 is filed with the IRS it is reviewed by the IEEE Executive Director, Past President, Treasurer, Past Treasurer, if any, and the CFO/Asst. Treasurer. The return is then posted to a website accessible by the IEEE Board of Directors. Questions and comments from the Board are acted upon.
F990_P06_S0B_L12cForm 990, Part VI, Section B, Line 12cIEEE requires that officers and directors submit conflict of interest disclosure form which is reviewed for both positive and negative responses for potential conflict of interest. All IEEE employees are required to complete an annual training course, and those with authority to make financial expenditures are required to submit a disclosure form. The result of an officer or director not completing a required conflict of interest disclosure form is removal from service on the committee or board.
