Pt VI, Line 12c	Pursuant to the organizational bylaws, Directors are required to disclose known or potential
	conflicts of interest to the entire Board at the time they become aware of them on or before regular
	meetings or considerations by the Board of Directors so that the potential conflict will be a part of the Board of
	Directors'consideration of the transaction,and further that the Director disclosing the potential
	conflict of interest refrain from participating in consideration of the transaction.
