ALL DIRECTORS COMPLETE A QUESTIONNAIRE THAT REQUIRES DISCLOSURE OF RELATIONSHIPS THAT MAY CONSTITUTE A CONFLICT OF INTEREST. EACH DIRECTOR IS INSTRUCTED TO BE SENSITIVE TO ANY INTEREST AND POTENTIAL CONFLICT HE OR SHE MAY HAVE IN A DECISION TO BE MADE BY THE BOARD OF DIRECTORS AND, AS FAR AS POSSIBLE, RECOGNIZE SUCH INTEREST AND POTENTIAL CONFLICT PRIOR TO THE DISCUSSION OR PRESENTATION BEFORE THE BOARD.
