IdentifierSchedule F, Part I, Line 2Identifier
ExplanationDana-Farber Cancer Institute, Inc. (DFCI) is responsible for the programmatic, administrative and financial monitoring of all awards made to sub-recipients under federal and non-federal sponsored projects. DFCI has the obligation, throughout the life of the award, to monitor the activities of sub-recipients to make certain that project objectives are completed and all funds are used for authorized purposes in compliance with applicable laws, regulations, and provisions of the prime contracts or grant agreements. Office of Research Accounting will monitor sub-recipients through OMB Circular A-133 reports. On a semi-annual basis, we will request certification of the OMB A-133 audit report from each sub-recipient. Circular A-133 requires that annual audits be completed within nine months of the end of the sub-recipients audit period. To this end certification letters must be prepared and distributed to every sub-recipient working on any externally sponsored award. The certification letters must be prepared and distributed annually, by June 30 of each year, requesting information about the sub-recipients' most recent completed fiscal year. The certification letters require the sub-recipient organization to state that the information they are providing fairly presents the standing of the organization in all material aspects and that they state one of the following [see Attachment A, page 1]: -They are subject to the requirements of A-133, the audit has been completed and there were no material conditions of non-compliance with federal regulations. -They are subject to the requirements of A-133, the audit has been completed, exceptions were noted and a copy of the audit report is provided. -They are subject to the requirements of A-133 but the audit has not been completed. -They are not subject to the requirements of A-133 because the organization did not receive $500,000 or more in federal awards during the fiscal year, is a for-profit corporation, or is a non-U.S. based entity. Follow up requests will be made to ensure that sub-recipients send reports: -Should no response to the certification letter be received within 60 days, a second certification letter will be sent. Should no response to the second letter be received within 30 days, the sub-recipient will be contacted by telephone. -If reports are not received, the Federal Audit Clearinghouse (FAC) Internet data dissemination system will be used to retrieve audit report information from the FAC database. This information will be reviewed to determine if an organization has any reportable conditions and/or audit findings required to be reported under OMB Circular A-133, subpart E, section .510(a). -Should attempts continue to be unsuccessful, the Director of Research Administration, in conjunction with Director of the Research Accounting will consider sanctions against the sub-recipient, including termination of the subcontract. Research Accounting will review all available information for compliance issues pertaining to funds from A-133 reports. The Director of Research Accounting will be notified of any compliance issues that pertain to funds passed through the Institute and will request corrective action plans from the management of the organization to determine if proper action has been implemented. Management will determine corrective action on deficiencies identified in audits and sub-recipient monitoring. The monitoring of sub-recipients, not subject to Circular A-133, will be based upon the judgment of management and will include such factors as the size of the award, percentage of the total program's funds awarded to the sub-recipient, budget adherence, any issues identified in the pre-award review, and other matters as deemed necessary. The complete Sub-Recipient Policy is available upon request.Explanation

Part IPART I, Line 3C: THE ORGANIZATION USES THE FEDERAL POVERTY GUIDLINES (FPG) TO DETERMINE ELIGIBILITY FOR PROVIDING FREE CARE TO LOW INCOME INDIVIDUALS. PART I, LINE 6A: THE COMMUNITY BENEFIT REPORT WAS COMPLETED BY DFCI AND IS ANNUALLY PROVIDED TO THE MASSACHUSETTS ATTORNEY GENERAL'S OFFICE, WHERE IT IS THEN MADE PUBLIC ON THEIR WEBSITE. Part I, Line 7G Not Applicable Part I, Line 7, Column F Total bad debt expense of $4,802,936 was included in Form 990, Part IX, Line 25. Part I, Line 7 Our internal cost accounting system, which accounts for all Institute activity, was used to create the cost to charge ratio that was applied to our charity care charges to determine our charity care cost (Line 7a). Line 7c reflects the specific cost incurred for the Institute's required funding of the State's Health Safety Net fund. Line 7f reflects the costs of education, as calculated on the Medicare cost report, less any applicable reimbursement received for it.
Part IIWith the goal of reducing health disparities in cancer, community outreach at DFCI focuses on increasing awareness about the importance of cancer prevention, outreach, screening, early detection and clinical trials education. Examples of prevention programs are: 1.Dana-Farber's Mammography Van (DFMV) Dana-Farber's Mammography Van was launched as a joint venture between the City of Boston and Dana-Farber in April 2002. In late 2009, Dana-Farber purchased a new state-of-the-art van and now the program has been renamed the Dana-Farber Mammography Van and continues to be the only mobile mammography program in the Commonwealth of Massachusetts. It provides digital screening mammograms and breast health education to women 40 years of age and older. In partnership with community-based organizations and neighborhood health centers, the Van is on the road 3-4 days per week year-round, serving all of Greater Boston. Ultimately, it aims to decrease breast cancer morbidity and mortality among medically underserved women and increase survival rates for those diagnosed with breast cancer. The mammogram on the van is treated as a point of entry into the larger health care system. Secondary goals of the program are to connect women to primary care and to health insurance. Women who lack a primary care provider are referred to one of our partner Boston neighborhood health centers, and those who lack health insurance are encouraged to apply to the Connector at the time of their van appointment. Priority populations include women who are low-income, elderly, immigrant, non-English speaking, and those of ethnic/racial and other minority backgrounds. Priority neighborhoods in Boston include Roxbury, Mattapan, Jamaica Plain, Dorchester, South End, and Fenway. As word has spread about the Van's success and accessibility, patient volume has steadily increased in the past seven years by 5-10%. The rescreening rate of van patients - 63% in 2011 - demonstrates that Dana-Farber's Mammography Van provides an effective way for women to continually monitor their breast health and to stay connected to the health care system at large. HIGHLIGHTS: - Patient Volume: In FY11 Dana- Farber's Mammography Van provided 3,522 mammograms. Since program inception in April 2002, Dana- Farber's Mammography Van has provided more than 31,000 mammograms to more than 14,000 unique patients. -Race/ethnicity: The largest racial and ethnic groups seen on the van are Black and Latino, comprising more than half of all van patients. This year, approximately 27% of van patients self-identified as being of Hispanic/Latino background, and 32% as Black. -Primary Language: Over the past year, almost 60% of van patients spoke a first language other than English. Dana- Farber's Mammography Van patients speak over 44 different languages. The top primary languages after English are: Spanish; Haitian Creole; Cape Verdean Creole; Portuguese; and Vietnamese. -Boston Residence: 63% of van patients hail from Boston and 37% from the rest of Massachusetts. The Boston neighborhoods include: Dorchester; Mattapan; Roxbury; Hyde Park; Roslindale; and Jamaica Plain. -Breast Cancer Diagnoses: 79 breast cancer diagnoses have been confirmed for patients originally screened on Dana- Farber's Mammography Van since program inception, April 2002. For every 1,000 mammograms conducted on the van, 2-3 women are diagnosed with breast cancer (0.26% diagnosed). -Re- screening Rates: 63% of patients screened on the van were returnees from prior years; 28% of van patients returned for re-screening in a "timely" manner (10-18 months from last screen). -Baseline Mammograms: 15% of van patients served this year had their baseline (first-ever) mammograms on the van. -Follow-Up Rate: 422 patients (12%) screened on the van in the past year received a recommendation for follow-up. -Insurance Status: Over the past year, the insurance status of van patients was: 4% uninsured; 67% publicly insured (Medicare, MassHealth, etc); 18% had Health Safety Net and 28% privately insured. The mammography van also collaborates with Dana-Farber's Women's Cancers Program to host a spring and fall series of community workshops called What Every Women Should Know: Myths and Facts about Breast and Gynecological Cancers. Clinicians present on breast and gynecological cancers and cancer screening at local shelters, prisons, public housing units and elderly residences, with the benefit of medical interpreters as appropriate. Following the workshop, the van visits the community sites to provide mammography screenings. 2. Open Door to Health: A Peer Led Colon Cancer Prevention Program that works with 8 housing developments located in Boston to educate residents living in low-income housing about breast, cervical and colorectal cancer prevention and early detection. Currently, there are 12 peer leaders working across the 6 housing communities, where approximately 60% of the residents are African American, and 20% are Latinos. In 2011, peer leaders started walking clubs in their communities with the support of the BPHC and a healthy eating campaign through the promotion of participating in community gardens and cooking demonstrations. They continued to promote screening and helped residents to schedule screening appointments. Additionally, the patient navigator helped 223 patients to complete their colonoscopy appointment. Of the patients who completed their colonoscopy, 77% were Latinos patients from the Brookside and Southern Jamaica Plain Community Health Centers. 3. Whittier Street Community Health Center's Community Cancer Coalition Dana-Farber continued its leadership role in the WSHC Community Cancer Coalition by leading monthly coalition meetings about local prevention, clinical and research efforts currently underway that address the burden of cancer in communities of color. By encouraging collaboration between coalition members, the coalition seeks to reduce health disparities in cancer by improving access to information about screening, follow-up care, evaluation and treatment to underserved communities. The coalition is made up of approximately fifteen organizations that include community health centers, hospitals, and other community based organizations. 4.Evidence-Based Training and Technical Assistance Program: Dana-Farber continues to provide Evidence-Based training to community-based organizations, like YWCA and organizations like Susan G. Komen for the Cure. The goal of the training is to help organizations identify and adapt cancer prevention and early detection evidence-based programs to work with their intended group. DFCI continues to provide technical assistance to the MassCONECT 4Kids study: Breath Free for Kids. The goal of Breath Free for Kids study is to evaluate the effectiveness of Motivational Interviewing (MI), compared with usual best practices (UBP), in helping low-income parents to make their homes smoke-free and reduce children's exposure to second-hand smoke. The study is being conducted with community partners in Boston, Lawrence and Worcester (MA), and delivered through the state-funded Early Intervention Home Visitation program. 5. United Way/Jimmy Fund Collaborative: The collaborative funded a project to engage youth working for 4 youth serving agencies to take action for policy change or enforcement on a specific issue within one of two areas: (1) reducing minors' access to tobacco, or (2) increasing tobacco-free spaces (e.g. housing). In 2011, the agencies offered summer and year-round jobs to over 30 youth engaged in tobacco control through civic engagement. Two agencies worked closely with the BPHC and the Board of Health toward passing the regulation for limiting tobacco and nicotine access by youth ("Youth Access Regulation"). Another agency worked on supporting smoke-free public areas in two housing developments, and the fourth agency worked on ensuring effectiveness and enforcement of City of Boston storefront advertising zoning codes that restrict amount of advertising allowed on windows in Mission Hill, Mattapan and Dorchester. 6.Prostate Cancer Education and Screening Program DFCI's Prostate Cancer Outreach Program is part of a collaborative effort to provide the Greater Boston community with prostate cancer information, education and screening. Collaborations with the Prostate Health Education Network (PHEN), community health centers and other community based organizations make it possible for DFCI's Prostate Cancer Education and Screening Program to educate and offer screening, patient navigation and support group resources to men at risk for prostate cancer with and without the Blum Van. In FY 11, the Prostate Cancer Outreach Program conducted a total of 28 events. Of the 28, 13 were education only and 15 of them were education and screening events that were supported by a clinician. At these events a total of 709 men were provided prostate cancer education and 232 men were provide both the educatioCommunity Building Activities
Part IIIPart III, Line 4 There is no footnote in the Audited Financial Statements that describes Bad Debt and the amount of Bad Debt expense at cost on Line 2 ($3,204,045) is from our general ledger and is based on the treatment of Bad Debt activity consistent with Generally Accepted Accounting Principles (GAAP). The amount of Bad Debt attributed to charity care patients is an estimate based on the relationship of charity care activity to total activity. The Bad Debt amount should be treated as a community benefit as it is similar to Unreimbursed Charity Care, as reported and allowed (Part I Line 7a), but for a different population. Part III, Line 8 The medicare allowable costs of $123,934,970 come directly from the medicare cost report and are based on medicare's cost finding principles and methodologies. We strongly believe that the entire amount of the shortfall ($20,573,205) should be treated as a community benefit, as this represents the Institute's commitment to the elderly and disabled community by provided services that are not reimbursed. Part III, Line 9b Within DFCI's credit and collections policy there are provisions that describe collection practices to be followed for patients who are known to qualify for charity care or financial assistance in accordance with federal and Massachusetts law. The following information gives the details of the policy. Collection and Verification of Patient Financial Information The Institute will make reasonable efforts to obtain patient demographic and financial information necessary to bill and collect for services rendered in compliance with this Credit and Collection Policy, as well as State and Federal regulations. The Institute will seek to identify patients who may be uninsured or inadequately insured in order to provide counseling and assistance. The Institute will provide financial counseling to these patients and their families, including screening for eligibility for other sources of coverage, such as government programs. The Institute will encourage patients who are potentially eligible for coverage by Mass Health, Health Safety Net or other government programs to apply for coverage. The Financial Counselor will assist the patient in applying for such coverage. Eligible patients may also apply for the Health Safety Net to cover co-payment, co-insurance or deductible amounts not covered by their primary insurance plan. Information concerning financial counseling services at the Institute is included in the New Patient Handbook, which is given to all new patients on or before their first visit. The appropriate procedures for data collection and verification are as follows: A.The Access Management Department will attempt to collect information prior to the patient's first outpatient clinic visit. Demographic and health insurance information is entered in the Institute's registration system and a unique medical record number is assigned. The Registrar will verify the patient's health insurance coverage with the appropriate carrier during the pre-registration screening process. High-risk, such as out of state residents and self-pay patients are required to speak with a Financial Counselor to discuss coverage and/or payment options prior to services being rendered. The Financial Counselor will provide an estimate of charges and request a deposit, as required. B.Access Management uses an automated eligibility system to verify patient insurance coverage. Access Management monitors ongoing insurance coverage for a designated group of payers through an automated batch re-verification process. Medicaid and Health Safety Net are included in this process. Access Management is responsible for resolving any eligibility rejections and edits by contacting the patient/guarantor and/or the insurance carrier. The automated eligibility verification system interfaces with the Institute's registration system for those designated payers. C.Self-pay patients who are unable to pay for their services may qualify for state funded programs such as Mass Health, Health Safety Net, and Commonwealth Care coverage. Financial Counselors are responsible for helping patients complete and submit state sponsored program application(s) using the Virtual Gateway or a standard paper application. Applications are submitted to the Massachusetts Executive Office of Health and Human Services for processing. The Massachusetts Executive Office of Health and Human Services solely manages the application process for the programs listed above, which is available for children, adults, seniors, veterans, homeless, and disabled individuals. Eligibility for most state sponsored programs is generally limited to patients who can demonstrate residency in the Commonwealth of Massachusetts according to applicable regulations. In general, patients who have relocated to Massachusetts for the sole purpose of receiving health care benefits do not meet the residency requirements. D.In special circumstances, the Institute may apply on behalf of the patient for eligibility in the Health Safety Net program using a specific form designed by the Massachusetts Division of Health Care Finance and Policy. Special circumstances include individuals seeking financial assistance coverage due to being incarcerated, victims of spousal abuse, or applying due to a Medical Hardship. E.The Institute specifically assists the patient in completing the Massachusetts Executive Office of Health and Human Services standard application and securing the necessary documentation required by the applicable financial assistance program. Necessary documentation includes proof of: (1) annual household income (payroll stubs, record of social security payments, and a letter from the employer, tax returns, or bank statements), (2) citizenship and identity, (3) immigration status for non-citizens (if applicable), and (4) assets of those individuals who are also enrolled in the Medicare program. The hospital will then submit this documentation to the Massachusetts Office of Medicaid and assist the patient in securing any additional documentation if such is requested by the state after completing the application. Massachusetts places a three day time limitation on submitting all necessary documentation following the submission of the application for a program. Following this three day period, the patient and the provider must work with the Mass Health Enrollment Centers to secure the additional documentation needed for enrollment in the applicable financial assistance program. All Virtual Gateway and paper applications are reviewed and processed by the Massachusetts Office of Medicaid, which uses the Federal Poverty Guidelines as well as the necessary documentation listed above as the basis for determining eligibility for state sponsored public assistance programs. The eligibility for enrollment into the Health Safety Net program as a special circumstance is reviewed and approved by the Massachusetts Division of Health Care Finance and Policy also using the Federal Poverty Guidelines and asset information. Hospitals have no role in the determination of program eligibility made by the state, but at the patient's request may take a direct role in appealing or seeking information related to the coverage decisions. It is still the patient's responsibility to inform the hospital of all coverage decisions made by the state to ensure accurate and timely adjudication of all hospital bills. As future coverage options are developed, as discussed in both Federal and State healthcare reform proposals, the hospital will make appropriate changes to this credit and collection policy. Institute Billing and Collection Practices The Institute will make an effort to seek reimbursement for services it has provided from individuals who are able to pay, from third party insurers who cover the cost of care, and from other programs of assistance for which the patient is eligible. To determine whether a patient is able to pay for the services provided as well as to assist the patient in finding alternative coverage options if they are uninsured or underinsured, the Institute follows the following criteria related to billing and collecting from patients for inpatient and outpatient services. Collecting Information on Patient Financial Resources and Insurance Coverage a)Patient Obligations: Prior to the delivery of any health care services (except for cases that are an emergent or urgent care service level), the patient is expected to provide timely and accurate information on their insurance status, demographic information, changes to their family income or insurance status, and information on any deductibles or co-payments that are owed based on their existing insurance or financial program's payment obligations. The detailed information will include: (1)Full name, address, telephone number, date of birth, social security number (if available), current health insurance coverage options, citizenship and res
Part VIPart VI, Line 2 Needs Assessment: DFCI Community Benefits Office The mission of DFCI's community benefits and outreach activities contributes to the Institute's goal of advancing the understanding, diagnosis, care, treatment, cure, and prevention of cancer and related diseases by: -Ensuring that patients from diverse backgrounds receive equitable cancer care and treatment, including but not limited to, education about the importance of clinical trials participation -Establishing quantifiable, evidence-based, and sustainable programs in cancer prevention focusing on at-risk, underserved, and diverse populations -Providing expertise in cancer care to city and state health departments, community-based agencies, and health care providers. To ensure that DFCI's community outreach activities and programs are meeting the health needs in the community, the DFCI's Community Benefits Office partnered with Health Resources in Action (HRiA), a non-profit public health consultancy organization in Boston, to undertake a comprehensive community health assessment. This effort incorporated a process of completing assessment activities in two phases. In Phase I, social, economic, and epidemiological data at the community level were reviewed and analyzed to provide a health portrait of DFCI's priority communities (Roxbury, Mission Hill, Dorchester, Mattapan, and Jamaica Plain). Phase II involved a comprehensive qualitative study, where DFCI staff, community leaders, and residents provided feedback in focus groups and interviews to identify community needs and assets as well as areas for further community engagement and program expansion. The needs assessment final report was completed in February, 2012. Methodology To ensure that DFCI's community outreach activities and programs are meeting the health needs in the community, the DFCI Community Benefits Office partnered with Health Resources in Action (HRiA), a non-profit public health consultancy organization in Boston, to undertake a comprehensive community health assessment. In addition, HRiA conducted a review of DFCI's current programming activities as well as an environmental scan of interventions external to DFCI to understand the current programming and service environment in these communities. A social determinants of health perspective guided the assessment and report development. Through this lens, it is critical to look beyond proximal, individual-level factors in accounting for a community's health problems. Upstream factors such as housing, education, employment status, racial/ethnic disparities, and neighborhood-level resources critically impact population health. The assessment approaches data in a manner designed to discuss who is healthiest and least healthy in the community as well as examines the larger social and economic factors associated with good and ill health. A total of 86 individuals participated in the Phase II qualitative research in order to gauge their perceptions of their neighborhood, their health concerns, what programming or services are most needed to address these concerns and the role of DFCI in these efforts Part VI, Line 3 Patient Education & Eligibility for Assistance DFCI Recognizes that some patients will not be able to pay for services rendered and may not be aware of the availability of public assistance; DFCI shall promote the existence of financial assistance by the use of signs. For those patients who are uninsured or underinsured, DFCI will work with them to assist with applying for available financial assistance programs that may cover some or all of their unpaid hospital bills. When applicable, DFCI may assist patients in applying for coverage of services within a financial assistance program, such as Mass Health, Commonwealth Care, Children's Medical Security Plan, Healthy Start, Health Safety Net, as well as a Medical Hardship based on the patient's documented income and allowable medical expenses. DFCI will provide, upon request, specific information about the eligibility process to be a Low Income Patient under the Massachusetts Health Safety Net Program. DFCI will also notify the patient about available payment plans that may be available to them. DFCI will also provide information on how to contact the appropriate staff within the hospital's finance office to verify the accuracy of the hospital bill or to dispute certain charges. Part VI, Line 4 Community Information The Community Health Needs Assessment Report's key findings include: Patient Population & Priority Neighborhoods According to DFCI's tumor registry, 26% of Boston residents who have been diagnosed with some type of cancer were seen at DFCI/Brigham and Women's in 2005. DFCI's racially and ethnically diverse patient base mirrors that of the general cancer population in Boston. For example, 23% of Boston residents with cancer and those who sought care at DFCI identified themselves as Black. DFCI's Hispanic patient population (11%) was slightly greater than the percentage of Boston residents with cancer who also identified themselves as Hispanic (7%). Dana-Farber Cancer Institute provides expert, compassionate care to children and adults with cancer while advancing the understanding, diagnosis, treatment, cure, and prevention of cancer and related diseases. Through our outreach efforts and in partnership with community-based organizations located in underserved neighborhoods throughout Boston, DFCI reaches underserved communities in Boston that have lower cancer screening rates and who benefit the most from enhanced access to prevention, early detection services and clinical care. DFCI also has a diverse patient population in the number of languages they speak. Interpreter services were provided in 45 languages at a total of 9,701 appointments from October 2008-September 2009. Among the 45,283 patients visiting DFCI during that period, 2.9% unique patients received interpreter services (1,299 patients). 44.3% of DFCI's patients who needed interpreter services spoke Spanish, while 9.6% spoke Russian or Portuguese. Arabic and Cantonese were each spoken by approximately 4% of the patients who needed these services. Other common languages included Mandarin, Haitian Creole, Greek, Italian, and Vietnamese, which were each spoken by 2-3% of DFCI's patients requesting interpreter services from October 2008 to September 2009. Community Economic and Social Context City-wide, the total population of Boston was 608,352 in 2007, up from 589,141 in 2000. Of the priority neighborhoods focused upon in this report, South Dorchester is the largest, with a population of 63,647 residents, followed by Roxbury/Mission Hill with a population of 55,663, according to data from 2000. The neighborhoods of Jamaica Plain, Mattapan, and North Dorchester are considerably smaller, with 38,074 residents, 37,371 residents, and 29,215 residents respectively. Age In 2000, the year in which neighborhood demographic data are most recently available, the proportion of younger residents (ages ?24 years old) was highest in Mattapan and Roxbury/Mission Hill (42.4% in both), followed by North Dorchester and South Dorchester (38.6% in both). Jamaica Plain, with 31.3% of residents 24 years of age and younger, is more comparable to Boston city-wide (35.9%), with the lowest proportions of young residents. The percentage of residents ages 25-64 are fairly similar across the neighborhoods, ranging from a high of 58.0% in Jamaica Plain to 48.9% in Roxbury/Mission Hill, and comparable to Boston city-wide (53.7%). The proportion of the population 65 years and older was highest in Jamaica Plain (10.8%), which was also comparable to Boston city-wide (10.4%). The proportion of residents aged 65 years and older in the other neighborhoods ranged from 7.1% in Mattapan to 9.4% in South Dorchester. Race/Ethnicity The neighborhoods of Roxbury/Mission Hill, North Dorchester, South Dorchester, and Mattapan are more racially and ethnically diverse compared to the city of Boston. Figure 2 presents the changing racial/ethnic composition of Boston city-wide for the years 1990, 2000 and 2007. Although more than half of Boston residents identified themselves as White over this 17 year time period (62.8% in 1990 and 58.4% in 2007), the number of racial/ethnic minority residents of Boston grew. In particular, the Asian population increased from 5.3% to 8.9% and the Latino populati

Return ReferenceDescription of Organization's Procedures for Monitoring the Use of GrantsReturnReference

Part VI, Question 11Process used to review the Form 990 The Form 990 is prepared by the Tax Department and independently reviewed by Ernst & Young, LLP for technical tax issues. After the Tax Department and Ernst & Young, LLP finalize the returns, The Chief Financial Officer of the Organization meets with the Tax Department to review the entire tax return in detail. If any changes need to be made, the Tax Department will make the changes in accordance with the CFO. After the CFO approves the return, certain sections are taken to Board Committees for a more detailed analysis. For example, the Board Compensation Committee reviews all information related to compensation in Part VII and Schedule J. Once the return has been through the committees who review certain sections, the tax return is presented to the Audit Committee for review and approval. After the audit committee approves the tax return, an electronic message is sent to all Board members with a secured link to the tax return. The Board has the opportunity to review the return and if any issues arise, they can bring them to the appropriate executive management individuals. A final version of the form is made available to the Board before filing with the IRS. The return is only filed after each of the steps in the review process is complete. Part VI, Question 12c Monitoring & Enforcement of Conflict of Interest Policy The Office of General Counsel, the Assistant Secretary of the Board, and the Tax Department drafts a Conflict of Interest Disclosure Questionnaire each year and has all trustees, officers, and key employees fill out a questionnaire in regards to their personal situation and personal and business relationships. The Assistant Secretary compiles the list of Disclosures and gathers financial data from the Accounts Payable and Payroll Department for all organizations, employees, independent contractors, and other miscellaneous transactions which were disclosed by all individuals. Once all of this information is compiled, the Office of General Counsel and the Tax Department goes through each transaction and disclosure to determine what needs to be disclosed on the tax return. The Tax Department and the Office of General Counsel also discusses if there are any other known transactions that have not been disclosed. If there are any questions regarding such situation, the Office of General Counsel and the Assistant Secretary will discuss the questions with the individual trustees involved. In addition the process described above, the governance committee of the board of directors annually reviews the conflict of interest disclosures and they address any issues that may arise. The governance committee is also responsible to bring any major issues related to the conflict of interest policy to the executive committee and the entire Board if deemed necessary. Per DFCI's conflict of interest policy, in order to avoid a conflict of interest or an appearance of a conflict of interest: 1. A Trustee should not participate in a vote on a transaction in which the Trustee or family member has a financial interest and should disclose any potential conflict before DFCI acts on the transaction. 2. A Trustee, a member of his or her family, or an entity with which one or more of them has a material interest, may not do business with DFCI unless expressly authorized by DFCI after full disclosure. 3. A Trustee should fully disclose his or her association (including employment, consulting, or membership on a governing board by the Trustee or a family member) with an entity that competes with or has interests conflicting with those of DFCI and should refrain from participating in any vote of other the organization if the vote affects DFCI. Once a disclosure has been made, DFCI's Office of General Counsel reviews such conflict and may discuss the matter with the appropriate parties. The Office of General Counsel will then review the matter with the Chairman of the Board. Final decisions are made with the chairman and possibly the Board's Executive Committee. Part VI, Question 15a Process for determining compensation of President Per DFCI's Executive Compensation Philosophy, annually the Compensation Committee of the Board of Trustees reviews the President's (DFCI's Chief Executive Officer) performance and makes a recommendation regarding compensation to the Executive Committee. The Executive Committee acts on the recommendation. To determine the recommendation and to ensure compliance with the Philosophy, the Compensation Committee bi-annually commissions an independent review by a third party organization to compare such compensation with that of other similarly situated individuals in the healthcare field in and outside of the region. The decision of the Executive Committee is reported to the full Board. Annually, following the filing of Form 990s, DFCI compares the information it reports for its President to the compensation of Presidents/CEO's at other area healthcare organizations as well as other institutions that are considered designated comprehensive cancer centers. The Board completed this process as of October 7, 2011. Part VI, Question 15b Process for determining compensation of officers and key employees Per DFCI's Executive Compensation Philosophy, annually the DFCI President reviews the performance of Officers and Key Employees and makes a recommendation as to their compensation to the Compensation Committee of the Board of Trustees. The Compensation Committee establishes compensation for those individuals based on that recommendation. To determine the recommendation and to ensure compliance with the Philosophy, the Compensation Committee bi-annually commissions an independent review by a third party organization to compare such compensation with that of other similarly situated individuals in the healthcare field in and outside of the region. The decision of the Compensation Committee is reported to the Executive Committee of the Board of Trustees and to the full Board. Annually, following the filing of Form 990s DFCI compares the compensation of these individuals with those at other area healthcare organizations as well as other institutions that are considered designated cancer centers. Part VI, Question 19 Availability of Governing Documents, Conflict of Interest Policy, and Financial Statements to the Public Governing Documents - We currently provide the governing documents upon request. We are reviewing our internal procedures to determine the best process to make our Governing Documents available to the wider public. Conflict of Interest Policy - DFCI's Conflict of Interest Policy can be found within its Code of Conduct, which is available on its website. Financial Statements - The organization uses the services of Digital Assurance Certification LLC (DAC) to report annual audited financial statements and other relevant organizational information as required by certain regulatory and tax laws. DAC is a website (www.dacbond.com) free to the public that publishes tax-exempt bond issuers' financial and legal documents such as the Audited Financial Statements.
