Return ReferenceDescription of Uncertain Tax Positions Under FIN 48:ReturnReference
ExplanationThe Parent, the Hospital, the Center, and the Foundation have received determination letters from the Internal Revenue stating that they are exempt from the payment of federal income taxes under Section 501(c)(3) of the Internal Revenue Code. At June 30, 2010, MSC had approximately $1,565,000 of net operating tax loss carryforwards available for use against future taxable income, which begin to expire in 2012. As a result of the net operating tax loss carryforwards, there is no income tax provision in 2010 or 2009. Due to the uncertain future realization of these loss carryforwards, the realized tax assets have been fully reserved by a valuation allowance in the accompanying consolidated balance sheets. On July 1, 2009, the Corporation adopted the FASB issued guidance for accounting for uncertainty in income taxes. The Parent, the Hospital, the Center, and the Foundation all file a Form 990 (Return of Organization Exempt from Income Tax) annually. When these returns are filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would ultimately be sustained. UBIT is reported on Form 990T, as appropriate. The benefit of a tax position is recognized in the consolidated financial statements in the period during which, based on all available evidence, management believes that it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions are not offset or aggregated with other positions. Tax positions that meet the "more likely than not" recognition threshold are measured as the largest amount of tax benefit that is more than 50 percent likely to be realized on settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measure as described above is reflected as a liability for unrecognized tax benefits in the accompanying consolidated balance sheets along with any associated interest and penalties that would be payable to the taxing authorities upon examination. Upon the adoption of the FASB guidance relative to uncertainty in income taxes and as of June 30, 2010, there were no unrecognized tax benefits identified and recorded as liabilities. Forms 990 filed by the Parent, the Hospital, the Center, and the Foundation are subject to examination by the Internal Revenue Service (IRS) up to three years from the extended due date of each return. Form 990 filed by the Parent, the Hospital, the Center, and the Foundation are no longer subject to examination for the years 2007 and prior.Explanation
