Description of Uncertain Tax Positions Under FIN 48:Part X:FIN 48 Foot note NCIF is exempt from federal income taxes as a result of its status as a non-profit organization as described under Section 501(c) (4) of the Internal Revenue Code. NCIF is the sole member and 100% owner of NCIFMLLC, which is treated as a disregarded entity for tax purposes. NCIF has adopted guidance issued by the Financial Accounting Standards Board ("FASB") with respect to accounting for uncertain tax positions. No provision has been made for income taxes in the accompanying financial statements, as NCIF has had no unrelated business income. Management believes NCIF has no material unrecognized income tax benefits or liabilities, including any potential loss of its tax-exempt status. NCIF would recognize interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively should they be incurred. NCIF has not incurred any penalties or interest as of and for the year ended December 31, 2010 or 2009. NCIF has not been examined by any tax jurisdiction. NCIF is no longer subject to examination by federal or state taxing authorities for years before the year ended December 31, 2007. NCIF does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months.

Form 990, Part VI, Section A, line 3Through November 30, 2010, NCIF engaged a Fund advisor for investment advice, accounting and administrative support. On December 1, 2010, NCIF signed a Service Agreement with NCIF Management LLC for the purpose of providing investment advisory, administrative and management services to NCIF. NCIF Management LLC is a 100% owned subsidiary of NCIF. The Trustees continue to have full responsibility for managing the fund
Form 990, Part VI, Section A, line 8bSince the board only consists of four trustees, there are no sub-committees. All matters are presented to the full board.
Form 990, Part VI, Section B, line 11The Form 990 is reviewed in detail by at least two employees of the NCIF Management LLC and is presented to the Trustees for their review before it is filed.
The Trustees and key employees of the NCIF Management LLC complete annual questionnaires disclosing any conflict of interest. The determination of whether a conflict exists is on a self-monitored basis by each individual. Where a conflict exists that individual would be excluded from participation in voting and decision making. On an ongoing basis, these individuals would recuse themselves from any new business matters where a conflict exists.Form 990, Part VI, Section B, line 12c
During 2010, the trustees engaged a consulting firm to review and determine compensation for all key employees.Form 990, Part VI, Section B, line 15
The governing documents and conflict of interest policy are not available to the general public. The financial statements are publicly disclosed on the Organization's website.Form 990, Part VI, Section C, line 19

Statement of Organization's missionNational Community Investment Fund (NCIF) is an independent non-profit trust fund with $20.9 million in total assets and a $128 million allocation of New Markets Tax Credits from the CDFI fund. NCIF invests this private capital in and enables knowledge transfer to domestic depository institutions that increase access to financial services in underserved communities. Over the past several years, NCIF has reinforced its position as the largest private equity source and social investor that supports community development banking institutions (CDBIs). To achieve this, NCIF pursues a comprehensive four-part business strategy as follows - all these activities complement each other to help build a robust and high impact CDFI banking industry: 1. Provider of patient capital: NCIF provides capital directly and makes referrals to other co-investors; 2. Deposit referral source: NCIF is creating a deposits platform for investors to make deposits in banks identified using the NCIF Social Performance Metrics and that have a strong mission of economic development; 3. Assist in generating earning assets: NCIF uses the New Markets Tax Credit program to help CDBIs make loans to end borrowers that the banks would not have otherwise been able to make. These high impact loans also earn interest and fee income thereby adding to their bottom-line and shareholder value. NCIF earns fees on its allocation placement. The transactions have a direct impact on improving low-income communities; and 4. Improve efficiency and impact: The CDBI Exchange Network and Annual Community Development Banking Conference are used to facilitate the transfer of knowledge and best practices.Form 990, part III, line 1:
Statement of program service accomplishmentsProvider of patient capital - as of 12/31/2010, NCIF's portfolio consisted of $12.8 million in equity, debt and deposit investments in 26 community development banking institutions (CDBIs), credit unions and intermediaries throughout the nation. With the support of NCIF's investments, portfolio institutions reported originating over $661.7 million in development loans in low income communities or to low income borrowers during the most recent year of analysis (FY 2009). These CDBIs provide credit products, development services and retail financial services in economically vulnerable communities and help in providing alternatives to payday lenders, check cashers and subprime lenders. Expense $1,105,200 Revenue $284,332Form 990, part III, line 4A:
Statement of program service accomplishmentsAssist in generating earning assets through the New Markets Tax Credit program - Expenses relating to the ongoing operation of NCIF's New Markets Tax Credit (NMTC) Program. The NMTC program was created to catalyze much needed economic development investment into economically distressed, low-income communities. To date, NCIF has successfully received $128 million of NMTC allocations. During the past few years, NCIF completed high-impact New Markets Tax Credit transactions in both Newark, NJ and Portland, OR. The Newark transaction resulted in the creation of an anchor institution business school campus for Rutgers University located within the highly economically distressed community of downtown Newark, NJ. The Portland transaction resulted in the expansion of a substance abuse and supportive services center that is managed by a highly regarded local non-profit organization. Both transactions involved participation by local CDFI banks and both resulted in local job creation and economic development. In December 2010, NCFI completed a high-impact New Markets Tax Credit transaction, which will result in the building of the Museum of Contemporary Art in a highly distressed census tract in the University Circle section in Cleveland, OH. Expense $27,523 Revenue $1,021,337Form 990, part III, line 4B:
Statement of program service accomplishmentsCDBI exchange network - NCIF operates the CDBI Exchange Network for providing best practices in risk management, valuation, governance and development impact analysis. The premier event of the Exchange Network is the Annual Development Banking Conference which brings together chief executives from CDBI banks, thrifts and credit unions to share best practices and for peer to peer networking. The 2010 conference was attended by over 150 individuals, including Chief Executive Officers from 30 banks, thrifts and credit unions. The theme of the event was "The Future of CDFI Banking" and sessions from the event focused on developing a common vision for the sector, raising capital, improving impact measurement and developing human capital and common infrastructure systems. In addition, during 2009, NCIF completed an ongoing analysis examining the effectiveness of stored value card and prepaid banking cards aimed at providing service to unbanked populations. In 2009 NCIF published a research paper outlining the business case and mission case for providing prepaid cards; this paper included a detailed presentation of the considerations that must be made by CDFI bank leadership to design and implement a prepaid card program. On an annual basis, NCIF produces an Annual Report on CDFI Banks that has become the definitive source for information on the sector. Expense $38,592 Revenue $66,401Form 990, part III, line 4C:
Statement of program service accomplishmentsDeposit referral sources for CDBIs - During 2010, NCIF continued work that was originally supported by the F.B. Heron Foundation and the CDFI Fund to create the Social Performance Metrics, a positive screen that details the activity of every domestic bank within low to moderate income communities. Using this new suite of transparent metrics, NCIF advocated for the industry at various industry events to communicate the use of the metrics in order to drive more socially responsible and mainstream capital into the community development banking sector. NCIF continues to work diligently to direct investment capital into financial institutions that serve underserved and economically vulnerable populations.Form 990, part III, line 4D:
Statement of program service accomplishmentsAdvocacy - NCIF has been an advocate for the community development banking and finance industry via trade associations (the CDFI Coalition, the NMTC Coalition), through relationships with regulators (members of Federal Reserve Board Consumer Advisory Council, Office of Thrift Supervision Minority Depository Institution Advisory Council), and with investors (SRI in the Rockies, Global Impact Investing Network). We believe that this work has increased the profile of the industry, resulting in the flow of capital and other resources of funding for the sector. Most of the Fund Advisory fee is used to pay for such program expenses.Form 990, part III, line 4E:
Whistle Blower PolicyNCIF does not have a formal whistle blower policy but is in the process of creating a new company handbook/manual that will contain this policy.Form 990, part VI, Section B, line 13:
