| Description | Centers-Areas of Content Focus:ULI Center for Balanced Development in the West-ULI chose to close the Center for the West and the Western Regional office. The administrative functions of the regional office will be returned to ULI in Georgetown. The content-related aspects of the Center will be distributed to the other components of ULI, mainly the other Centers and the District Councils in the Western US region.The ULI Terwilliger Center for Workforce Housing supports development of housing affordable to moderate- income workers. Established in 2007, the Center will identify and eliminate barriers to workforce housing production by raising awareness of the affordability gap and advocating changes in public policy.ULI's European Research Center oversees strategy and delivery for broad range of projects including Emerging Trends Europe, Energy Efficiency Exchange, Infobursts and Olympics 2012.ULI Middle East Education Center-ULI has chosen to close the Middle East Education Center. The Middle East region continues to be an important region concerning land use issues. ULI will continue to support the District Council in the area and will seek new opportunities where appropriate.The ULI/Daniel Rose Center for Public Leadership in Land Use was started in 2009. Its mission is to empower leaders in the public sector to envision, build and sustain successful 21st Century communities by providing access to information, best practices, peer networks and other resources to foster creative, efficient and sustainable land use practices.The Capital Markets Center mission is to provide leadership in fostering and enhancing a healthy and productive real estate industry and real estate capital markets sector that in turn promote thriving and sustainable communities and real estate markets worldwide, through research, trend analysis, education, events, publications, websites and web-based resources, advocacy, and though leadership.The Infrastructure Center considers the role of infrastructure in the development and operations of the urban form. There are three major work streams: analysis and comment on federal policy and funding; direct work with District Councils to assist them in land use planning and development, particularly around transit corridor development; and research and production of an annual Infrastructure report which considers infrastructure issues on a world wide basis.The Center for Sustainability considers issues of Climate, Land Use and Energy (CLUE). Forums and meetings are held, research is conducted, reports and articles prepared. The first CLUE report was published in Fall 2009 documenting investor and financial interest in issues of climate and energy. The second report will be published in Fall 2010, focusing on opportunities for increased building efficiency, energy savings and various funding programs.The Urban Investment Network provides a forum for exchange of knowledge between public and private stakeholders to increase the level of investment in urban development and regeneration in Europe. | Description |

| Part V, Line 4: | Description of Intended Use of Endowment Funds: | District Councils are the local components of ULI's program of work. They are integral elements of ULI and function to further the overall vision, mission and purpose of ULI. As such, District Councils adhere to ULI's Articles of Incorporation, Bylaws, and any/all other policies and procedures adopted by ULI's Board of Trustees. District Councils are managed by a local ULI member executive committee, the chair of which is appointed by the Chairman of ULI and ratified by ULI's Trustees, and is required to report regularly on activities and financial results. Results of all of the District Councils' local activities, excluding ULI support for the District Councils, are shown separately from the operations of ULI's Washington, D.C. office. The net assets resulting from the District Council activities have been designated for their use. Financial results of the District Councils are included with ULI when reporting to the Internal Revenue Service. |
| Part X: | Description of Uncertain Tax Positions Under FIN 48: | On July 1, 2009, ULI adopted the Codification Topic on Accounting for Uncertainty in Income Taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, ULI may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained upon examination by taxing authorities, based upon the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated ULI's tax positions and concluded that it has taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. With few exceptions, ULI is no longer subject to income tax examinations by the U.S. federal, state or local tax authorities before 2007. |
