| Explanation | The Trustees of the ILWU-PMA Welfare Trust (the "Trustees") engaged PriceWaterhouseCoopers LLP ("PWC") to prepare the 2008 Form 990 for the ILWU-PMA Welfare Plan. Co-counsel to the Trustees circulated the draft Form 990 for review by the Trustees. PWC has revised the Form 990, including its Schedules, based upon the comments of the Trustees. Part VI, Lines 12a and 13 The Trustees of the ILWU-PMA Welfare Trust (the "Trustees") have directed their co-counsel to develop and submit to the Trustees for consideration and adoption a conflict of interest and whistleblower policy (the "Policy").
