| Description | San Francisco University High School is a fully independent organization formed for the sole purpose of providing a rigorous college preparatory high school education to a ethnically, culturally, and economically diverse student body of approximately 400 students annually. The school offers a rich curriculum in English, History, Languages, Math, Science and the Arts. The Performing Arts curriculum includes vocal, instumental and theatrical courses. The Studio Arts curriculum includes courses in drawing, painting, photography and ceramics. The school also sponsors a wide range of interscholastic athletic programs for boys and girls in thirteen sports. All students also participate in the Community Service Learning program. Approximately 100 students graduate each year with 100% going on to higher education.In addition to the core secondary or high school programs, the School also operates Summerbridge San Francisco, a tuition free academic enrichment and advocacy program for approximately 120 motivated but underserved middle school students annually. The program includes a full-time summer academic program and a regular school year support and enrichment program. During the summer, students take classes in math, writing, social studies, languages, science, public speaking, health and environmental education, as well as electives in the arts and athletics. The school year program features enrichment courses in math and english, after school tutoring, high school counseling and Secondary School Admission Test (SSAT) preparation. 95% of Summerbridge students enroll in academically rigirous college preparatory high schools and 90% go on to four year colleges. Summerbridge also embraces a "students teaching students" philosophy. Many of the summer courses are taught by enthusiastic high school and college students from the Bay Area and across the country. Mentored by a cadre of experienced professional teachers, these older student teachers are involved in almost every aspect of the summer program as teachers, teacher assistants, and planning and conducting activities, events and field trips. 72% of Summerbridge student teachers have gone on to work or volunteer in schools or other organizations that promote educational equity. | Description |

| Explanation | Schedule I, Part I, Line 2: Financial aid grants are made on an annual basis and are for the then specified school year only. The grant takes the form of a discount to the tuition then in effect, with the only obligation being that the student maintain a good academic standing. Academic assessments are completely independent of the financial aid process. If the student maintains their academic standing and continues to be enrolled in the school, the grant remains in effect. If the student withdraws from the school for any reason, the grant is discontinued. With respect to the awarding of such grants, the school uses a common financial aid application supplied by the School and Student Service for Financial Aid (SSS), a unit of the National Association of Independent Schools. The application is supplemented by copies of federal tax returns and other supporting documentation submitted by the applying families. SSS also provides a financial review of each application, assuring that all applications are analyzed in a uniform and consistent manner. All grants are based strictly on need. A Financial Aid Committee composed of personnel from the school's business and admissions offices reviews each application and determines whether a grant will be offered and the amount. | Explanation |

| Explanation | The benefits described in the question are provided exclusively to the Head of School. The School owns a residence and the Head of School resides there as a requirement of the position. The house is also used routinely for fundraising activities, meetings and receptions with parents, faculty meetings, department meetings and similar activities, most of which require and/or involve the attendance of the Head of School, and in some cases the spouse. The Head of School is also allowed to have his/her spouse accompany him/her to one conference per year. Usually this is the annual conference of the National Association of Independent Schools. | Form 990, Part VI, Section B, line 12c | The school's Conflict of Interest Policy covers all Trustees, Officers, Employees and Volunteers. The policy is designed to identify and address all situations in which a covered person has a direct or indirect financial interest in the outcome of a transaction or arrangement with the school. Covered persons are expected to voluntarily report potential conflicts of interest to the Chair of the Board or the Executive Committee of the Board. Other parties may also report potential confllicts of interest to the Board Chair or the Executive Committee. The full Board of Trustees is the final arbitor of whether a conflict of interest exists. If the Board determines that a conflict exists, it shall require that the person involved in the conflict recluse themselves from all discussion and vote on the transaction or arrangement involved. The Board, upon majority vote, may proceed with the transaction or arrangement, if after additional due diligence, it is determined the transaction or arrangement is in the best interests of the school. |

The Compensation Committee engages the services of an independent consultant to review the duties of the positions, develop and examine compensation data from similar organizations, and make recommendations to the committee.
