ExplanationThe Children's Hospital of Philadelphia has established controls in place to monitor the use of grant funds both outside and within the United States. Expenditures are monitored based on the guidelines outlined by 45CFR Part 74 Appendix E (OASC-3). It is our policy to follow the federal government-established principles for determining costs applicable to grants, contracts, and other agreements. The Hospital generally applies these same cost principles to non-federal funding. All costs posted to sponsored projects must comply with government and sponsor rules and regulations. Costs must meet several criteria: (1) costs being charged to a grant must be reasonable and necessary for meeting the objectives of the grant/project, (2) costs must be allowable in accordance with the sponsor rules and regulations, (3) costs must be allocable based on the benefit derived, cause and effect, or other equitable relationship, and (4) costs must be consistent with costs charged in similar circumstances to other sponsored projects.Explanation

Income Based CriteriaTHE ORGANIZATIONS'S CHARITY CARE POLICY REQUIRES THAT AVAILABLE ASSET INFORMATION BE REVIEWED IN ALL CASES IN ADDITION TO INCOME; HOWEVER, THE POLICY ALSO PROVIDES THAT A PATIENT'S/FAMILY'S PRIMARY RESIDENCE OR VEHICLES NEEDED FOR REGULAR TRANSPORTATION ARE NOT CONSIDERED IN ASSESSING AVAILABLE ASSETS.IncomeBasedCriteria
Percent Of Total Expense ExplnThe bad debt expense included on Form 990, Part IX, Line 25, column (A), but subtracted for purposes of calculating the percentage in this column is $36,064,759.PercentOfTotalExpenseExpln
Bad Debt FootnoteCHOP's audited financial statements do not include a footnote that explains bad debt expense, accounts receivable, or allowance for doubtful accounts. CHOP's patient accounts receivable is reduced by an allowance for uncollectible accounts for amounts that could become uncollectible in the future. In accounting for bad debt expense, uncollectible self-pay accounts (including patient account balances due after reimbursement from insurance) are written off as bad debt expense after exhausting collection efforts. In addition, certain amounts are recorded as bad debt expense after CHOP routinely analyzes the historical cash collections of its patient accounts receivable. The bad debt expense at cost was determined by a cost to charge ratio.BadDebtFootnote
Debt Collection PolicyCHOP'S BAD DEBT POLICY AND PARTIAL CHARITY CARE POLICIES, AS WELL AS ITS FINANCIAL ASSISTANCE POLICY AND ALL RELATED INTERNAL POLICIES AND PRACTICES, PROVIDE THAT CHARITY CARE (AND PARTIAL CHARITY CARE) CASES ARE DESIGNATED IN THE SYSTEM IN A PAYOR CATEGORY THAT IS NOT SENT TO OUTSIDE COLLECTIONS.DebtCollectionPolicy
Needs AssessmentPART VI, ITEM 2: During TY 2009, CHOP assessed the needs of the communities it serves through various means. For example, many of these community needs assessments were performed on a continuous basis. Thus, on a monthly basis CHOP tracks the third available appointment for pediatric subspecialty outpatient appointment access. The "third available appointment" is a national metric that has been created by a group of 42 freestanding children's hospitals as a way to measure community access to pediatric subspecialty care. When subspecialty appointment availability goes beyond a certain threshold, CHOP implements strategies in order to improve access to care for the community. Second, on an annual basis, as a part of its resource allocation process CHOP develops a capacity plan. For primary care pediatrics, CHOP assesses appointment access and community demand to increase, as needed, the number of providers and exam room capacity. On the inpatient side, CHOP uses historical growth trends to predict future community demand. The annual capacity plan guides decision making around additional hospital beds, emergency department capacity and clinical providers. Consistent with its extensive research and community service activities (some of which are further described in Item 6 below), CHOP also often performs cause-specific analyses addressing specific areas of need. Thus, for example, CHOP is a key participant in the Philadelphia Collaborative Violence Prevention Center ("PCVPC"), a community-based participatory research endeavor which brings together academic institutions and community-based organizations to conduct community-based participatory research through a cooperative agreement with the federal Centers for Disease Control & Prevention. The Center consists of a central research model that takes promising models of primary prevention programs for youth and adapts them for use in the West Southwest Philadelphia community in partnership with community members and community-based organizations. A key goal of the Center is to learn how to best share research results with the community and incorporate community feedback into the design of research. CHOP believes that this research-oriented focus on specific community needs is an effective method of meeting specific health needs of the communities it serves. Many of CHOP's community programs are also collaborations with community agencies. Thus, for example, CHOP's Connect to Protect Project is a community-level prevention research initiative to collaborate with community agencies to perform critical HIV primary prevention in community settings. This initiative is a part of The Adolescent Initiative, an integrated system of clinical care, research, training and prevention with culturally and developmentally appropriate education to adolescents at risk for or infected with HIV. Another community program, CHOP's Center for Leadership Education in Neurodevelomental Disabilities, has as a fundamental goal of developing community partnerships that serve to enhance the health infrastructure of communities CHOP serves, improving services and resources for children and families of children with or at risk for neurodevelopmental disorders including autism spectrum disorders. CHOP's ongoing partnership with community organizations through these and many other programs assist it in its ongoing assessment of the needs of the communities it serves. Finally, CHOP owns and operates PolicyLab, whose mission is to achieve optimal child health and well-being by informing program and policy changes through interdisciplinary research. PolicyLab is one of nine Centers of Emphasis within CHOP's Research Institute. PolicyLab researchers are methodological experts in the disciplines of epidemiology, health services research, program evaluation, and ethics, seeking evidence-based solutions to the most challenging health-related needs affecting children. The express mission of PolicyLab includes a commitment to transforming "evidence to action," bridging the gap between academic communities and the real world by engaging in research that is responsive to community needs and relevant to policy priorities. This focus on broadly but rigorously assessing child health and community needs as part of its research mission is a unique aspect of CHOP. In TY 2009, PolicyLab partnered with numerous stakeholders in traditional healthcare and other community locations to identify the programs, practices, and policies that support the best outcomes for children and their families.NeedsAssessment
Patient Education AssistancePART VI, ITEM 3: CHOP's Family Health Coverage Program (FHCP) assists uninsured and underinsured families, including assessing their eligibility for the appropriate State program (PAMA, PA SCHIP, NJMA, and NJ Family Care), determining which State program a patient/family is eligible for based on Federal Poverty Level guidelines, and other criteria; collecting the required documents; and submitting applications for those programs. A Charity Care assessment may also be done, as appropriate. The Family Health Coverage Program has a designated email account that may be used by divisions within CHOP to refer patients to FHCP. It also has two hotline numbers that are utilized to refer patients to FHCP. An active partnership exists between and among the Hospital's Social Work department, Case Managers and FHCP. Any active patient case can be referred to FHCP up until an account is sent to bad debt or collections. There are financial assistance packets available and widely distributed in Hospital departments and divisions that explain what the FHCP services are, and how families can access the services. These packets also contain FAQ's about the program. Divisions and departments who have accepted self-pay patients for treatment or medical services refer these patients to FHCP for assessment for State insurance coverage, and/or Charity Care. FHCP information is routinely given to self-pay patients who are seen in the Emergency Department. If an admitted patient/family is identified as self-pay, they are referred to FHCP through operational processes from CHOP's Patient Access and Revenue Cycle (PARC) Prior Authorization or Bed Management departments. Information about the FHCP is provided on the Hospital and Physician Billing statements. In addition, patients/families can learn more about financial and billing information as well as financial assistance, including charity care through: The Families' Guide to Billing and Financial Information; the CHOP internet site; and posters that are displayed at CHOP's Care Network sites, outpatient subspecialty and Specialty Care clinics. CHOP also has Financial Counselors available to families either at the time of scheduling an appointment, the time of appointment or after an appointment has taken place.PatientEducationAssistance
Community InformationPART VI, ITEM 4: The Children's Hospital of Philadelphia (CHOP) was founded in 1855 as the first hospital in the nation devoted exclusively to providing medical care for children. In its fiscal year (FY) 2010 (period covered by the 2009 Form 990), CHOP constituted an integrated pediatric healthcare system that includes not only its internationally recognized pediatric hospital but also a leading pediatric research enterprise, extensive academic medicine programs and multiple physician practice plans. The pediatric hospital owned and operated by CHOP includes 492 licensed beds (461 of which were in service in FY 2010) and provides high quality pediatric care, including tertiary and quaternary services, at the CHOP main campus located on 34th Street and Civic Center Boulevard in Philadelphia, PA. In addition, CHOP is recognized as one of the world's leading pediatric research facilities, conducting research that seeks to cure pediatric diseases and improve the health of children across the globe. CHOP also has an extensive, high quality teaching program, including a close collaborative relationship with the University of Pennsylvania. Thus, in describing the communities served by CHOP, its wide-ranging charitable activities of patient care, research, and education must be considered. Patient Care Service Area CHOP's service area is a large geographic area with 1.5 million children including urban, suburban and rural populations. (Demographic data obtained from Thomson Reuters's the Market Planner Plus Software) The service area includes Southeastern Pennsylvania, Southern New Jersey and Northern Delaware including the following 15 Counties: Bucks, Chester, Delaware, Montgomery, Lehigh and Philadelphia Counties in Pennsylvania; Camden, Atlantic, Burlington, Salem, Cape May, Gloucester, Cumberland, and Mercer Counties in New Jersey; and New Castle County in Delaware. CHOP's main campus is in West Philadelphia and 82% of CHOP's inpatient/observation patients came from the greater Philadelphia region or the primary service area. However, CHOP also provided care to patients from 46 States, the District of Columbia and Puerto Rico. CHOP had almost 30,000 inpatient or observation discharges, 430,000 specialty care ambulatory visits and 735,000 primary care visits at its main campus and 35 other satellite locations throughout Pennsylvania and New Jersey. CHOP's comprehensive pediatric medical center and regional Care Network provides care from before birth into adulthood, including inpatient medical, surgical and intensive care services, outpatient care, emergency services, and home care and operates more than 40 clinical specialties and 40 multidisciplinary centers and specialized programs. Patient Care Primary Service Area Demographics and Service Providers Estimated median income in the primary service area was $67,095 (Demographic data obtained from Thomson Reuters's the Market Planner Plus Software.) and 20% of households had annual incomes below $25,000. (Demographic data obtained from Thomson Reuters's the Market Planner Plus Software.) An estimated 29% of children under age 18 were insured by Medicaid while 6% had no insurance. (Demographic data obtained from Thomson Reuters's the Market Planner Plus Software.) The payor mix for patients from CHOP's primary service area included 35% Medicaid patients and 5% patients with no insurance. While the communities CHOP serves include many suburban communities, a large percentage, 27% in FY 2010, of CHOP's inpatient/observation patients lived in the City of Philadelphia. Median income in Philadelphia County was $39,973 (Demographic data obtained from Thomson Reuters's the Market Planner Plus Software) and 36% of the households had annual incomes below $25,000. (Demographic data obtained from Thomson Reuters's the Market Planner Plus Software.) Data from the Annie E. Casey Foundation further estimates that 33.9% of children in Philadelphia are living below 100% of the federal poverty level. [This data is for calendar year 2010 and is derived from the Annie E. Casey Foundation website for the County of Philadelphia for 2006-2008- Poverty Level - Children Age Birth To 17 By Poverty Level (American Community Survey 3-Year Average).] An estimated, 55% of children under age 18 were insured by Medicaid while 10% had no insurance. (Demographic data obtained from Thomson Reuters's the Market Planner Plus Software.) The payor mix for CHOP's inpatient discharges from Philadelphia County included 6,579 medical assistance patients and 153 patients with no insurance. The payor mix for inpatient discharges from CHOP's primary service area included 10,546 medical assistance patients and 257 patients with no insurance. The Pennsylvania Medicaid program provides for additional payments to providers that serve a disproportionate share of low income payments (so-called "DSH" payments). CHOP qualifies for these payments based upon the number of low-income patients that it serves. CHOP operates four Pediatric & Adolescent Care practices in medically underserved areas in Philadelphia. These sites provide comprehensive primary care from birth through young adulthood, during more than 100,000 patient visits each year. Nearly 72% of the children treated at these sites are on medical assistance. In addition, approximately 7% of children seen at CHOP are undocumented. As reflected on the Federal Health Resources and Services Administration website, there are 321 records for Medically Underserved Areas and Medically Underserved Populations in the CHOP primary service area, comprising: 211 records in the 5 Counties in Pennsylvania; 82 records in the 7 Counties in New Jersey; and 28 records in the 1 County in Delaware. CHOP is the only freestanding, independent (i.e. not affiliated with a health system) pediatric hospital in the Commonwealth of Pennsylvania, thus affording it an unparalleled singular focus on pediatric services. It is one of only three pediatric hospitals in its primary service area; the other two are St. Christopher's Hospital for Children, a 189 bed facility located in North Philadelphia, and Alfred I. duPont Hospital for Children, a 200 bed facility located in Wilmington, Delaware. A number of adult hospitals in the region also have pediatric units. Two adult hospitals with pediatric inpatient units and pediatric sub-specialists on staff are Cooper University Hospital in Camden, New Jersey and Bryn Mawr Hospital in Bryn Mawr, Pennsylvania. As a quaternary and tertiary referral center, CHOP is one of a few providers in the United States and the only provider in the region for some services (e.g., pediatric proton beam therapy and multi-disciplinary care for unborn babies with genetic abnormalities). Research and Professional Education Service Area CHOP is recognized as one of the world's leading pediatric research facilities, conducting research that seeks to cure pediatric diseases and improve the health of children across the globe. For the federal fiscal year ending September 30, 2009 (overlapping with the CHOP FY 2009), CHOP Research Institute (the "Institute") was the third largest recipient of research funding from the National Institutes of Health ("NIH") among pediatric facilities. Research at the Institute reflects the institution's deep and long-standing commitment to improve child health. With more than 500 investigators, 1,450 protocols and a research staff in the thousands, the Institute carries out groundbreaking research on the biology and treatment of childhood illnesses including diabetes, neonatal seizures, childhood cancer, hemophilia, pediatric heart disease, cystic fibrosis, nutrition disorders, hypercholesterolemia, mental retardation, AIDS, sickle cell disease, and numerous other diseases and disorders. The Institute has a total operating budget of $248 million for FY 2010. CHOP's reputation as a world leader in pediatrics is, in particular, attributable to the high quality of its teaching programs. CHOP currently sponsors 27 programs accredited by the Accreditation Council for Graduate Medical Education (ACGME). Fellows from 11 of the accredited subspecialty training programs rotate to the Hospital of the University of Pennsylvania, which provides educational experiences as a participating institution. Additionally, CHOP sponsors training programs in 18 pediatric subspecialties for which, at present, there is no ACGME certification. CHOP also works with graduate medical education departments of many of the health systems in the Delaware Valley region to provide pediatric training experiences to over 500 rotating residents and post-graduate physicians annually. Total participation in the above programs in fiscal year 2010 included 135 resident physicians in pediatric training, 247 post-graduate physicians in pediatric subspecialties, and 750 rotations in accredited and non-accredited pediatric subspecialties. CHOP also has a wide variety of approved teaching programs in the variCommunityInformation
Other InformationPART VI, ITEM 6: CHOP has a governing board - its Board of Trustees - in which independent persons representative of the community comprise a majority. CHOP operates a full-time emergency department open to all children, regardless of ability to pay. As described elsewhere in this Schedule H, CHOP treats a substantial number of Medical Assistance patients and, further, provides substantial amounts of uncompensated care. In addition to a full range of patient care programs (many of which are specialized services which may not be available elsewhere), CHOP also operates extensive unparalleled research activities, and a broad range of community education and service programs. Some of these services and programs of CHOP are described below. In addition to its charity care and other community benefit activities described elsewhere on this Schedule H, CHOP offers a number of services that uniquely reflect its integration of high quality patient care, innovative research and a commitment to education. Some of these CHOP specialized services include: a comprehensive center - one of only a few in the world - offering technologically advanced, multidisciplinary care for unborn babies with genetic or anatomical abnormalities; a cancer center integrated with CHOP's pediatric cancer research program (which is the largest pediatric cancer research program in the world), through which CHOP launched the world's first proton beam therapy service exclusively for pediatric patients; a program for ventilator-dependent children (including a home care program for ventilator dependent patients as an alternative to inpatient treatment); and other clinical programs, ranging from primary care through tertiary and quaternary care that are routinely recognized as among the best in the world. In TY 2009, CHOP's research institute continued its groundbreaking research on diabetes, neonatal seizures, childhood cancer, hemophilia, pediatric heart disease, cystic fibrosis, nutrition disorders, hypercholesterolemia, mental retardation, AIDS, sickle cell disease, and numerous other diseases and disorders that affect children. CHOP makes a significant investment in translational research, aiming to not only broaden the world's base of knowledge of pediatric medicine but also to directly and expediently improve treatment of children's diseases and disorders. CHOP's reputation as a world leader in pediatrics is, in particular, attributable to the high quality of its teaching programs, offering residency training not only in pediatric specialties but also in 18 subspecialties. CHOP operates or participates in a wide range of community programs. One category of programs focuses on prevention and outreach and includes such programs as a research-based asthma education program for Philadelphia communities, a Diabetes Center, and the Sickle Cell Center at CHOP (which is particularly focused on patient and community education in the underserved areas of Philadelphia). Another category of CHOP community programs focus on early intervention programs and include: Early Head Start for low-income pregnant women and their families, and Reach Out and Read (a national program supporting reading and literacy). An additional category of community programs focuses on improving access to health care and includes the Homeless Health Initiative (providing medical education and prevention activities on-site in shelters and through the medical home at the CHOP primary care center); and the cultural competency and Language Services Program (providing support to community members with limited English proficiency as well as those with hearing disabilities). Yet another category of CHOP community programs focuses on injury and violence prevention and includes programs such as Safe Place: The Center for Child Protection and Health (providing health care to children who have been maltreated and those in substitute care, as well as a number of educational programs for foster parents and for child welfare and law enforcement professionals), a regional poison control service center providing toxicology services to other hospitals, healthcare providers and consumers, and the Kohl's Injury Prevention Program (which offers a wide range of education and safety devices). A further category of CHOP community programs focuses on children with disabilities and includes the Leadership Education in Neurodevelopmental Disabilities Program (advancing the care of children with neurodevelopment and related disorders, including developing community partnerships to improve services and resources for these children). CHOP also operates or participates in many research-based education programs such as the Center for Autism and Developmental Research and Epidemiology, the Connect to Protect Project of the Adolescent Trials Unit at CHOP (a research initiative to collaborate with community agencies to perform critical HIV primary prevention in community settings), and Teens Taking Control (a controlled pain intervention for adolescents with sickle cell disease). Five years ago, CHOP launched the Healthy Weight Initiative, a program aimed at pediatric obesity prevention and treatment. CHOP also participates in school partnerships such as the Health Care Careers Paths Program through which CHOP provides work-based learning and career exploration to students from two Philadelphia schools. CHOP also hosts a large number of support groups on its campus. These groups are parent-led and are open to all members of the community who wish to participate.OtherInformation
Affiliated Health Care SystemPART VI, ITEM 7: CHOP AFFILIATED ENTITIES The trustees and officers of CHOP also serve as the trustees and officers of The Children's Hospital of Philadelphia Foundation (the "Foundation"), a Pennsylvania nonstock, nonprofit corporation that is exempt from federal income taxation under Section 501(c)(3) of the Code (i.e. there is complete overlap of board membership and officers). The Foundation serves as CHOP's fundraising arm. The Foundation also holds and invests the endowment that is available to further the mission of CHOP (and the Foundation). CHOP is the parent entity of seven entities that each constitutes a CHOP physician practice plan. Those entities are: Children's Anesthesiology Associates, Ltd.; Children's Health Care Associates, Inc.; Children's Surgical Associates, Ltd.; Radiology Associates of Children's Hospital, Inc.; Children's Anesthesiology Associates of NJ, Inc.; Children's Health Care Associates of NJ, Inc.; and Children's Surgical Associates of NJ, Inc. (each, a "Practice Plan," and, collectively, the "Practice Plans"). All but one of the practice plans are nonprofit entites exempt from federal income taxation under Section 501(c)(3) of the Code. The Practice Plans represent the physician service departments at CHOP in anesthesiology and critical care medicine, pediatrics, surgery, and radiology and the physicians associated with these departments provide professional services in furtherance of CHOP's mission. The Practice Plans also provide and bill for medical professional clinical services provided by CHOP physicians, provide teaching services at CHOP and at the University of Pennsylvania School of Medicine, and engage in research activities at CHOP. CHOP operates a number of specialty care outpatient services throughout the region, in addition to a primary care network. CHOP's primary care network includes four urban primary care centers in West and South Philadelphia that provide high quality primary care services for primarily low-income children in CHOP's immediate community. The four primary care centers also serve as ambulatory training sites for CHOP's large pediatric residency program. CHOP also operates 40 pediatric primary care sites throughout the region. AFFILIATION WITH THE UNIVERSITY OF PENNSYLVANIA Although the University of Pennsylvania and CHOP are separate corporate entities with no shared ownership or corporate control, they have shared a close collaborative relationship for more than half a century in furtherance of their respective missions. The main campus of CHOP is adjacent to the campus of the University of Pennsylvania, including the Hospital of the University of Pennsylvania. CHOP has officially been the Department of Pediatrics to the University of Pennsylvania School of Medicine since 1929. The relationship between CHOP and the University of Pennsylvania includes collaboration on the performance of basic and clinical research, collaboration in patient care, cooperation in education and training of medical students and residents, and multiple arrangements for the joint use of facilities and equipments, such as the Proton Therapy Center owned by the University of Pennsylvania and leased for pediatric use by CHOP. AFFILIATIONS WITH COMMUNITY HOSPITALS CHOP also has a number of affiliations with community hospitals in Pennsylvania and New Jersey under which CHOP and the community hospitals collaborate to provide high quality, efficient pediatric services at the community hospitals. CHOP provides services that may include staffing and management and the affiliations can encompass the provision of emergency pediatric services as well as newborn and other pediatric hospital services as well as educational components. CHOP views these arrangements as an important part of its mission of improving access to and the quality of pediatric care to the communities it serves. ALL STATES WITH WHICH ORGANIZATION FILES A COMMUNITY BENEFIT REPORT: PART VI, ITEM 8: CHOP complies with all applicable reporting requirements established by the Pennsylvania ("PA") Department of Public Welfare ("DPW") for participation in the Hospital Uncompensated Care Program (the "Program") created by the PA Tobacco Settlement Act (the " TS Act"), signed into law on June 26, 2001. The Program provides for disbursement of appropriations from the Tobacco Settlement Fund to annually compensate hospitals for a portion of the uncompensated care they provide to uninsured and underinsured patients. The TS Act requires that a hospital must have a plan in place to serve the uninsured and meet specific eligibility requirements. Although not expressly a "community benefit report," it encompasses reporting on charity care and other uncompensated care.AffiliatedHealthCareSystem

FORM 990, PART IV, LINE 12An audit is performed on an Obligated Group which comprises the Children's Hospital of Philadelphia, the Children's Hospital of Philadelphia Foundation, and First Medical Insurance Company. An audit is also performed on a consolidated basis which includes the obligated group, PGH Development Corporation, Children's Anesthesiology Associates, Ltd, Children's Anesthesiology Associates of NJ, Inc., Children's Health Care Associates, Inc., Children's Health Care Associates of NJ, Children's Surgical Associates Ltd., Children's Surgical Associates of NJ, Inc., Surgical Research and Education Foundation and Radiology Associates of Children's Hospital, Inc. Form 990, Part VI, Line 11A A copy of this return was reviewed by the Board Audit & Compliance Committee before the return was filed. Before the return was filed, the Form 990 was also made available to the entire governing body of the organization through an accessible shared computer network drive maintained by The Children's Hospital of Philadelphia. FORM 990, PART VI, LINE 12 The Children's Hospital of Philadelphia maintains a written Conflicts of Interest Policy that applies to, inter alia, all of its Trustees, officers, employees, members of the Medical Staff and researchers of The Children's Hospital of Philadelphia and its affiliates. The Policy requires annual conflicts of interest statements from: Trustees and officers of the Hospital and its affiliates; the President and others in Senior Management; administrative personnel serving at the level of manager and above and certain other categories of employees defined in the conflicts of interest policy (such as persons known to place orders with vendors); Department Chairs, division chiefs and other members of the Medical Staff (except that members of the Medical Staff who are not based at the Hospital are only required to submit statements bi-annually); members of the Hospital Research Staff; designated employees of practice plans affiliated with the Hospital; and other persons designated by management. The statement tracks the conflicts of interest policy, requiring each person to disclose information for the reporting period regarding the existence and nature of gifts, outside interests, outside activities and other matters constituting a potential, perceived or actual conflict of interest, and to certify that they have read the policy and answered fully, accurately and to the best of their knowledge. After confirmation that all questions have been answered, the statements are reviewed by the relevant Vice President, Department Chair or other executive (or their designee), tracked by the Office of Compliance and Privacy (OC&P), and all statements disclosing potential, perceived or actual conflicts are forwarded to the OC&P as well as the Office of General Counsel (OGC) for further review and follow-up as needed. The conflicts statements submitted by Trustees of the Hospital and Foundation, and members of Senior Management, are reviewed by the OGC and OC&P and the disclosures are summarized in memoranda distributed to and reviewed by the members of the Audit and Compliance Committee of the Hospital and Foundation Boards. The remaining conflicts statements containing affirmative disclosures are reviewed by staff in the OGC and OC&P. In reviewing annual statements where an actual, perceived or potential conflict is disclosed, where problems are identified that need to be addressed, the goal is to eliminate or manage the conflict going forward and ensure that, as to employees or others on the Medical or Research Staff, the relevant supervisor is aware of the issue. Summary information about compliance with the policy's requirement to submit annual statements and disclosures contained therein is provided in memoranda to the Audit and Compliance Committee of the Boards. In addition, if any matter involving a potential violation of the conflict of interest policy is brought to the attention of management during the course of the year, a review is conducted by either the relevant department's management, OGC or OC&P, as appropriate. FORM 990, PART VI, LINE 15 The compensation of executives and physicians/scientists is reviewed and approved by an independent Compensation Committee of the Board of Trustees. The Committee reviews and approves in advance the compensation to be provided to the CEO, all Vice Presidents (including Executive and Senior VP levels), Clinical Department Chairs, and all faculty physicians and scientists. For each such person, this process was last performed in 2010. In making its determinations, the Committee considers the performance of the organization and that of the covered individuals as well as related business judgment factors. It also considers market comparison reports prepared by an external independent compensation consultant with significant experience in performing executive and physician compensation assessments for not-for-profit healthcare organizations. The Committee's process is designed to qualify for the rebuttable presumption of reasonableness for those individuals who are disqualified persons. The peer group for executives generally includes large and complex academic medical centers and health systems. For physicians and scientists, the peer group generally includes academic medical centers. Information from other organizations may also be considered where appropriate for the position. FORM 990, PART VI, LINE 19 Form 990 and financial statements are made available upon request. The conflicts of interest policy is available on The Children's Hospital of Philadelphia's website.
