DescriptionUWCM conducts an allocations process to non-profits in central Maryland (Baltimore City, Baltimore, Harford, Howard, Anne Arundel, Carroll Counties) who align with the community impact goals of UWCM. The allocations process is a comprehensive and stringent grant structure that utilizes the extensive experience and education of staff combined with a productive reliance on volunteers. UWCM extends to the community an announcement via newspaper and emails to all non profits who are invited to apply for funds to help UWCM reach its goals for community impact in the areas of Basic Needs (people have safe, stable housing), Youth (youth are ready for career or college upon graduating high school), School Readiness (children will enter school ready to learn) and Family Safety (people will be free from violence in their homes and relationships). Funding amounts ranged between $25,000 and $250,000 per year and must be expended by June 30, 2009. Upon completion of the proposals, volunteer review committees are formed consisting of professionals and leaders in each of the four impact areas identified above. The reviewers score each proposal in their respective area and final recommendations are made to the UWCM Board of Directors. Due diligence forms are required prior to being awarded any funding:*The original signature of the organization Executive Director on the Request for Application Form; *Copy of 501(c)3 status from IRS; *Copy of Form 990 and most recent Audit; and*Patriot Act compliance formOrganizations are required to provide a 25% match in the form of either in-kind support and/or cash for a portion of the award. Each proposal includes the budget, the program narrative, and the match. Grantees are held accountable for the matching funds. A separate volunteer audit subcommittee, consisting of CPAs, reviews all audits and makes recommendations based on their findings. Awards are granted for a specified period of time with quarterly reports required for each organization. UWCM staff monitors each report to ensure compliance with the Grant Agreement, funds are being spent down accordingly and performance measurements are on track. There are seven non-profit organizations that are funded through contractual agreements. These long standing agreements, originating from the early years of UWCM history, are in the process of renegotiation.Description

DescriptionHomeless Prevention and Rapid Re-housing Program (HPRP)The Homelessness Prevention and Rapid Re-Housing Program (HPRP) under Title XII of the American Recovery and Reinvestment Act of 2009 (Recovery Act) designated $1.5 billion for communities to provide financial assistance and services to either prevent individuals and families from becoming homeless or help those who are experiencing homelessness to be quickly re-housed and stabilized.Over the next three years, Baltimore City has been allocated a total of $9,523,896 as part of the HPRP funds to pay for prevention and rapid re-housing services in Baltimore City of which UWCM will administer $8,888,653. Of the funds, 60% must be spent within two years, and 100% of the funds must be spent within three years. Approximately 30% of the funds will be used towards prevention and 60% towards rapid re-housing. This funding is a one-time expenditure to be used for financial assistance and services to prevent homelessness and help the homeless quickly return to stable housing. Baltimore Homeless Services (BHS) will provide programmatic oversight while UWCM will provide fiscal and administrative support to BHS. Administrative support includes providing assistance to BHS in running the HPRP allocations process. As the fiscal agent of these funds, UWCM signed grant agreements with providers who were selected for funding. Monthly payments are issued, in advance, to the agencies. UWCM will receive 1.25%, or $119,049, of the total award for administrative costs over the life of the grant. For the year ending June 30, 2010, UWCM has received $2,873,156 in grant funds from HPRP of which $2,139,867 was distributed and $29,762 covers the fee for the first 9 months of administering the program.Description

ExplanationStatement on Lobbying Efforts UWCM's primary policy issue is to enable legislation that established permanent 2-1-1 Maryland Information and Referral Service Statewide and provided for a Governor's health and human services referral board for continued sustainability for the system. Any citizen living in the State of Maryland will be able to dial 2-1-1 to access 24 hour/7 days a week information and referral services, 365 days a year. The system will serve as the non-emergency arm of 9-1-1. The enabling legislation created an oversight board, appointed by and directly accountable to the Governor, to study the system and make recommendations on sustainability of the system in Maryland. Other legislative issues are on health and human services, drug and alcohol addiction treatment services, work force development, and issues concerning children, youth and families. Charitable organizational law and volunteer management were also areas monitored. We continue to monitor issues strengthening the community and supporting economic development as part of the quality of living in Maryland. In addition, monitoring legislation concerning Homeland Security Preparedness which can utilize 2-1-1 MD in building a strong support system working with the State and Local governments. Finally, we provided support to United Way agencies and affiliates, especially with local issues, on an as needed basis in health and human services: literacy; child abuse; maximizing human services benefits; etc. Also assisting with and monitoring bond bills that strengthen specific nonprofit organizations affiliated with United Way, paving the way for increased capacity in programs and services for citizens living in Maryland.Explanation

Part V, Line 4:Description of Intended Use of Endowment Funds:Endowment Fund The Board has a policy of setting aside all unrestricted bequests as Board-designated funds functioning as an endowment. There is an endowment policy that limits withdrawals to 5% of the rolling four-year average, but the Board has the authority to exceed that limitation. The Board must approve all withdrawals. Withdrawals can be used for a variety of purposes including special initiatives and health and human service agency funding. In March of 2009, UWCM began a planned giving initiative aimed at obtaining endowment gifts from high net worth, long-term donors. New endowment gifts obtained through this initiative will be accounted for separately from the current endowment. The new endowed funds are assets committed to the long-term or perpetual use of UWCM where the principal is invested and the earnings from the gifts are use to fund specified projects or programs as the donor directs, or if undesignated/unrestricted, by the Board of Directors. Those earnings allocations made by the Board of Directors will be to targeted health and human service programs. In making allocations, UWCM identifies and prioritizes critical human service needs in the region, funds programs and nonprofit agencies that address these needs, and monitors the results to ensure desired outcomes are met.
Schedule D Supplemental Information UWCM has adopted Accounting for Uncertainty in Income Taxes under the Income Taxes Topic of the Codification. The Codification requires the evaluation of tax positions, which include maintaining their tax-exempt status and the taxability of any unrelated business income, and does not allow recognition of tax positions which do not meet a more-likely-than-not threshold of being sustained by the applicable tax authority. Management does not believe it has taken any tax positions that would not meet this threshold. UWCM's policy is to reflect interest and penalties related to uncertain tax positions as part of income tax expense, when and if they become applicable.

ExplanationSchedule I, Part I, Line 2: Grant funding for which United Way of Central Maryland (UWCM)is the grantor - Allocations, Discretionary Grants, and other Special grants - are monitored utilizing an all volunteer review committee along with UWCM staff. Grantees are vetted using a due diligence review process where financial and program information, such as a recent audit, Form 990, and 501(c)(3) status, for example, are scored and recommendations made based on the findings. Grantees are required to provide UWCM quarterly reports that include both financial and program progress to ensure performance outcomes. Continued funding can be suspended for non-compliance. Grant funding through Private and Public Sector Donor Designated gifts are not monitored as UWCM is acting as a Pass Through facilitator. UWCM does not review the agencies eligible for funding nor requires any outcome reporting.Explanation

Part I, Line 1aPART I, LINE 1A: UNITED WAY OF CENTRAL MARYLAND FISCAL YEAR 2010 COMPENSATION REVIEW UNITED WAY OF CENTRAL MARYLAND, INC. (UWCM) HAS ESTABLISHED SPECIFIC GUIDELINES FOR THE DETERMINATION OF COMPENSATION PAYABLE TO EXECUTIVES, INCLUDING THE PRESIDENT AND CHIEF PROFESSIONAL OFFICER (CPO) (WITH SUCH TITLE HAVING BEEN RECENTLY DESIGNATED AS THE PRESIDENT/CHIEF EXECUTIVE OFFICER (CEO) AND THE CHIEF FINANCIAL OFFICER (CFO)). THESE GUIDELINES ARE DESIGNED TO ENSURE THAT THE EXECUTIVE COMPENSATION IS CONSISTENT UWCM NONPROFIT STATUS AND LONG-TERM MISSION AND GOALS. THE EXECUTIVE COMMITTEE AIMS TO FULLY DISCLOSE EXECUTIVE COMPENSATION IN AN OPEN AND TRANSPARENT MANNER, CONSISTENT WITH GOVERNANCE BEST PRACTICES AND APPLICABLE REGULATORY REQUIREMENTS. PROCEDURE FOR REVIEWING EXECUTIVE COMPENSATION THE EXECUTIVE COMMITTEE OF UWCM IS RESPONSIBLE FOR ESTABLISHING AND REVIEWING EXECUTIVE COMPENSATION IN ACCORDANCE WITH UWCM COMPENSATION AND ANNUAL REVIEW POLICIES AND PROCEDURES. UWCMS COMPENSATION POLICY IS TO PROVIDE TOTAL COMPENSATION (SALARY AND BENEFITS) TO EXECUTIVES IN A MANNER THAT FURTHERS THE LONG-RANGE STRATEGIC OBJECTIVES OF UWCM AND ENABLES UWCM TO ATTRACT AND RETAIN QUALIFIED EXECUTIVES. IN SETTING EXECUTIVE COMPENSATION, THE EXECUTIVE COMMITTEE CONSIDERS THE MISSION AND OBJECTIVES OF UWCM, THE PERFORMANCE OF UWCM AGAINST ITS ANNUAL AND LONG-TERM GOALS, INDIVIDUAL PERFORMANCE, AND THE COMPARABILITY OF UWCMS EXECUTIVE COMPENSATION TO OTHER UNITED WAYS AND SIMILAR NONPROFIT ORGANIZATIONS (NPO). MARKETPLACE COMPARISONS OF EXECUTIVE COMPENSATION ARE PERFORMED PERIODICALLY UTILIZING THE ASSISTANCE OF AN INDEPENDENT THIRD PARTY EXECUTIVE COMPENSATION PROFESSIONAL. THE ORGANIZATIONAL PERFORMANCE OF UWCM AND PRESIDENT/CPOS (OR PRESIDENT/CEO) IS REVIEWED ON AN ANNUAL BASIS. THE EXECUTIVE COMMITTEE EVALUATES THE PERFORMANCE OF THE PRESIDENT/CPO (OR PRESIDENT/CEO), MAKES APPROPRIATE CHANGES IN EXECUTIVE COMPENSATION OR BENEFITS, AND ADVISES THE BOARD OF DIRECTORS OF ANY ADJUSTMENTS THAT IT MAKES IN EXECUTIVE COMPENSATION AND BENEFITS OR ANY CHANGES TO EXISTING PLANS AND PROGRAMS. EXECUTIVE COMPENSATION PHILOSOPHY UWCM IS DEDICATED TO MAKING A MEASURABLE IMPACT IN CENTRAL MARYLAND. The Misison of UWCM IS TO MOBILIZE THE COMMUNITY TO IMPROVE PEOPLES LIVES. THE PHILOSOPHY OF THE EXECUTIVE COMMITTEE IS TO SET EXECUTIVE COMPENSATION THAT IS COMPETITIVE WITH COMPARABLE SIMILAR UNITED WAYS AND NPOS BASED ON PUBLISHED COMPENSATION SURVEYS. A COMPENSATION REVIEW UNDERTAKEN BY THE COMMITTEES INDEPENDENT COMPENSATION CONSULTANT AND THE EXECUTIVE COMMITTEES OWN ANALYSIS (BASED ON THE COMPENSATION CONSULTANTS REPORT) LED TO A DETERMINATION BY THE EXECUTIVE COMMITTEE THAT THE COMPENSATION PAID TO EXECUTIVES WAS REASONABLE UNDER THE STANDARDS PRESCRIBED BY SECTION 4958 OF THE INTERNAL REVENUE CODE. THE EXECUTIVE COMPENSATION PROGRAM CONSISTS OF FOUR KEY ELEMENTS: 1. ANNUAL COMPENSATION, WHICH INCLUDES BASE SALARY AND AN EXECUTIVE BENEFIT (15% OF BASE COMPENSATION FOR THE PRESIDENT/CPO, AND 10% 0F BASE COMPENSATION FOR THE NEW PRESIDENT/CEO AND OTHER ELIGIBLE EXECUTIVES) 2. HEALTH AND WELFARE BENEFITS 3. RETIREMENT BENEFITS 4. OTHER BENEFITS AND ALLOWANCE SUCCESSION PLAN IMPLEMENTED FOR THE PRESIDENT/CPO POSITION DURING FY 2010, THE EXECUTIVE COMMITTEE AND THE PRESIDENT/CPO IMPLEMENTED A SUCCESSION PLAN FOR THE PRESIDENT/CPO POSITION AND NAMED THE CHIEF OPERATING OFFICER AS PRESIDENT/CEO EFFECTIVE DECEMBER 1, 2009. IN ORDER TO ENSURE AN ORDERLY TRANSITION, THE FORMER PRESIDENT/CPO WAS RETAINED AS A SENIOR ADVISOR TO THE PRESIDENT/CEO FOR A LIMITED PERIOD. THE NEW PRESIDENT/CEO CHOSE TO ACCEPT BASE SALARY AND TOTAL COMPENSATION WELL BELOW WHAT IS CONSIDERED THE MINIMUM FOR HIS POSITION (BASED ON UWCMS PEER GROUP AND PUBLISHED COMPENSATION SURVEYS) AND TO FOREGO ANY ADJUSTMENT IN BASE SALARY UNTIL 2012. IN ACCORDANCE WITH ITS ESTABLISHED PRACTICES, THE COMPENSATION OF THE NEW PRESIDENT/CEO WAS REVIEWED BY THE COMMITTEES INDEPENDENT COMPENSATION CONSULTANT WHO CONCLUDED THAT THE COMPENSATION OF THE PRESIDENT/CEO WAS REASONABLE, BUT LESS THAN COMPETITIVE. AS PART OF UWCM NORMAL PROCESSes, THE COMPENSATION OF THE CFO WAS ALSO BENCHMARKED AGAINST UWCMS PEER GROUP AND PUBLISHED COMPENSATION SURVEYS TO ENSURE THAT IT WAS REASONABLE. Form 990, Part VI, Section A, line 4During FY10, the By-laws of the organization were amended at the December 17, 2010 board meeting to align, with appropriate current terminology, the position of Chief Executive Officer and Chief Volunteer Officer with the offices of the President and Board Chair, respectively.
Form 990, Part VI, Section A, line 7aArticle VI of the UWCM By-Laws defines the various types of Members of the Corporation. Article V stipulates that the Board must be representative of the community that UWCM serves, and be volunteers, except for the Director from the Agency Executive Council who represents the collective interest of the funded agencies as a non-voting member of the Board. Of the 46 seat maximum allowed on the Board, 9 seats are appointed designees, 5 seats are elected designees, and the remaining seats are elected by the Members at their annual meeting.
Form 990, Part VI, Section B, line 11Form 990 is prepared by UWCM, reviewed by the Auditors, and presented to the Finance Committee for review and acceptance. After review and acceptance, the document is mailed to each board member for their review. The Form 990 is an agenda item at a Board meeting and is presented by the Treasurer. The Treasurer calls for a motion to accept the Form 990 document and then the form is filed with the Internal Revenue Service.
Form 990, Part VI, Section B, line 12cBelow are the Conflict of Interest Policies for UWCM. Each year, all staff and volunteers are required to Re-verify the Code of Ethics which includes the Conflict of Interest Policy and the Whistleblower policy. United Way of Central Maryland Conflicts of Interest for Staff UWCM is a non-profit charitable corporation. Its principal purposes and activities are information and referral services and fund-raising and apportionment of funds for the benefit of other non-profit charitable corporations in Central Maryland and the persons whom those organizations serve. Ultimate authority and responsibility for managing United Way of Central Maryland's affairs resides with its Board of Directors. The Board of Directors and the committees they form consist of volunteers. With the goal of avoiding any appearance of even theoretical conflicts of interest, and to set an example for agency member organizations that may look to UWCM for guidance with respect to the conduct of their own affairs, United Way of Central Maryland has established the following guidelines for you to follow in conducting yourself in business in which you may have or may develop a conflict of interest. I. A conflict of interest occurs whenever you permit the prospect of direct or indirect personal gain to improperly influence your judgment or actions in the conduct of UWCM business. Examples of potential conflicts of interest are: A. Acquisition or sale of any property or services by UWCM where there is compensation or other direct or indirect financial benefit to you or a member of your family. B. Placement of UWCM business of any kind with a company owned or controlled by you or your family. II. A conflict of interest arises when, for personal or family gain, you improperly use confidential information of UWCM. III. You must not misuse your position with UWCM to solicit from present or prospective contributors or volunteers of UWCM any discount on personal or family purchases of equipment, materials, or services. However, you may accept any discount offered generally to all employees of UWCM. IV. You may not serve as a voting member of the Board of any affiliated agency that receives allocated funds from UWCM. Should a potential conflict of interest, as described in Sections I or II, exist or arise, you must disclose the facts and circumstances of the potential conflict to your supervisor immediately. You must periodically sign, as a condition of employment or continued employment, a Conflict of Interest Certificate. United Way of Central Maryland Conflicts of Interest for Board and Volunteers United Way of Central Maryland, Inc. ("United Way") is a non-profit charitable corporation whose principal purposes and activities are fund raising, apportionment of funds and information and referral services for the benefit of other non-profit charitable organizations in Central Maryland and the persons whom such organizations serve. Ultimate authority and responsibility for managing the United Way's affairs resides with its Board of Directors. The membership of the Board and all Committees of the Board consists entirely of volunteers ("Volunteers"). In view of the purposes of the United Way and the nature of its activities, Volunteers may find themselves in situations where their outside business, personal or civic activities come into conflict with their fiduciary duties to the United Way. The United Way adopts the following policy with respect to participation by Volunteers in matters coming before the Board and its Committees in which they may have a potential conflict of interest: 1. No Volunteer shall knowingly participate in any decision of the Board of Directors or any Committee thereof or otherwise attempt to influence the conduct of the United Way where such decision or conduct would directly or indirectly confer on such Volunteer, or any member of such Volunteer's family, or on any firm or organization in which such Volunteer is an officer or director or has a material financial interest, any financial benefit, business advantage, preferential treatment or other advantage or benefit (a "conflict of interest"). For the purposes of this policy, the term "conflict of interest" does not include conflicts of a purely philosophical or ideological nature. 2. In the event that there is a matter for consideration or decision that raises a potential conflict of interest for any Volunteer, the Volunteer shall immediately disclose the potential conflict of interest to the Board or to the Committee considering the matter, as the case may be, and shall not cast a vote on the matter. 3. This Policy shall not be construed as preventing or discouraging any Volunteer from participating in the discussion of a matter with respect to which such Volunteer has a conflict of interest, provided such Volunteer complies with paragraph 2 of this Policy. At least annually, preferably at the organizational meetings of the Board and each of its Committees, all Volunteers shall be given a copy of this policy, and each Volunteer will be asked to sign a written statement acknowledging that he or she has read and understands the policy and disclosing any actual or potential conflicts of interest of which he or she may be aware. Code of Ethics Certificate I certify that I have read and understand United Way of Central Marylands Code of Ethics. I understand that each United Way volunteer, staff member and representative is responsible for adhering to the principles and standards of the Code, and I confirm that I have conducted myself in accordance with the principles and standards of the Code. To the best of my knowledge and belief, neither I nor any member of my family is now, or has been since the date of my last Certificate (if applicable), engaged in any activity which might create a conflict of interest or give the appearance of a conflict of interest with the UWCM, with the potential exceptions that I have listed below. If any potential exceptions arise in the future, I will complete another Certificate. Potential Exceptions (Conflict of Interest): Please list.
Form 990, Part VI, Section B, line 15THIS DISCLOSURE PROVIDES INFORMATION ON THE GOVERNANCE AND OVERSIGHT OF THE COMPENSATION FOR UWCM EXECUTIVES (CONSISTING OF THE PRESIDENT/CHIEF EXECUTIVE OFFICER (CEO), PRESIDENT/CHIEF PROFESSIONAL OFFICER (CPO) NOW SERVING AS SENIOR ADVISOR, AND CHIEF FINANCIAL OFFICER (CFO). 1. EXECUTIVE COMPENSATION AT UWCM IS OVERSEEN BY THE EXECUTIVE COMMITTEE OF THE BOARD OF DIRECTORS. IN SETTING EXECUTIVE COMPENSATION, THE EXECUTIVE COMMITTEE EMPLOYS AN INDEPENDENT THIRD PARTY COMPENSATION CONSULTANT AND EVALUATES UWCM EXECUTIVE COMPENSATION AGAINST A GROUP OF SIMILAR NON-PROFIT ORGANIZATIONS, USING DATA FROM COMPARABLE UNITED WAYS AND PUBLISHED COMPENSATION SURVEYS. 2. UNDER THE DIRECTION OF THE BOARD CHAIR, THE EXECUTIVE COMMITTEE ESTABLISHES ANNUAL PERFORMANCE OBJECTIVES FOR THE PRESIDENT/CPO (WHICH WAS RECENTLY RE-TITLED AS THE PRESIDENT/CEO). 3. THE CEO AND BOARD CHAIR MEET PERIODICALLY DURING THE FISCAL YEAR TO REVIEW THE CEOS PROGRESS AGAINST MEASURABLE, PRE-ESTABLISHED PERFORMANCE OBJECTIVES. THE PERFORMANCE OBJECTIVES ARE ESTABLISHED BY THE EXECUTIVE COMMITTEE (AND REVIEWED BY THE BOARD) IN ADVANCE OF EACH FISCAL YEAR. 4. THE CEO PRESENTS A PROGRESS REPORT ON THE PRE-ESTABLISHED PERFORMANCE OBJECTIVES TO THE EXECUTIVE COMMITTEE AND BOARD OF DIRECTORS AT REGULARLY SCHEDULED MEETINGS. 5. EACH YEAR THE CEO IS PROVIDED A COMPREHENSIVE, CONFIDENTIAL REVIEW OF HIS/HER PERFORMANCE. THE BOARD CHAIR, IN CONSULTATION WITH THE EXECUTIVE COMMITTEE, DETERMINES A PERFORMANCE RATING FOR THE CEO, USING ESTABLISHED UWCM PERFORMANCE RATING CATEGORIES. 6. TO DETERMINE SALARY RANGES, UWCM USES A MARKET PRICING PROCESS. THE HUMAN RESOURCES DEPARTMENT (HR) WORKS WITH AN INDEPENDENT THIRD PARTY COMPENSATION CONSULTANT TO COMPARE EXECUTIVE SALARIES TO SALARIES PAID TO COMPARABLE EXECUTIVES (BASED UPON UWCMS PEER GROUP OF SIMILAR NONPROFIT ORGANIZATIONS AND PUBLISHED COMPENSATION SURVEYS). THE RESULTS ARE COMPILED BY HR AND REVIEWED BY THE EXECUTIVE COMMITTEE FOR THE PURPOSE OF DETERMINING THE SALARY RANGE FOR THE PRESIDENT/CEO POSITION WITHIN ESTABLISHED GUIDELINES. THE GUIDELINES FOR THE PRESIDENT/CEO POSITION ARE REVIEWED AND APPROVED BY THE EXECUTIVE COMMITTEE. A SEPARATE INDEPENDENT WRITTEN COMPENSATION ASSESSMENT IS MADE PERIODICALLY BY THE COMMITTEES INDEPENDENT COMPENSATION CONSULTANT AND PRESENTED TO THE EXECUTIVE COMMITTEE. 7. BASED ON ITS DETERMINATION OF COMPARABILITY AND PERFORMANCE, THE EXECUTIVE COMMITTEE DETERMINES ANNUAL EXECUTIVE COMPENSATION WITHIN ESTABLISHED GUIDELINES. THIS DETERMINATION MAY INCLUDE A PERCENTAGE INCREASE IN BASE SALARY. 8. THE ANNUAL SALARY DETERMINATION PROCESS IS DOCUMENTED IN MINUTES OF THE EXECUTIVE COMMITTEE AND PRESENTED TO THE BOARD OF DIRECTORS. UWCMS EXECUTIVE COMPENSATION POLICY MAY BE AMENDED ONLY BY THE UWCM BOARD OF DIRECTORS. FISCAL YEAR 2009 HEALTH AND WELFARE BENEFITS FOR EXECUTIVES: UWCM OFFERS BENEFITS TO ALL REGULAR FULL-TIME AND PART-TIME EMPLOYEES INCLUDING: MEDICAL, DENTAL, VISION, FLEXIBLE MEDICAL/DEPENDENT SPENDING ACCOUNTS, SHORT-TERM DISABILITY, LONG-TERM DISABILITY, GROUP LIFE INSURANCE AND ACCIDENTAL DEATH AND DISMEMBERMENT, FLEXIBLE PAID LEAVE, AND HOLIDAYS. UWCM EXECUTIVES RECEIVE THE SAME BASIC BENEFITS PROVIDED TO OTHER UWCM EMPLOYEES. RETIREMENT: UWCM OFFERS A COMPREHENSIVE 403(B) RETIREMENT SAVINGS PROGRAM THAT INCLUDES A MATCH AND NON-MATCH EMPLOYER CONTRIBUTION. THE EMPLOYER MATCH IS 25% (DECREASED FROM 50% EFFECTIVE 7/1/2009) OF ELECTIVE DEFERRAL UP TO 6% OF PAY. UWCMS DEFINED BENEFIT RETIREMENT PLAN WAS TERMINATED MARCH 1, 2009, AND BENEFITS WERE DISTRIBUTED IN JUNE 2010. THESE SAME RETIREMENT BENEFITS ARE PROVIDED TO OTHER ELIGIBLE UWCM EMPLOYEES. THE FREEZE AND ULTIMATE TERMINATION OF UWCMS DEFINED BENEFIT RETIREMENT PLAN HAD A SIGNIFICANT ADVERSE IMPACT ON THE RETIREMENT BENEFITS OF LONG-SERVICE UWCM EMPLOYEES. IN ORDER TO MITIGATE THIS ADVERSE IMPACT, UWCM (ACTING THROUGH THE BOARD) AGREED TO MAKE A SPECIAL MAKEUP CONTRIBUTION ON BEHALF OF ITS LONG SERVICE EMPLOYEES. BY VIRTUE OF HIS LENGTH OF SERVICE (30 YEARS IN THE UNITED WAY SYSTEM), THE PRESIDENT/CPO RECEIVED AN ADDITIONAL BOARD APPROVED RETIREMENT PLAN CONTRIBUTION, JUST LIKE OTHER LONG SERVICE UWCM EMPLOYEES. IN 2000, UWCM ESTABLISHED A SUPPLEMENTAL RETIREMENT BENEFIT (SERP) THAT WAS DESIGNED TO ENSURE THAT THE PRESIDENT/CPO RECEIVED THE SAME BENEFITS HE WOULD HAVE RECEIVED UNDER THE GENERAL UWCM DEFINED BENEFIT RETIREMENT PLAN BUT FOR CERTAIN IRS LIMITS APPLICABLE TO EXECUTIVES. THESE CONTRIBUTIONS, WHICH WERE MADE OVER A PERIOD OF MANY YEARS WERE DESIGNED TO GIVE THE PRESIDENT/CPO THE SAME FORMULA BENEFITS PROVIDED TO OTHER UWCM EMPLOYEES UNDER THE DEFINED BENEFIT RETIREMENT PLAN. THE PRESIDENT/CPO WAS NOT ENTITLED TO RECEIVE ANY OF THESE BENEFITS UNTIL ATTAINMENT OF AGE 61 OR TERMINATION OF EMPLOYMENT WITHOUT CAUSE. IN LIGHT OF THE FREEZE PLACED ON UWCMS DEFINED BENEFIT RETIREMENT PLAN, AND ITS REPLACEMENT WITH A DEFINED CONTRIBUTION PLAN, THE SERP WAS RESTRUCTURED TO A DEFINED CONTRIBUTION SERP IN CALENDAR YEAR 2009. AT THAT TIME MR WALTON VESTED IN A PORTION OF THE ORIGINAL DEFINED CONTRIBUTION SERP AND IT WAS REPORTED AS TAXABLE INCOME IN FY 2009. UWCM ALSO REMITTED A PORTION OF THE SERP BENEFIT TO FEDERAL AND STATE TAXING AUTHORITIES AS INCOME TAX WITHHOLDING AND EMPLOYMENT TAXES. THE VESTED AMOUNT ALONG WITH ANY ADDITIONAL CONTRIBUTIONS MADE TO THE NEW DEFINED CONTRIBUTION SERP CONTINUES WILL BE HELD BY UWCM UNTIL THE RETIREMENT OR TERMINATION WITHOUT CAUSE OF THE PRESIDENT/CPO. THE DEFINED CONTRIBUTION SERP PROVIDES THAT THE PRESIDENT/CPO (SENIOR ADVISOR AS OF DECEMBER 1, 2009) IS NOT ENTITLED TO ANY PORTION OF THE ADDITIONAL CONTRIBUTIONS MADE TO THE DEFINED CONTRIBUTION SERP IF HE TERMINATES EMPLOYMENT PRIOR TO AGE 65, UNLESS HE IS TERMINATED BY UWCM WITHOUT CAUSE. OTHER DEFERRED COMPENSATION/BENEFITS: THE PRESIDENT/CPO RECEIVED A TOTAL OF $71,826.91 IN THE OTHER DEFERRED COMPENSATION FOR CALENDAR YEAR, CONSISTING OF A $16,500 CONTRIBUTION TO AN ELIGIBLE DEFERRED COMPENSATION PLAN UNDER SECTION 457(B); $38,231.60 IN CONTRIBUTIONS TO THE DEFINED CONTRIBUTION SERP; AN EMPLOYER NON-MATCHING CONTRIBUTION TO THE 403(B) PLAN OF 5% ($11,512.59); AND A MATCHING CONTRIBUTION OF VOLUNTARY CONTRIBUTIONS TO THE 403(b) PLAN ($5,582.72). THE PRESIDENT/CPO ALSO RECEIVED CERTAIN OTHER NONTAXABLE BENEFITS TOTALING $14,405.12 (INCLUDING LIFE INSURANCE; AD&D; MEDICAL, DENTAL, AND VISION INSURANCE; SHORT-TERM AND LONG-TERM DISABILITY, ETC.). THE NEWLY APPOINTED PRESIDENT/CEO (EFFECTIVE DECEMBER 1, 2009) RECEIVED A TOTAL OF $8,643.00 IN OTHER DEFERRED COMPENSATION FOR CALENDAR YEAR 2009, CONSISTING OF AN EMPLOYER NON-MATCHING CONTRIBUTION TO THE 403(B) PLAN OF 5% ($5,407.44) AND A 25% MATCHING CONTRIBUTION TO THE 403(B) PLAN ($3,235.56). THE PRESIDENT/CEO CHOSE TO FOREGO THE EXECUTIVE BENEFIT (10% OF BASE COMPENSATION) HE WOULD HAVE OTHERWISE BEEN ENTITLED TO RECEIVE. THE PRESIDENT/CEO ALSO RECEIVED CERTAIN OTHER NONTAXABLE BENEFITS TOTALING $16,072.92 (INCLUDING LIFE INSURANCE; AD&D; MEDICAL, DENTAL, AND VISION INSURANCE; SHORT-TERM AND LONG-TERM DISABILITY, ETC.). THE EXECUTIVE COMMITTEE HAS DETERMINED THAT THE ABOVE-DESCRIBED COMPENSATION PROGRAM FOR THE PRESIDENT/CPO AND PRESIDENT/CEO IS CONSISTENT WITH THE UWCM COMPENSATION POLICY, IS ALIGNED WITH UWCMS NONPROFIT MISSION, GOALS, AND STRATEGIES, AND CONSTITUTES REASONABLE COMPENSATION FOR SERVICES ACTUALLY RENDERED WITHIN THE MEANING OF SECTION 4958 OF THE INTERNAL REVENUE CODE.

Endowment Program Policy and operating principles - Gift AcceptanceUNITED WAY OF CENTRAL MARYLAND (UWCM) Baltimore, Maryland Endowment Program Policy and Operating Principles ARTICLE I: FORMATION The Endowment Fund of United Way of Central Maryland, Inc. (UWCM) has been formed to provide individuals, businesses, foundations and others the opportunity to donate cash and/or other properties to UWCM. The following policy has been adopted by the UWCM Board of Directors to provide for the uniform administration of the Endowment Fund. ARTICLE II: PURPOSE OF UWCM ENDOWMENT FUND The purpose of UWCM's Endowment Fund shall be to receive gifts beyond the annual United Way campaign to create an investment fund that gives the Board of Directors an additional, flexible source of funds to support critical needs in the community and the general direction and purposes of UWCM. ARTICLE III: PROGRAM DEVELOPMENT AND DISTRIBUTION POWERS The Board of Directors of UWCM shall have the sole authority to disburse funds from the Endowment Fund as provided in this policy. Two standing Committees shall be established to aid and assist the Board of Directors and UWCM Staff. The Endowment Development Committee is charged with oversight of the Planned Giving Program. This Committee, or its sub-committee designee, shall be responsible for fundraising, marketing the planned giving program, and implementing strategies to build the Endowment Fund for UWCM through a coordinated, active program of identifying, cultivating, soliciting and recognizing donors, as appropriate. The Endowment/Pension Investment Committee is charged with investment management of the endowment fund. This Committee shall recommend financial investment advisors or managers provided that all deposits are revocable upon 30 days notice and that reports and evaluations of performance are provided regularly. A Gift Acceptance Sub-Committee of the Endowment Development Committee shall also be established to develop, implement and monitor a program for gift acceptance. The Sub-Committee shall comprise designated UWCM officials, the Development Officer and a minimum of two volunteers to be selected from the Endowment Development Committee. The Vice President of Strategic Planning and Development and the Development Officer shall provide program management and development and staff the Endowment Development Committee and other related volunteer groups. The Vice President of Finance and Administration shall staff the Endowment/Pension Investment Committee, which will oversee the investments and related financial matters of the fund. ARTICLE IV: GIFT ACCEPTANCE AND SOLICITATION POLICY UWCM will accept bequests and planned gifts in its name, in the name of its predecessors and under other such names as the current entity may be operating. This policy document will focus on both current and deferred gifts. To protect the interests of UWCM, its endowment program and those who support them, the Gift Acceptance and Solicitation Policy is designed to assure that all gifts to or for the Endowment Fund are structured to provide maximum benefits to both the donor and UWCM. The goal is to encourage funding without encumbering the organization with gifts, that may generate more cost than benefit, or are restricted in a manner that is not in keeping with the organizations mission and goals. To optimize funding, UWCM must be capable of responding quickly and positively, where possible, to all gifts offered by prospective donors. Except where stated otherwise, the Gift Acceptance and Solicitation Policy is intended as a guideline. Flexibility must be maintained since some gift situations are complex, and decisions must be made only after careful consideration of interrelated factors. The Gift Acceptance and Solicitation Policy will, in some instances, require that a Gift Acceptance Sub-Committee consider the merits of a particular gift. All final gift acceptances are subject to the by-laws, resolutions, and policies of UWCM, including its Gift Acceptance and Solicitation Policy. ARTICLE V: GENERAL INVESTMENT, DISTRIBUTION & SPENDING PROVISIONS A.Investment Philosophy: The investment philosophy is attached as an exhibit to this policy. B.Non-Invasion of Historic Dollar Value Principle A policy of non-invasion of the historic dollar value* of principal will be followed. However, in the event of a major crisis, disaster or emergency, the Board of Directors shall have the authority to disburse funds that may include the historic dollar value of principal, as the Board deems necessary, subject to donor imposed restrictions and any applicable provision of law. *Historic dollar value is established as cost basis. C.Disbursement and Support Process A disbursement process shall be established in accordance with the financial management policies of UWCM to provide for appropriate distribution of the income from the Endowment Fund. Subject to the particular terms of the donation, during each fiscal year, or as needs are determined and recognized, the Board of Directors of UWCM shall determine all recipients of and purposes for the funds. Recommendations regarding amounts and recipients shall come from Board-level Committees in conjunction with the Endowment/Pension Investment and Financial Management Committees. D.Eligibility All distributions of funds must be compatible with the mission and goals of UWCM. E.Income Available for Distribution Subject to maintaining the historic dollar value of the principal, the amount of current income expended on a current basis shall be recommended by the Endowment/Pension Investment Committee in cooperation with the Endowment Development Committee. In general, the recommended guideline shall be that up to five (5) percent of a rolling 16 quarters' average of the market value of the endowment fund assets calculated on a fiscal year be available for distribution annually. F.Annual Budget The specific amount of the Endowment Fund annual income available for reasonable and customary management and operating expenses of the endowment, including the operating budget for the Development Department, shall be recommended jointly by the Planned Giving and Endowment/Pension Investment Committees as part of UWCM's annual budget process. G.Undistributed Income Any investment income, which is not distributed in a particular fiscal year, will be reinvested in the corpus of the fund. H.Relationships Collaborative and productive relationships with foundations and other community planned giving entities are essential to the growth and development of UWCM's endowment. I.Internal Accountability The financial and accounting transactions of the endowment shall be the responsibility of the Associate Vice President of Finance and Administration of UWCM.
