DescriptionThe Alfred Mann Institute for Biomedical Development at the Technion (AMIT)was established in 2006 to turn the innovative technologies developed by Technion researchers into medical devices, pharmaceuticals and biologics that contribute to improving human health worldwide. AMIT screens and evaluates research projects with the potential to become widely used medical products that benefit mankind. Following positive feasibility studies, AMIT may build a team that can transform the science into end user applications and lead preclinical and clinical activities. In 2010, AMIT managed five research projects, evaluated another 12 and conducted final due diligence on two projects. At least one of these two projects may be approved for the marketplace starting in January 2012. Cardiamit: TVP1022 is an isomer of rasagiline (Azilect), an FDA-approved drug for Parkinson's disease (isomers are compounds with the same molecular formula but different structural formulas.) TVP1022 is proposed as a cardio-protective drug to supplement existing therapies. The research work on the project has been published in several papers.ACC (Anti-cancer Compound): A therapeutic agent for treating certain types of cancer based on an anti-cancer protein isolated from animal blood, ACC is extremely fast acting and has no adverse effects on normal cells. In addition to work on isolating and identifying the molecule, researchers devoted greater efforts this year to identifying the target. NaNose: An IVD breath collection, analysis and processing device for use as a cancer diagnostic, the NaNose analyzes the breath of individuals with cancer, which contains higher concentrations of alkanes and other volatile organic compounds. Based on nanotechnology, it uses electrodes coated with gold nanoparticles and capped with different types of organic compounds that react with compounds in breath. Its effectiveness in a sample of 100 people revealed some encouraging results. An improved generation of sensors is being used in a large-scale (500-plus participants) feasibility study being conducted during 2011. Concurrently, a GC-MS (gas chromatography-mass spectroscopy) analysis is being performed in an effort to identify unique biomarkers.AMIT maintains five patent applications, three of them in the national phase. NaNose research activity has been covered in major scientific and popular news publications. SEAlantis: A line of biomimetic tissue adhesives. The first application under development is SEAlantis vascular, a sealant for use in bleeding during vascular surgery. Research and development is focused on proof of concept in animal models, in which it was found effective in stopping bleeding, with a clinical phase to follow. There are six patent applications, three in the national phase.Description

DescriptionThe Lorry I. Lokey Interdisciplinary Center for Life Sciences and EngineeringIn an initiative spearheaded by Nobel Laureate Professor Aaron Ciechanover, the Technion is devoting significant resources to life sciences research, particularly the areas in which the university is already a world leader: engineering and biomedicine. Established in 2006, the goal of the Lorry I. Lokey Interdisciplinary Center for Life Sciences and Engineering (LS&E) is to nurture convergence science that integrates life sciences, engineering and exact sciences. The Center, now under the direction of Professor Yuval Shoham, has identified five distinct, yet interconnected areas that are fundamental to its advancement:1. Structural and Systems Biology, Genomics, Proteomics and Bioinformatics2. Tissue Regeneration and Stem Cell Biology3. Imaging4. Information Processing5. Bioprocesses EngineeringCreating these research clusters entails recruiting top-level scientists, providing state-of-the-art core facilities and infrastructure, and constructing a new life sciences building on the Technion campus, the Emerson Family Life Sciences Building. Some of the activities are coordinated with the Russell Berrie Nanotechnology Institute (RBNI). Activities of both centers will be merged, at least in part, in the form of the NANOMED initiative.New Faculty RecruitmentThe Lokey Center has supported the recruitment of excellent researchers, providing funding to establish their laboratories. Professor Roy Kishony, who joined the Faculty of Biology from Harvard University, is working on system-level architecture of genetic networks and the interplay between their design and the evolutionary process. Professor Amit Meller, the first nanomedicine recruit, joined the Faculty of Biomedical Engineering from Boston University. And Dr. Ariel Kaplan, also working in the area of nanomedicine, came to the Faculty of Biology From the University of California, Berkeley. Another Boston University recruit, Professor Daniel Segre, is now a member of the Faculty of Biotechnology and Food Engineering. Campus-wide Life Sciences-related ActivitiesFunding provided by the Lokey Center has also established the second generation high throughput genome sequencing laboratory in the Life Science and Engineering Infrastructure Unit (involving equipment purchase and upgrade, and the recruitment of two new Ph.D.-level employees), and created a fund to purchase and upgrade nanomed-related infrastructure equipment. In addition, the Center supports a Distinguished Lecture Series that features notable academics from around the world.Description

DescriptionThe D. Dan and Betty Kahn Mechanical Engineering BuildingSince its establishment in 1935, the Technion's Faculty of Mechanical Engineering has played a major role in building and defending the State of Israel. With more than 10,000 graduates, it is the leading ME faculty in Israel and has been ranked a world leader. Today, the faculty is expanding rapidly and applicants are of an increasingly high caliber. The faculty is preparing to face tremendous new challenges as mechanical engineering becomes more interdisciplinary. Mechanical engineers are major contributors to research in areas related to the high-tech and space industries, and they play a central role in emerging fields such as micro/nanotechnology, robotics, biotechnology, information technology and energy. The insights derived from the classical domains of mechanical engineering are expected to be crucial to the success of research efforts in these fields. To meet these demands, the Technion offers the full spectrum of disciplines within mechanical engineering, including research on fundamental and applied problems in the following fields: fluid mechanics and heat transfer, solid mechanics, energy, dynamics, robotics, CAD, optical engineering and control, as well as emerging interdisciplinary research in biomedical engineering, optics, materials, minirobotics and haptics, mechanics of materials and biomedical engineering. In order to maintain the high quality of its research and teaching, the department requires investment. With that goal in mind, the Technion is constructing an impressive new four-story building, the D. Dan and Betty Kahn Mechanical Engineering Building, which will house the departmental library, a student learning center, auditoriums, research laboratories and faculty offices, among other facilities.Description

DescriptionThe Nancy and Stephen Grand Technion Energy Program (GTEP)Economic stability and development are dependent on affordable, reliable energy sources. As developing countries improve their standard of living, their energy demands increase dramatically, with no sign of abating. An ever-expanding global energy market means that the potential reward for devising new energy technologies is almost inconceivable.Israel's RoleWith demand for power growing exponentially, an energy shortage or supply cutoff would prove catastrophic. Israel is particularly vulnerable in this respect: Its security situation makes energy independence a matter of survival. Innovative technology is needed to promote the country's economic growth and ensure its security, while reducing pollution. As one of the few non-oil-producing countries in the Middle East, Israel has a fundamental national interest in developing alternative energy resources. As the only democracy in the region, Israel has a unique responsibility to the Western world to help solve the problems caused by overdependence on oil produced by terror-supporting regimes. Energy Research at the TechnionThe solution to the energy crisis is threefold: conservation, developing renewable energy sources, and improving the efficiency of buildings and combustion technologies.Energy research at the Technion falls into the following four major program areas:Alternative fuels (non-carbon fuels, biomass-based fuels, hydrogen technology, solar hydrogen production); Energy storage and conversion (energy storage, fuel cell technologies); Renewable energy sources (photovoltaics, wind power, solar thermal energy); Energy conservation (advanced combustion and energy savings, efficient buildings). The Ed Satell Family Nitrogen-Hydrogen Alternative Fuels (NHAF) Reaction Research LaboratoryWithin the alternative fuels program area, the Nitrogen-Hydrogen Alternative Fuels (NHAF) Reaction Research Laboratory is dedicated to developing non-carbon-based energy sources. The challenge is to develop efficient ways to produce hydrogen, and then convert it into a transportable fuel. Technion researchers are working on producing hydrogen in an efficient membrane reactor and then developing a nitrogen-hydrogen-based fuel that can be transported safely and efficiently. Among the difficulties that must be addressed are developing efficient ways to oxidize the fuel and preventing undesired byproducts from forming, ensuring that the only emissions are water and nitrogen.GTEP Graduate Study ProgramDesigned to attract highly motivated graduate students in science and engineering, this program provides the broad education necessary to discover the next generation of energy solutions. The Technion has strong classical science and engineering departments that will produce scientists, engineers and researchers with an understanding of all energy-related issues. Cooperation with leading international universities on student exchange programs in the energy field will enable students to benefit from the developments and advances in other countries.Leaders in Energy ScienceA major initiative of the GTEP is recruiting new faculty members to the Technion and providing them with the resources to conduct cutting-edge research in various energy-related fields. The program is also dedicated to promoting collaboration within and beyond the campus, and improving the transfer of technology between academia and industry. Technion Autonomous Systems ProgramFusing machine, software and the abilities to sense, compute and communicate, autonomous systems are the very embodiment of machine intelligence. They can interact with the complexities of the real world and, as their name implies, can at some level act independently of external intervention. Autonomous systems are very much a part of our daily lives - although we may not recognize them as such. Examples include communication networks; transportation and traffic control systems; indoor climate control systems; unmanned land, water and space exploration vehicles; search-and-rescue devices; environmental cleanup equipment; and miniature cameras that can swim through the human body.In the future, autonomous systems will increasingly be put to work in critical situations. In wartime and terrorist incidents, for example, autonomous robots will be able to access areas that are too dangerous for humans to enter, and of their own accord make decisions and take action to detect and disarm bombs and identify and neutralize chemical and biological agents.Building on the autonomous systems research already underway at the university, the Technion has established a formal program that will focus on five categories of autonomous systems, each of which will be associated with its own research center. A fully multidisciplinary endeavor, researchers from numerous Technion faculties will collaborate to speed discovery and maximize research outcomes.Centers Within the ProgramArlene and Arnold Goldstein UAVs and Satellites CenterDriven by the need to identify and address constant terrorist threats, Israel has been a leader in Unmanned Aerial Vehicles (UAV) technology for more than 30 years. In this center, researchers from the Faculty of Aerospace Engineering are advancing the development of UAVs, some as small as the palm of your hand. These UAVs can perform military or weather surveillance, and can react to changing tactical situations. They can also coordinate action with other members of their "swarm," or team, which are deployed on the same mission or task. This is important because UAVs and satellites are the most natural application for advanced autonomy, as the distance at which they operate from the control centers is such that the time required for signals to travel from transmitter to receiver can be many seconds, and for interplanetary missions, even minutes. The new UAVs help protect and improve the quality of life around the globe, and make major contributions in: industrial and agricultural surveying; law enforcement and border security; high-voltage line, oil and gas pipeline inspection; monitoring and combating forest fires; searching for survivors following disasters in diverse environments. The Technion also plans to establish the following four centers: 1. Autonomous Medical Systems Center 2. Unmanned Ground and Marine Systems Center3. Multiple Autonomous Agents Center 4. Household and Industrial Robotics CenterThe Asher Space Research Institute In order to maintain its military prowess, Israel must control the skies - an important strategic advantage in the face of adversity and aggression. Space research and education therefore have played - and continue to play - invaluable roles in the development of Israel's military policy and infrastructure. The establishment of the Norman and Helen Asher Space Research Institute (ASRI) in 1984 was a milestone in Israel's space program. Its mission is to advance education, science, technology and engineering in all space-related fields. The Institute was established to accomplish the following goals: - School and train engineers in the latest space- and defense-related technologies.- Educate Israel's next generation of space and defense experts. - Establish the baseline of basic and applied research that will underscore the development of space technologies (satellite subsystems, algorithms, platforms, etc.). - Develop and implement a small yet exciting series of scientifically viable, financially affordable missions, enabling the university to help Israel meet its scientific and technological goals. A major focus of the ASRI involves the research and development of small satellites. Another is the collaboration between the technical staff and faculty members on research in various space-related fields. Fostering interdisciplinary work and collaboration of Israeli researchers from all universities and agencies as well as industry, the Technion has been able to extend the reach and scope of Israel's space research efforts. Under the auspices of the ASRI, the Technion has developed, tested and launched its very own satellite, and the university has established collaborative projects with scientists and scholars all over the globe. The ASRI also serves as an important refuge and research center for some 20 scientists from the former Soviet Union, who comprise 80 percent of the Institute's workforce. for continuation see later in schedule oDescription

ExplanationSchedule F, Part I, Line 2: The Society's fundraisers with the support of designated staff /departments are responsible for monitoring the University's compliance with the grant requirements. This includes obtaining on a regular basis any of the following: cash flows, budget reports and reports on the actual use of funds; acknowledgment letters from recipients of scholarships, fellowships and other student assistance programs; reports on the activities and status/outcome of research projects and academic chairs, and photos of ongoing and completed capital projects. Donors who supported laboratories, dormitories and other capital infrastructure projects are encouraged to attend groundbreaking and/or inauguration ceremonies at the University . Every three years, the Organization engages a local accounting firm in Israel to perform an audit of selected grants to the University in order to insure that grant requirements and donor recognition are properly complied with, and an audit report is rendered to the Organization detailing the results of the audit. The Organization's Audit Committee reviews and approves the audit report.Explanation

Form 990, Part VI, Section B, line 11The review of the Form 990 will be conducted in the following manner. The final Form 990 will be distributed to the Sr.VP/CFO,Executive VP, and Audit Committee for review and approval and then distributed to the Board of directors in either paper or electronic form, prior to filing.
Form 990, Part VI, Section B, line 12cA Conflict of interest policy is distributed to all Board members, officers and managerial staff. Each one is required to return the signed disclosure form. ATS counsel reviews disclosures to determine conflict and reports these to the Audit Committee for review and approval. Directors and staff with a conflict are prohibited from participating in discussions and decisions related to the transaction.
Form 990, Part VI, Section B, line 15The Executive Vice President's (CEO) compensation is determined by a Committee which is made up of the following officers of the Board of Directors: Chairman of the Board; Vice Chairmen of the Board; and President of the Board. From time to time the Chairman of the Board may choose to include the Honorary Chairman of the Board and/or Chairman of the Personnel Committee. The CEO's compensation is determined by contract and increases annually according to the terms of the contract. Bonus amounts are determined by the Committee. From time to time, the Committee engages an independent compensation consultant for comparability data and substantiation. The Committee then substantiates its decision with a memorandum which is signed by the president. With regard to the officers and key employees, From time to time ats engages in information sharing with other non-profits to evaluate its compensation package. In some years ats is able to gather this information on its own from other non-profits and in some years it has hired an outside firm to gather the information anonymously. ats does this to confirm that its salaries and benefits are in line with the market. This review was last performed in September 2010.

form 990, part iii, line 4dResearch Rated among the top 25 science and technology universities in the world ("Israel's MIT"), the Technion is renowned for its world-class research that has enhanced the quality of life with advances and discoveries in numerous areas, including alternative energy, anti-terrorism, autonomous systems, biotechnology, cancer, engineering, life sciences, nanotechnology, neurodegenerative illnesses, stem cells and water resource/reclamation. Israel's development and growth from an agriculture-based economy in the first half of the 20th century into a modern nation with a vibrant economy has been driven by the work of Technion graduates, researchers and faculty. The David and Janet Polak Center for Cancer Research and Vascular Biology in the Rappaport Faculty of Medicine The Polak Center, directed by Nobel Laureate Professor Aaron Ciechanover, was established in 2003 to promote in-depth, multilevel interdisciplinary basic and clinical research on the control of cellular and molecular processes involved in cancer initiation and progression. Technion Professors Aaron Ciechanover and Avram Hersko were awarded the 2004 Nobel Prize in Chemistry for their discovery of the ubiquitin-mediated protein degradation process. To date, the Center has published more than 200 research papers, which have pioneered this area of cancer research. Its relevance to treatment of multiple forms of cancer has inspired a flood of follow-up activity, with thousands of scholarly publications and hundreds of research groups around the world conducting related studies. More than 30 years of Technion research in this area has also contributed to the creation of Velcade - a new cancer drug (and the first of its kind approved by the FDA) to treat multiple myeloma (the second most common form of blood cancer). The Centers ongoing research may also lead to the development of new drugs to treat cancer of the colon, breast, prostate and melanomas. Faculty Recruitment In the past, the Technion's professor-to-student ratio was 1:16 (comparable to top-tier U.S. universities), but, as of 2010, this has changed to 1:24. To maintain the quality of the Technion's programs, it is expected that there will be a need to recruit some 30 new faculty members a year. Support for faculty recruitment and academic chairs will help the Technion meet this need. The First Steps Program First Steps was designed to attract new, young faculty who have demonstrated innovative developments with the promise of future major breakthroughs. One clear challenge in recruitment is that faculty in the U.S. earn higher salaries. The Technion has responded by providing state-of-the-art, exceptionally well-equipped research facilities, talented graduate assistants and an environment that encourages interdisciplinary research. Career Advancement Chair The Career Advancement Chair is a natural extension of the First Steps Program. The Technion uses the chair to support exceptional junior researchers in the critical early years of their careers, providing them the resources they need to focus full time on their research, while developing the teaching skills necessary to become a permanent member of the Technion staff. For example, Dr. Deborah Lindell holds the Robert J. Shillman Career Advancement Chair. After moving to Israel in 1985, she received her B.Sc. in Biology and her M.Sc. and Ph.D. in Marine Sciences - all from Hebrew University. She joined the Technion's Faculty of Biology in 2006 as a senior lecturer - pursuing advanced research. Her research is gaining international recognition. The European Research Council selected her and 23 other Israeli scientists - out of 9,000 European applicants - to be awarded the Starting Independent Researcher Grant. (She was awarded two such grants, each for 1.5 million Euros.) Her research focuses on the interactions between marine viruses and their globally important phytoplankton hosts. Understanding this interaction could lead to new antibacterial products. Distinguished Academic Chair The Distinguished Academic Chair is the ultimate recognition conferred upon a Technion senior faculty member for his or her extraordinary and lasting accomplishments. The chair provides ample resources for this individual to conduct a rigorous research program. Distinguished Professor Daniel Weihs of the Technion Faculty of Aerospace Engineering has been teaching at the Technion since 1973. He holds the Louis and Lyra Richmond Chair in Life Sciences, is Chairman of the Israel National Committee for Space Research and was recently appointed Chief Scientist by the Israel Ministry of Science and Technology. His research draws on aerodynamics, biological fluid mechanics, hydrodynamics and space research, which have combined in various different projects: miniature "parachutes" with nanosensors that can detect toxins in the air and a way to save dolphins from the ravages of drift net fishing. In another area, since the early 1970s, he has been involved in the development of Unmanned Aerial Vehicles (leading to current research on autonomous systems.) He received his B.Sc., M.Sc. and Ph.D. from the Technion and then worked at the University of Cambridge as a researcher. He returned to the Technion as a senior lecturer in 1973, became a full professor in 1983 and a distinguished professor in 2002. Throughout his career, he has consulted for the Israeli ministries of defense, internal security, transportation and science, and for public and private organizations in Europe and the U.S., including NASA and NOAA. He has published more than 130 scientific papers and one book, and has lectured throughout the world on subjects of aerospace engineering and biology. The U.S. National Academy of Engineering and the American Physical Society have honored him by electing him as a foreign member for his outstanding contributions to the field. Laboratories Well-equipped laboratories support Technion's world-class research. Faculty members pursue basic science research (the first successful proliferation of embryonic stem cells) and applied research that has led to the creation of clinical devices (medical robotics for safer spinal surgery). Technion researchers have created new advanced materials such as super-resilient concrete that withstands bombs and earthquakes, and advanced defense technologies such as a 16-inch "flying saucer" (or drone), which provides vital intelligence information for rescue efforts. The Morris and Renee Rochlin Neuroprotective Drug Development Laboratory in the Eve Topf Center of Excellence for Neurodegenerative Diseases Research Developing treatments and preventive drugs for Parkinson's disease and Alzheimer's disease requires new molecular and genetic tools, which have been made available in this facility, including some of the latest technical devices in pharmacogenetics, neurochemistry and neuropharmacology. Research focuses on multiple areas, including the relation of Alzheimer's to Parkinson's disease and the mechanism of nerve cell death. The researchers have created Azilect (FDA approved and now available) and also Anti-Lewy Body Disease drugs and other trifunctional drugs. New research also involves the creation of antioxidants and iron chelators as neuroprotective drugs. VK-28 and HLA 20, based on green tea extract, have both shown great promise in animal models. Ongoing genomic and proteomic research may help develop drugs for other neurodegenerative diseases such as Friedreich ataxia and Huntington's disease.continuation of other program service accomplishments
form 990, part iii, line 4dDormitory Housing for Graduate Students The Technion seeks to increase the size of its graduate student body. To the Technion, they bring their brilliance - ready to work in laboratories across the campus. They serve as teaching assistants, provide tutoring, and attract outstanding faculty members who want to work with and teach gifted scholars. For Israel, these future (graduate school) alumni will continue to be the primary corps of the nation's scientists, technology experts and engineers, who drive the growth of the economy, both locally and in global markets. The Institute's demanding graduate curricula (and research requirement) leaves these students little time for anything else, including part-time employment. Most students consider appropriate, comfortable and inexpensive on-campus housing a prerequisite for their enrollment. Graduate Student Village Graduate Student Village, comprised of seven buildings, will provide 216 apartments for married graduate students. Fifteen of these will be one-bedroom dwellings; 197 will be two- or two-and-a-half-bedroom apartments for couples with children; and four will be three-bedroom apartments for larger families. Three of the seven dormitory buildings have been occupied as of Spring 2011, and the remaining four buildings are scheduled to be occupied by Fall 2011. The Village is situated adjacent to Ramat Alon, a quiet neighborhood with a full array of essential and social facilities. These graduate students will contribute to a supportive social framework in which couples can safely share some of the duties of caring for their children. In addition, these students will find a rare environment for genuine interaction - one that will strongly support their collegial interdisciplinary research. Scholarships and Fellowships Endowed Undergraduate Scholarship Fund Many Technion undergraduates lack the resources to meet tuition and other basic costs. In addition, they are typically older and many are married (some with growing families). The Technion maintains a firm (and irreversible) policy: All qualified students are accepted, regardless of their ability to pay. Financial aid through gifts in perpetuity (from an endowed undergraduate scholarship fund) makes it possible for all admitted students to enroll and complete their course of study. The Technion's financial aid programs include another component: Scholarship recipients give back through their participation in a volunteer project, either community-oriented or via a one-on-one service. Some recipients aid younger students in Israel's elementary and secondary schools; others provide special tutoring in math and science to promising high school students whose schools lack the courses or personnel to offer such training. Merit Scholarship Program The Merit Scholarship Program provides full or half-tuition awards to incoming freshmen who have earned stellar marks in high school and a minimum of 700 out of a possible 800 on the psychometric exam (Israel's equivalent to the SAT). The donor is welcome to express a preference with regard to which faculty or faculties will be supported and also indicate the proportion of half- and full-tuition scholarships that will be awarded. Graduate Fellowships Graduate students are essential to the Technion: they perform copious research, serve as teaching assistants, attract first-rate faculty and become some of the university's best advocates when they later take up positions in industry, government and academe. Recruiting and retaining exceptional doctoral students has become increasingly difficult given fierce competition from other top-ranked universities worldwide. Part-time employment is normally impossible for these students, as Ph.D. programs require a commitment of four to five years of full-time study with extensive research (laboratory work), and master's programs, two years of full-time study. Technion doctoral fellowships are awarded based on merit to students who possess outstanding records - and are required to demonstrate ongoing excellence in their degree-related research project.continuation of other program service accomplishments part ii
