Schedule H, Part V, Section B, Line 5 Facility , 1Facility , 1 - Torrance Memorial Medical Center. In partnership with Providence Little Company of Mary Medical Center Torrance and Providence Little Company of Mary Medical Center San Pedro, Torrance Memorial Medical Center conducted interviews with persons representing the broad interests of the community to obtain input on significant community health needs, barriers to care, and available resources. Input received from these community stakeholders was considered and incorporated into the identification and prioritization of significant health needs as part of the Community Health Needs Assessment (CHNA). Thirty-three (33) phone interviews were conducted during October and November of 2024. Community stakeholders were identified by the hospital partners and invited to participate in the CHNA process. Interview participants included individuals and representatives from organizations serving the South Bay area of Los Angeles County, including public health, education, government, law enforcement, and social service sectors. These individuals provided input on the health needs and priorities of the communities served by the hospitals. In accordance with regulatory expectations, input from medically underserved, low-income, and minority populations was obtained through interviews with representatives of organizations and agencies that serve these populations, including community-based organizations, safety-net providers, and social service agencies. These stakeholders provided perspectives on the unique health needs, barriers to care, and disparities experienced by the populations they represent. Stakeholders were invited by email to participate in phone interviews scheduled at their convenience. At the beginning of each interview, the purpose of the CHNA was explained, participants were assured that their responses would remain confidential, and consent to proceed was obtained. During the interviews, participants were asked to share their perspectives on key health issues, challenges, and barriers affecting the community, including those disproportionately impacting vulnerable populations.

Schedule H, Part V, Section B, Line 11 Facility , 1Facility , 1 - TORRANCE MEMORIAL MEDICAL CENTER. Health needs were identified in Torrance Memorial Medical Center's (TMMC's) most recently conducted Community Health Needs Assessment (CHNA) and prioritized by community stakeholders. In accordance with Internal Revenue Service requirements, TMMC developed and adopted an implementation strategy that outlines how the hospital is addressing the significant health needs identified in the CHNA. The following Health Focus Areas and associated strategies reflect that implementation strategy, as well as TMMC's capacity to impact identified needs, the strength of community partnerships, and alignment with organizational strategic priorities. TMMC is addressing the significant health needs identified in the most recent CHNA as follows: Access to Care and Community Services (including preventive care, behavioral health, mental health, and substance use) TMMC is addressing this need through strategies and programs informed by CHNA findings, including: care transitions and patient supports; community benefit grants and in-kind support; community health workers providing short-term care coordination; financial assistance programs; health insurance enrollment support; health screenings; social work and case management; screening for social drivers of health with referral follow-up; services provided through the Thelma McMillen Recovery Center; naloxone distribution; clinical internships, preceptorships, and residency programs; and partnerships with workforce development and work-study programs. Chronic Disease (including overweight/obesity and food insecurity) In response to CHNA-identified chronic disease needs, TMMC implements the following strategies: support groups; community outreach and health education; Public Access Defibrillation Program; exercise and healthy lifestyle programs; Healthy Ever After; community benefit grants and in-kind support; community health worker follow-up; and food recycling and food recovery initiatives to address food insecurity. Housing and Homelessness To address housing instability and homelessness identified in the CHNA, TMMC supports: social work and case management services; community health worker follow-up; screening for social drivers of health with referral follow-up; care transitions and patient supports; homeless patient navigation services; convening of collaborative community networks; and provision of grants and in-kind community support. Health Needs the Hospital Will Not Address Significant health needs identified in the most recent CHNA that are not included as priority focus areas for 2025-2028 are Safety and Violence and Economic Security. While TMMC does not directly address these needs as primary focus areas, several existing programs and partnerships indirectly contribute to these issues. TMMC acknowledges the importance of these needs and will continue to explore opportunities, in collaboration with community partners, to support efforts that address them.

Schedule H, Part II Community Building ActivitiesSchedule H - Part II Community Building Activities Narrative Torrance Memorial Medical Center (TMMC) conducts community building activities intended to improve community health by strengthening workforce capacity, advancing economic opportunity, and addressing social determinants of health. In 2025, the medical center participated in the following initiatives: Community Health Worker Academy (Workforce Development) TMMC serves as an approved practicum site for the Community Health Worker Academy. The hospital provides supervised internship placements for approximately three to four Community Health Worker (CHW) interns annually. Interns receive training and practical experience in care coordination, health education, and resource navigation, with emphasis on reducing barriers to care and improving access for underserved populations. This initiative supports the development of a culturally competent community health workforce aligned with Community Health Needs Assessment (CHNA) priorities. Hospital expenses associated with supervision and training are fully offset by external grant funding, resulting in no net expense to the organization. The activity is reported under Other as a community building activity because it enhances community health infrastructure rather than providing direct clinical services. Verbum Dei Jesuit High School - Corporate Work Study Program (Workforce Development/Economic Support) Through partnership with Verbum Dei Jesuit High School's Corporate Work Study Program, TMMC supports workforce readiness and economic mobility for four high school students annually from historically underserved communities. Students work four days per month during the academic year in hospital departments, including health education and accounting, performing structured entry-level assignments. The program promotes educational attainment, skill development, mentorship, and exposure to healthcare and business career pathways. TMMC has participated as a corporate sponsor since 2018. This activity is reported under Other. First 5 LA - Welcome Baby Program (Community Support/Social Determinants of Health) Through June 2025, TMMC participated in First 5 LA's Welcome Baby Program, a grant-funded initiative providing non-clinical education, care coordination, and resource linkage to expectant and new parents residing in communities experiencing longstanding social and environmental inequities. Hospital-based liaisons supported families through in-hospital engagement and facilitated access to services including parent coaching, nurse home visitation, insurance enrollment assistance, and community resource navigation through the infant's first nine months of life. TMMC had served as a participating hospital partner since 2014, primarily supporting families from Wilmington. External funding concluded in June 2025, and the hospital's participation ended at that time. The program is reported as a community building activity because it addressed social determinants of health and strengthened family and community support systems rather than delivering direct patient care.
Schedule H, Part III, Line 2 Bad debt expense - methodology used to estimate amountBAD DEBT ON PART III, LINE 2 REPRESENTS THE PORTION OF THE PATIENTS THE ORGANIZATION DEEMED TO BE UNCOLLECTIBLE. THE ESTIMATED AMOUNT OF THE ORGANIZATION'S BAD DEBT EXPENSE ATTRIBUTABLE TO PATIENTS ELIGIBLE UNDER THE ORGANIZATION'S CHARITY CARE POLICY (LINE 3) WAS DETERMINED BY FIRST USING INDUSTRY CONSULTANTS TO IDENTIFY PATIENTS ELIGIBLE FOR CHARITY CARE AT THE TIME THEY ARE IN THE MEDICAL CENTER, AND THEN ESTIMATING THE NUMBER OF PATIENTS WHO MIGHT HAVE QUALIFIED HAD THEY PROVIDED THE REQUIRED INFORMATION. THIS ESTIMATE IS DETERMINED BY PAST EXPERIENCE AND BY REVIEWING ACCOUNTS RETURNED TO THE MEDICAL CENTER FROM AN EXTERNAL COLLECTION AGENCY THAT HAS DETERMINED THE PATIENT OR FAMILY REPRESENTATIVE DID NOT HAVE THE ABILITY TO PAY. GENERALLY SPEAKING TORRANCE MEMORIAL MEDICAL CENTER DOES NOT CLAIM THE COST OF SUCH CHARITY CARE THAT WAS INCLUDED IN BAD DEBT EXPENSE AS A COMMUNITY BENEFIT.
Schedule H, Part III, Line 3 Bad Debt Expense MethodologySAME AS RESPONSE TO PART III, LINE 2
Schedule H, Part III, Line 4 Bad debt expense - financial statement footnoteFOOTNOTE FROM THE CEDARS-SINAI HEALTH SYSTEM FINANCIAL STATEMENTS FOR THE YEAR ENDED 6/30/2025 FOR UNINSURED PATIENTS WHO DO NOT QUALIFY FOR CHARITY CARE, THE HEALTH SYSTEM RECOGNIZES REVENUE BASED ON ESTABLISHED RATES, SUBJECT TO CERTAIN DISCOUNTS AND IMPLICIT PRICE CONCESSIONS AS DETERMINED BY THE HEALTH SYSTEM. THE HEALTH SYSTEM DETERMINES THE TRANSACTION PRICE BASED ON STANDARD CHARGES FOR SERVICES PROVIDED, REDUCED BY EXPLICIT PRICE CONCESSIONS PROVIDED TO THIRD-PARTY PAYERS, DISCOUNTS PROVIDED TO UNINSURED PATIENTS IN ACCORDANCE WITH THE HEALTH SYSTEM'S POLICY, AND IMPLICIT PRICE CONCESSIONS PROVIDED TO UNINSURED PATIENTS. EXPLICIT PRICE CONCESSIONS ARE BASED ON CONTRACTUAL AGREEMENTS, DISCOUNT POLICIES, AND HISTORICAL EXPERIENCE. IMPLICIT PRICE CONCESSIONS REPRESENT DIFFERENCES BETWEEN AMOUNTS BILLED AND THE ESTIMATED CONSIDERATION THE HEALTH SYSTEM EXPECTS TO RECEIVE FROM PATIENTS, WHICH ARE DETERMINED BASED ON HISTORICAL COLLECTION EXPERIENCE, CURRENT MARKET CONDITIONS, AND OTHER FACTORS.
Schedule H, Part III, Line 8 Community benefit & methodology for determining medicare costsTORRANCE MEMORIAL MEDICAL CENTER (TMMC) PROVIDES CARE TO ALL PATIENTS IN THE BROADER COMMUNITY REGARDLESS OF ABILITY TO PAY. FOR THOSE PATIENTS WITH COMMERCIAL, MANAGED CARE OR OTHER NON-GOVERNMENT INSURANCE COVERAGE, TMMC HAS THE ABILITY TO NEGOTIATE REASONABLE REIMBURSEMENT RATES THAT ARE ADEQUATE TO COVER THE COSTS OF CARE. GOVERNMENTAL INSURANCE PROGRAMS, SUCH AS MEDICARE DO NOT OFFER THIS ABILITY. SINCE TMMC ACCEPTS ALL PATIENTS AS A MATTER OF SERVICE TO THE COMMUNITY, THE ASSOCIATED UNREIMBURSED COSTS OF THE MEDICARE PROGRAM HAVE BEEN DEEMED BY THE MEDICAL CENTER TO BE AN EXTENSION OF ITS COMMUNITY BENEFITS PROGRAM. THE COSTS OF THE PROGRAM HAVE BEEN DETERMINED USING COST-TO-CHARGE RATIOS AS DEFINED BY THE WORKSHEETS INCLUDED IN THE INSTRUCTIONS FOR FORM 990, SCHEDULE H.
Schedule H, Part III, Line 9b Collection practices for patients eligible for financial assistanceAPPLICATION OF COLLECTION PRACTICES TO THOSE QUALIFYING FOR FINANCIAL ASSISTANCE TORRANCE MEMORIAL MEDICAL CENTER (TMMC) DOES NOT PURSUE COLLECTION FOR AMOUNTS KNOWN TO QUALIFY FOR CHARITY CARE UNDER ITS FINANCIAL ASSISTANCE POLICY. THE MEDICAL CENTER MAKES EVERY REASONABLE, COST EFFECTIVE EFFORT TO COMMUNICATE PAYMENT OPTIONS, FINANCIAL ASSISTANCE AVAILABILITY AND CHARITY CARE PROGRAMS WITH EACH PATIENT WHO RECEIVES SERVICES AT THE HOSPITAL. IN THE EVENT THAT A PATIENT OR GUARANTOR DOES NOT RESPOND OR COMMUNICATE WITH THE MEDICAL CENTER TO RESOLVE AN OPEN ACCOUNT, AND DOES NOT MEET THE PRESUMPTIVE ELIGIBILITY CRITERIA, THE MEDICAL CENTER MAY FORWARD THE ACCOUNT TO ITS COLLECTION AGENCY. SINCE THE FINANCIAL STATUS OF THE PATIENT IS NOT KNOWN AT THAT POINT, THE AMOUNT IS DISCOUNTED BY 83% PRIOR TO EXTERNAL COLLECTION EFFORTS. SHOULD THE EXTERNAL COLLECTION AGENCY BECOME AWARE OF THE FINANCIAL STATUS OF THE PATIENT IN THE COURSE OF COLLECTION EFFORTS, THE AGENCY MAY ADJUST THE AMOUNT FURTHER TO REFLECT THE LIMITS OUTLINED IN THE MEDICAL CENTER'S FINANCIAL ASSISTANCE POLICY. ANY ACCOUNT RETURNED TO THE MEDICAL CENTER FROM AN EXTERNAL COLLECTION AGENCY THAT HAS DETERMINED THE PATIENT OR FAMILY REPRESENTATIVE DOES NOT HAVE THE ABILITY TO PAY MAY ALSO BE DEEMED ELIGIBLE FOR CHARITY CARE. SUCH ACCOUNTS ARE EVALUATED BY MEDICAL CENTER PERSONNEL FOR PROPER APPLICATION OF FINANCIAL ASSISTANCE POLICIES.

Schedule H, Part VI, Line 2 Needs assessmentIn addition to conducting a triennial Community Health Needs Assessment (CHNA), Torrance Memorial Medical Center utilizes an ongoing, multi-faceted approach to assess the health care needs of the communities it serves. This approach includes routine analysis of internal hospital and clinical data, such as emergency department visits, inpatient admissions, and payer mix, to identify emerging health trends, access issues, and gaps in care. The hospital also utilizes publicly available data sources at the local, county, and state levels to track changes in demographics, disease prevalence, and social determinants of health. Torrance Memorial maintains ongoing engagement with community partners, including public health agencies, community-based organizations, and social service providers, through meetings, collaborative initiatives, and community coalitions. These interactions provide real-time qualitative insights into community health concerns, barriers to care, and unmet needs, particularly among medically underserved, low-income, and minority populations. Additional mechanisms for assessing community needs include feedback gathered through patient satisfaction surveys, community program evaluations, and direct input from hospital staff, including care management, social work, and community health personnel who work closely with vulnerable populations. Information gathered through these ongoing activities is reviewed and considered by hospital leadership and community benefit planning staff to inform program development, resource allocation, and implementation strategies between CHNA cycles. This continuous assessment process enables Torrance Memorial to respond to emerging health needs and adjust its community benefit activities in a timely manner, beyond the formal CHNA process.
Schedule H, Part VI, Line 3 Patient education of eligibility for assistanceTHE MEDICAL CENTER HAS LONG MAINTAINED A CHARITY CARE POLICY AND COMMUNICATED IT TO POTENTIAL BENEFICIARIES. PATIENTS WHOSE FAMILY'S INCOME IS LESS THAN 200% OF THE FEDERAL POVERTY LEVEL QUALIFY FOR MEDICALLY NECESSARY SERVICES AT NO CHARGE. PATIENTS WHOSE FAMILY INCOME FALLS BETWEEN 200%-450% OF THE FEDERAL POVERTY LEVEL ARE OFFERED PARTIAL CHARITY CARE AND A FLEXIBLE PAYMENT PLAN. ADDITIONALLY, WE PROVIDE ASSISTANCE TO UNINSURED PATIENTS WHO DON'T QUALIFY FOR CHARITY CARE. PATIENTS ARE OFFERED AN 83% DISCOUNT OFF THE HOSPITAL BILL AND A FINANCIAL COUNSELOR IS AVAILABLE TO WORK THROUGH THE ADMINISTRATION OF THIS PROGRAM. THE CHARITY CARE AND FINANCIAL ASSISTANCE POLICIES ARE COMMUNICATED TO EACH PATIENT UPON ADMISSION, THROUGH POSTED SIGNS AT THE MEDICAL CENTER, AND ON OUR WEBSITE. A FULL-TIME FINANCIAL COUNSELOR IS AVAILABLE TO WORK WITH FAMILIES TO HELP SOLVE THE FINANCIAL CHALLENGE OF MEETING HEALTHCARE EXPENSES. FOR THE YEAR ENDED 06.30.2025, THE TOTAL COST TO TORRANCE MEMORIAL OF PROVIDING SERVICES FOR CHARITY CARE (NOT INCLUSIVE OF FINANCIAL ASSISTANCE TO UNINSURED PATIENTS WHO ARE PROVIDED SUBSTANTIAL DISCOUNTS) WAS APPROXIMATELY $5,941,601.

Form 990, Part I, Line 1TORRANCE MEMORIAL MEDICAL CENTER IS A LOCALLY GOVERNED COMMUNITY, NON-PROFIT MEDICAL CENTER WHOSE PURPOSE IS TO PROVIDE QUALITY HEALTHCARE SERVICES, PREDOMINANTLY TO THE RESIDENTS OF THE SOUTH BAY/PENINSULA COMMUNITIES UNDER THE GOVERNANCE OF A COMMUNITY-BASED BOARD OF TRUSTEES.
Form 990, Part III, Line 1TORRANCE MEMORIAL MEDICAL CENTER SERVES THE PUBLIC INTEREST BY: - IMPROVING THE COMMUNITY HEALTH WITHIN THE SCOPE AND EXPERTISE OF OUR RESOURCES ; - OFFERING THE MOST CURRENT AND EFFECTIVE TECHNOLOGIES RENDERED IN A COMPASSIONATE, CARING MANNER; AND - MAINTAINING LONG-TERM STABILITY IN ORDER TO ASSURE OUR STRENGTH AND VIABILITY FOR THE BENEFIT OF THE COMMUNITY.
Form 990, Part III, Line 4aFULFILLING OUR MISSION TO MEET COMMUNITY HEALTH NEEDS: SINCE 1925, COMMUNITY ACCESS TO QUALITY HEALTHCARE SERVICES HAS BEEN A TOP PRIORITY FOR TORRANCE MEMORIAL MEDICAL CENTER. IN 2018, TORRANCE MEMORIAL AFFILIATED WITH CEDARS-SINAI MEDICAL CENTER UNDER THE UMBRELLA OF CEDARS-SINAI HEALTH SYSTEM TO FURTHER ENHANCE ACCESS, COORDINATION AND QUALITY OF CARE, AND TO BRING MORE EXPERTISE IN THE AREAS OF NEUROSCIENCE, CANCER AND HEART FAILURE TO THE COMMUNITIES OF THE SOUTH BAY. MOST IMPORTANT TO OUR MISSION IS TO SECURE ACCESS TO ACUTE HOSPITAL SERVICES AND REMAIN STABLE WHERE OTHER HOSPITALS HAVE FAILED. THE BOARD OF TRUSTEES ADDRESSES THE PRIORITIES FOR COMMUNITY HEALTH NEEDS THROUGH ITS BOARD LEVEL COMMUNITY BENEFITS PLANNING COMMITTEE. THIS COMMITTEE REVIEWS THE RESULTS OF A TRIENNIAL COMMUNITY NEEDS ASSESSMENT WHICH SUMMARIZED THE HEALTH ISSUES WHICH HAVE THE GREATEST PRIORITY. WITHIN THE RESOURCE CONSTRAINTS OF THE MEDICAL CENTER, WE ADOPT AN ANNUAL COMMUNITY BENEFITS PLAN WHICH PRIORITIZES PROGRAMS AND SERVICES WHICH ARE OFFERED AT COST OR AT A FINANCIAL LOSS AND ARE DESIGNED TO IMPROVE COMMUNITY HEALTH. UPON RECOMMENDATION OF A BOARD-LEVEL COMMUNITY BENEFITS PLANNING COMMITTEE, A COMMUNITY BENEFITS BUDGET IS SEPARATELY DEVELOPED AND INCLUDED IN THE ANNUAL BUDGET SUBMITTED TO THE BOARD FOR APPROVAL AND ITS PROGRESS IS MEASURED ACCORDINGLY. EACH YEAR, THE EXPENDITURES TOWARD COMMUNITY BENEFITS ARE ACCOUNTED FOR AND SUMMARIZED AS FOLLOWS: I) CHARITY CARE POLICY AND FINANCIAL ASSISTANCE TO THE UNINSURED. THE MEDICAL CENTER HAS LONG MAINTAINED A CHARITY CARE POLICY AND COMMUNICATED IT TO POTENTIAL BENEFICIARIES. PATIENTS WHOSE FAMILY'S INCOME IS LESS THAN 200% OF THE FEDERAL POVERTY LEVEL QUALIFY FOR MEDICALLY NECESSARY SERVICES AT NO CHARGE. PATIENTS WHOSE FAMILY INCOME FALLS BETWEEN 200-450% OF THE FEDERAL POVERTY LEVEL ARE OFFERED PARTIAL CHARITY CARE AND A FLEXIBLE PAYMENT PLAN. ADDITIONALLY, WE PROVIDE ASSISTANCE TO UNINSURED PATIENTS WHO DON'T QUALIFY FOR CHARITY CARE UNDER THE FINANCIAL ASSISTANCE POLICY. IN SUCH SITUATION, PATIENTS ARE OFFERED AN 83 PERCENT DISCOUNT OFF THE HOSPITAL BILL FOR FACILITY SERVICES AND 30 PERCENT FOR HOSPITAL BASED PHYSICIAN SERVICES. IN ADDITION, SERVICES AND SUPPLIES WITH COST IN EXCESS OF THE DISCOUNTED RATE ARE VALUED AT COST PLUS 5%. A FINANCIAL COUNSELOR IS AVAILABLE TO WORK THROUGH THE ADMINISTRATION OF THIS PROGRAM. THE CHARITY CARE AND FINANCIAL ASSISTANCE POLICIES ARE COMMUNICATED TO EACH PATIENT UPON ADMISSION, THROUGH SIGNS POSTED AT THE MEDICAL CENTER, AND ON OUR WEB SITE. A FULL-TIME FINANCIAL COUNSELOR IS AVAILABLE TO WORK WITH FAMILIES TO HELP SOLVE THE FINANCIAL CHALLENGE OF MEETING HEALTHCARE EXPENSES FOR YEAR ENDED 06/30/2025, THE TOTAL COST TO TORRANCE MEMORIAL OF PROVIDING SERVICES FOR CHARITY CARE (NOT INCLUSIVE OF FINANCIAL ASSISTANCE TO UNINSURED PATIENTS WHO ARE PROVIDED SUBSTANTIAL DISCOUNTS) WAS APPROXIMATELY $5,941,601. II) SERVICES AND BENEFITS FOR VULNERABLE POPULATIONS AND THE BROADER COMMUNITY TORRANCE MEMORIAL OFFERS AN EXTENSIVE ARRAY OF FREE OR LOW-COST PROGRAMS TO IMPROVE COMMUNITY HEALTH. FOR EXAMPLE, IN 2015 WE LAUNCHED "WELCOME BABY A PARTNERSHIP WITH PROVIDENCE LITTLE CO. OF MARY & FIRST 5 LA. WELCOME BABY IS A FREE PROGRAM TARGETING PRE- AND POST-NATAL MOTHERS LIVING IN WILMINGTON TO PROMOTE OVERALL HEALTH DURING THE FIRST YEAR , ENSURE CHILDREN HAVE HEALTH COVERAGE AND RECEIVE CONSISTENT CARE, INCREASE BREASTFEEDING RATES, AND ENSURE NEW PARENTS HAVE A SAFE HOME ENVIRONMENT IN ADDITION, WE OFFER A PROGRAM TO SUPPORT THE PLACEMENT OF 100 AEDS (DEFIBRILLATOR DEVICES USED FOR HEART ATTACK VICTIMS) IN ALL PUBLIC BUILDINGS AND WITH PRIVATE EMPLOYERS, WHICH HAS BEEN HIGHLY SUCCESSFUL FOR MANY YEARS. IN SUPPORT OF EDUCATION, OUR TEEN DRUG TREATMENT PROGRAM SENDS COUNSELORS AT NO CHARGE TO LOCAL HIGH SCHOOLS AND SEVERAL MIDDLE SCHOOLS IN THE COMMUNITY TO COUNSEL TEENS IN TROUBLE WITH DRUGS AND ALCOHOL. WE SUPPORT A HOMELESS SHELTER, HARBOR INTERFAITH SERVICES, WITH ANNUAL SUPPORT TO THE FOOD PANTRY. ADDITIONALLY, DIRECT DONATIONS AND NUMEROUS EMPLOYEE LED DRIVES SUPPORT HOLIDAY GIFTS TO THOSE IN NEED. THESE ARE BUT EXAMPLES OF A WIDE VARIETY OF PROGRAMS WHICH WE HAVE ESTABLISHED, TRACK AND EVALUATE ON AN ONGOING BASIS. SUPPORTING LOCAL SCHOOLS AND EDUCATION IS ANOTHER PRIORITY ESTABLISHED BY THE COMMUNITY BENEFITS PLANNING COMMITTEE. TOWARD THIS GOAL, WE PROVIDE HEALTH EDUCATION INFORMATION FOR STUDENTS, PATIENTS, FAMILY MEMBERS, AND THE COMMUNITY, OFFER EDUCATION CLASSES AND HOST CONFERENCES FOR PHYSICIANS, NURSES AND OTHER HEALTHCARE PROFESSIONALS, SERVE AS A TRAINING SITE FOR NURSING SCHOOLS AND OTHER PARAPROFESSIONALS, PARTICIPATE ACTIVELY IN COMMUNITY SYMPOSIUMS FOR DISASTER PREPAREDNESS, AND PARTICIPATE IN TORRANCE CHAMBER'S ADOPT-A-SCHOOL PROGRAM. FOR THE YEAR ENDED 06/30/2025, OUR DIRECT EXPENSES (WITHOUT ATTRIBUTION OF OVERHEAD COSTS FOR THESE COMMUNITY PROGRAMS) WERE APPROXIMATELY $7,700,690. III) SUBSIDY OF MEDICAL CARE SERVICES. TO PROVIDE ACCESS TO MEDICAL SERVICES OF PATIENTS COVERED UNDER GOVERNMENT SPONSORED PLANS WHICH DO NOT PAY THE FULL COSTS OF CARE, TORRANCE MEMORIAL ALSO MEASURES THE SUBSIDY TOWARD THE CARE OF THESE PATIENTS. FOR THE YEAR ENDED 06/30/2025, THESE INCLUDED PATIENTS COVERED UNDER THE STATE SPONSORED MEDI-CAL PLAN FOR THE MEDICALLY INDIGENT. TORRANCE MEMORIAL RECEIVED NO DISPROPORTIONATE SHARE FUNDS TO OFFSET THESE LOSSES. IN ADDITION, ACCORDING TO THE GUIDELINES ESTABLISHED BY AMERICAN HOSPITAL ASSOCIATION AND THE CALIFORNIA DEPARTMENT OF HEALTH CARE ACCESS AND INFORMATION (TO WHOM WE ALSO SUBMIT A COMMUNITY BENEFITS REPORT), WE HAVE CALCULATED THE SUBSIDY OF PROVIDING CARE TO MEDICARE BENEFICIARIES. FOR THE YEAR ENDED 06/30/2025, THE TOTAL SUBSIDY OF OUR COSTS OF PROVIDING SERVICES TO MEDICAID AND MEDICARE PATIENTS WAS APPROXIMATELY $148,202,996. IN ADDITION, WE SUBSIDIZED PROFESSIONAL FEES OF PHYSICIANS FOR PROVIDING COVERAGE TO EMERGENCY DEPARTMENT PATIENTS IN CRITICAL SPECIALTIES WHICH WERE NOT OTHERWISE OBTAINABLE UNLESS THE MEDICAL CENTER OFFERED A SUBSIDY FOR THESE SERVICES. FOR THE YEAR ENDED 06/30/2025, THIS COST WAS APPROXIMATELY $3,761,056. IN TOTAL, TORRANCE MEMORIAL ACCOUNTED FOR APPROXIMATELY $57,081,219 IN COMMUNITY BENEFIT EXPENSE FOR THE YEAR ENDED 06/30/2025. AN ONGOING EVALUATION IS BEING UNDERTAKEN TO ASSESS NEW COMMUNITY NEEDS AND DETERMINE HOW BEST TO ADJUST OUR PRIORITIES TO MOST EFFICIENTLY PROVIDE SUPPORT TO COMMUNITIES IN NEED.

Form 990, Part VI, Line 15a Process to establish compensation of top management officialPROCESS FOR DETERMINING COMPENSATION OF OFFICERS AND KEY EMPLOYEES TORRANCE MEMORIAL MEDICAL CENTER'S (TMMC) BOARD OF TRUSTEES HAS ESTABLISHED A COMPENSATION SUBCOMMITTEE (A SUBCOMMITTEE OF THE EXECUTIVE COMMITTEE) TO REVIEW AND RECOMMEND THE COMPENSATION AND BENEFITS OF THE CEO AND KEY LEADERSHIP POSITIONS OF THE CORPORATION. THE COMPENSATION SUBCOMMITTEE IS RESPONSIBLE FOR PERIODIC EVALUATION OF THE PERFORMANCE OF THE PRESIDENT AND CONFERS WITH THE PRESIDENT CONCERNING THE PRESIDENT'S VALUATION OF THE OTHER EXECUTIVE OFFICERS. THE COMPENSATION SUBCOMMITTEE IS AN ENTIRELY INDEPENDENT COMMITTEE WITH RESPECT TO THE TRANSACTION. THE COMPENSATION SUBCOMMITTEE RETAINS AN OUTSIDE COMPENSATION CONSULTANT TO CONDUCT PERIODIC REVIEWS OF THE TOTAL COMPENSATION OF ALL KEY LEADERSHIP POSITIONS (BASE COMPENSATION, OTHER INCENTIVES/BONUSES, AND BENEFITS). THE CONSULTANTS ARE INDEPENDENT AND ARE QUALIFIED TO ASSESS EXECUTIVE COMPENSATION VALUATIONS. IN REVIEWING AND ESTABLISHING COMPENSATION RECOMMENDATIONS, THE CONSULTANTS COLLECT BACKGROUND INFORMATION ON THE SIZE AND COMPLEXITY OF OPERATIONS AND THE SCOPE OF THE KEY LEADER'S RESPONSIBILITIES. THEY REVIEW VARIOUS SURVEYS, 990'S OF OTHER COMPARABLE OUTSIDE HEALTH CARE ORGANIZATIONS, AND MATCH SURVEYS BASED ON THE ABOVE CRITERIA, TAKING BOTH LOCAL AS WELL AS NATIONAL MARKET DATA INTO CONSIDERATION. AFTER THE DATA HAS BEEN REVIEWED AND ANALYZED THE CONSULTANT PRESENTS THE REPORT TO THE COMPENSATION SUBCOMMITTEE WITH HIS/HER FINDINGS AND RECOMMENDATIONS. THE COMPENSATION SUBCOMMITTEE REVIEWS THE REPORT AND FINDINGS WITH THE CONSULTANT AND RECOMMENDS TO THE EXECUTIVE COMMITTEE ANY CHANGES TO THE KEY LEADERSHIP COMPENSATION AND BENEFIT PACKAGES. THE EXECUTIVE COMMITTEE MAY APPROVE THOSE RECOMMENDATIONS AND REPORT ANY CHANGES TO THE FULL BOARD OF TRUSTEES. THE COMPENSATION SUBCOMMITTEE MAINTAINS WRITTEN RECORDS WHICH INCLUDE THE (1) TERMS OF THE ARRANGEMENT WITH THE CEO AND KEY LEADERSHIP INDIVIDUALS (INCLUDING THE DATE THE ARRANGEMENT WAS APPROVED); (2) A LIST OF MEMBERS PRESENT DURING THE DEBATE ON THE TRANSACTION (AND HOW THE MEMBERS VOTED). KEY DELIBERATIONS OF THE COMPENSATION RELIED ON BY THE COMMITTEE. KEY DELIBERATIONS OF THE COMPENSATION SUBCOMMITTEE ARE ALSO DOCUMENTED IN MINUTES WHICH ARE APPROVED AT THE NEXT COMMITTEE MEETING.
