ExplanationThe University DOES NOT make grants outside the U.S.; rather it makes institutional grants to non-U.S. students. Using an financial aid award policy for all students, the Financial Aid Office disburses institutional aid to all students who qualify, including non-U.S. students. The aid is applied directly to the student's tuition balance, and is limited to the students' cost. The monitoring of this aid is done by following policies and procedures of awarding only the amount of aid that is below the students' costs and segregating to other departments the tasks and functions of applying any overages (which are rare).ExplanationTxt

Form 990, Part III, Line 2The University opened its Chicago campus in the Pilsen neighborhood of Chicago. This program offers an associate's degree to students and is a living-learning community. The first classes were offered in the fall 2024 term. Students enrolled at the Chicago campus will reside in a living-learning community with access to academic advising, tutoring, mentoring and career services. They will be accepted to Dominican's bachelor's degree programs should they choose to continue their studies. The campus is occupancy-ready and can house up to 100 students. In partnership with The Resurrection Project, the campus will occupy Resurrection's La Casa Residence Hall and neighboring Resource Center in Chicago. It will be a hub for a variety of programs, including a residential, cohort-based associate's degree, credit and non-credit workforce development certificate programs, adult degree completion options and select graduate programs.
Form 990, Part VI, Section A, Line 6The University has members. The Board of Trustee Members consist of three to nine persons. Each member shall serve a term of that number of years determined by the Members as the length of term for Members. When vacancies among the members occur by reason of death, resignation, failure of qualification or otherwise, the number shall be reduced by such vacancies until qualified replacements are selected by the remaining members for unexpired terms. The responsibilities of the members include the following: approve the mission of the University; amend, restate or modify the Articles of Incorporation and the Bylaws of the University; approve the acquisition, purchase, sale, mortgage, lease, transfer of real property owned by the University; ratify the appointment; removal or replacement of one or more Trustees; and to approve any plan of dissolution, merger, consolidation or liquidation of the University. Each member shall be entitled to one vote on each matter submitted to a vote of the Members.
Form 990, Part VI, Section A, Line 7aThe Members may appoint, in their sole discretion, different Members: (A) When the Members decide to increase the number of Members (within limitations set forth in Article II, Section 1); (B) When vacancies occur by reason of death, resignation, failure of qualification, or otherwise. At all times, the Members shall be comprised of a majority of persons who are elected officials of the Sinsinawa Dominican Congregation. At all times up to three Trustees may be elected by the Members of the Corporation and such Trustees shall be Members of the Corporation or a Sinsinawa Dominican or other individual recommended by the Members for such terms as may be designated by the Members of the Corporation (The Member designated Trustees).
Form 990, Part VI, Section A, Line 7bThe governance decisions are reserved to the Board of Trustees and Management of the University. The responsibilities of the Members include the following: approve the mission of the University; amend, restate or modify the Articles of Incorporation and the Bylaws of the University; approve the acquisition, purchase, sale, mortgage, lease, transfer of real property owned by the University; ratify the appointment; remove or replace one or more Trustees; and to approve any plan of dissolution, merger, consolidation or liquidation of the University.
Form 990, Part VI, Section B, Line 11bThe tax returns are prepared by the Associate Vice President for Finance & Controller of the University and reviewed by an independent and external audit firm. The tax returns are provided by private email in advance to the Finance Committee of the Board of Trustees for review, discussion, and acceptance. The Finance Committee reviews and accepts the tax returns to be filed. Then, by private email, the tax returns are emailed to the full Board of Trustees for review and discussion weeks prior to Form 990 being filed. Once all reviews are done, and after the Chief Financial Officer's final review and signature, the tax returns are electronically filed with the IRS before the deadline date. The deadline date is May 15, 2026.
Form 990, Part VI, Section B, Line 12cThe University has a written Conflict of Interest Policy. The policy covers each Board of Trustee Member, Officers, Key employees (covered members) of the University, and other key personnel. The Policy requires, annually, that each covered member to review the policy and to disclose any possible personal, family, or business relationship that could give rise to a conflict involving the University. The scope of the conflict includes any material facts of a proposed transaction, and the covered person's interest or relationship in respect to the transaction. Management of the University will follow up to ensure timely responses are received. Management reviews the responses to determine whether a conflict exists. If a conflict exists, the covered member (Board of Trustees member) must excuse themselves from being included when the Committee takes action on a proposed transaction, but he/she can be included in a quorum count.
Form 990, Part VI, Section B, Line 15Compensation for the President of the University is determined by the Board of Trustees (BOT). Annually, the BOT determine the compensation based on the comparability data provided by the Office of People and Culture. Any bonuses and other indirect compensation are based on meeting stated goals, which are approved by the Executive Committee of the Board of Trustees and included as part of the President's contract. For all other top management positions such as officers, key employees, and academic deans, the President determines the initial compensation based on the data that the Vice President for Office of People and Culture provide. Any compensation recommendations are approved by the President and the Chief Financial Officer. The compensation review process for the President, Officers, and Key employees is completed on an annual basis.
