Part V, Line 4:Endowment funds consist solely of board designated net assets held for various board designated purposes.
Part X, Line 2:Financial statement FIN 48 (ASC 740) footnote: Both GISA and GIT are exempt from income taxes under both Federal (Internal Revenue Code Section 501(c)(3)) and Arizona income tax laws, and are classified as other than private foundations under Internal Revenue Code Section 509(a)(2). Income from certain activities not directly related to their tax-exempt purpose, however, may be subject to taxation as unrelated business taxable income (UBTI). GAAP requires management to perform an evaluation of all tax positions taken or expected to be taken in the course of preparing GISA's and GIT's tax returns to determine whether the tax positions meet a "more likely than not" standard of being sustained under examination by the applicable taxing authorities. This evaluation is required to be performed for all open tax years, as defined by the various statutes of limitations, for federal and state purposes. GISA and GIT are required to file informational returns for federal and state purposes and, if they have UBTI, federal and state income tax returns. Management has performed its evaluation of tax positions taken on all open tax returns and has determined that there were no positions taken that do not meet the "more likely than not" standard. From time to time, GISA and GIT may be subject to penalties and interest assessed by various taxing authorities, which are classified as management and general expenses, if they occur.

Form And Line ReferenceFormAndLineReferenceDescExplanationExplanationTxt
Form 990, Part VI, Section A, line 2Elizabeth Gulick and Lisa Allen have a family relationship.
Form 990, Part VI, Section B, line 11bThe Audit Committee reviews the Form 990 before it is filed with the IRS. The committee then reports to the Executive/Finance Committee and to the Board as part of their committee report. Then at a Board meeting each Board member is handed a copy of the 990 for discussion and compliance purposes.
Form 990, Part VI, Section B, line 12cThe Bylaws state Directors must be independent and do not receive, directly or indirectly, material financial benefits from the corporation or its related parties. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence and nature of his or her financial interest to the Board of Directors and members of any committees with any Board-delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest, the interested person shall leave the Board or committee meeting while the financial interest is discussed and voted upon. The remaining Directors or committee members shall decide if a conflict of interest exists. If the disinterested Directors have reasonable cause to believe that the interested Director has failed to disclose an actual or possible conflict of interest, the disinterested Directors shall inform the interested Director of the basis for such belief and afford the interested Director an opportunity to explain the alleged failure to disclose. If, after hearing the response of the interested Director and making such further investigation as may be warranted in the circumstances, the disinterested Directors determine that the interested Director has, in fact, failed to disclose an actual or possible conflict of interest, they shall take appropriate disciplinary and corrective action.
Form 990, Part VI, Section B, line 15GISA follows a compensation philosophy which is to provide compensation that is fair, reasonable, and consistent with compensation paid in the non-profit sector for positions of comparable complexity and responsibility. The goal is to recruit and retain high-performing employees and to motivate, recognize and reward excellent performance regarding contributions to the fulfillment of GISA's mission, vision and values. The Compensation Committee has been delegated such decision making power by the Board of Directors. With the assistance and recommendations of an outside, independent consultant, all compensation arrangements regarding executives and key employees of GISA are approved by the Compensation Committee which is composed entirely of individuals who do not have a conflict of interest with respect to the compensation arrangements. The recommendations of the outside consultant are determined by market research results based on data collected from other similar non-profit organizations and include organization based performance measures. The Compensation Committee ensures that the basis upon which such compensation recommendations and decisions made are well justified, reasonable and documented. A report of the work of the Compensation Committee is then presented to the full Board.
Form 990, Part VI, Section C, line 19Governing documents, conflict of interest policy and annual report are available upon request. The annual report is also posted on the website.
