ExplanationPART V, SECTION B, LINE 5: Working collaboratively with 16 Community Hospitals and 3 Federally-qualified Health Care Centers from throughout Westchester County under the direction and coordination of the Westchester County Department of Health, Lawrence Hospital Center DBA NYP/Lawrence conducted the mandated Community Health Needs Assessment during the period of January through November 2013 to cover the three year CHNA cycle. The hospitals next CHNA was conducted in 2016 and is now being tallied and analyzed for a report to be filed at the end of this year. Input was collected from 548 survey respondents and community health partners, together with extensive collaborative analysis as participants of the Westchester County Health Planning Team which represented the broad interests of the community served by NYP/Lawrence and included professionals with special knowledge of public health (WCDOH). Residents and community health providers in all zip codes within the hospitals primary and secondary service areas were targeted for the Community Needs Assessment. Primary service areas include Bronxville, Eastchester, Tuckahoe, and parts of Yonkers and Mount Vernon. Secondary service areas include parts of Yonkers, Mount Vernon, New Rochelle, Pelham, Mamaroneck, Larchmont and Scarsdale. Surveys were distributed via email to 30 community partners/agencies asking representatives to both forward the survey to their constituencies and respond on behalf of their agency. Hard copies were provided for distribution when requested. Community agencies surveyed included leaders of churches, support services organizations, educational leaders, senior centers, social service agencies and others. PART V, SECTION B, LINE 7D: HARD COPIES DISTRIBUTED AT COMMUNITY OUTREACH EVENTS, ANNOUNCEMENTS ABOUT THE CHNA WERE PUBLISHED IN THE HOSPITAL'S COMMUNITY NEWSLETTER AND LINK TO SURVEY WAS SENT TO WESTCHESTER RESIDENTS VIA THE GANNETT JOURNAL NEWS DIGITAL SUBSCRIBER LIST. THE JOURNAL NEWS IS THE COUNTY'S ONLY REGIONAL DAILY NEWSPAPER. THE LINK AND HARD COPIES WERE ALSO DISTRIBUTED THROUGH OUR COMMUNITY PARTNERS, FOR EXAMPLE GRACE COMMUNITY CHURCH OF MOUNT VERNON WHICH COLLECTED APPROXIMATELY 80 SURVEYS FROM THEIR CONGREGANTS AND HEALTH MINISTRY MEMBERS. Part V, Section B, Line 10a: The 2014-2017 Community Health Improvement Plan is contained within this link: http://www.nyplawrence.org/Documents/2013-Community-Needs-Assessment.aspx PART V, SECTION B, LINE 11: The first health need being addressed is to "Promote Healthy Women, Infants and Children, with a focus on Maternal and Infant Health and specifically, educating and encouraging pregnant and post-partum mothers to choose to breastfeed their babies. The expected number of mothers we hoped to reach was 1,000. As of December 2015 this goal was met. NYP/Lawrence is working with a coalition of local partners who each are addressing the breastfeeding initiative. The Westchester County Health Department is the lead agency in this coalition and the subsequent implementation of the overarching interventions. As a hospital, two initiatives underway to increase the number of mothers who breast feed, as well as the length of time they continue to breast feed, are regular classes and support group meetings. A two-hour class is held monthly to provide instruction and tips on how to prevent common problems and share positioning techniques. The hospital's Breast Feeding Support Group offers a time for new mother's to learn from each other and receive professional guidance from NYP/Lawrence's Lactation Counselor. The group meets on the second Monday of each month from 10 a.m. to noon in the hospital's Lobby Conference Room. There is no registration required and the meeting is free to attend and open to all, regardless of where a mother has given birth. Prenatal Education & Information: 1) Incorporated breastfeeding as topic in Childbirth Education classes. 2) Held Breastfeeding education classes monthly. 3) Provided breastfeeding information on prenatal tours. 4) Included information in pre-registration and discharge packets. 5) Included a schedule of support group meetings and contact information for Lactation Specialist in discharge materials. Intra-Partum Measures: 1) Breastfeeding bill of rights provided and hanging in room. 2) Registered Nurse provides education to each patient. 3) Lactation counselor visits with each patient. 4) 81% of all Registered Nurses completed NYS 10 steps to successful breastfeeding (Gold standard in best practices). 5) Breast/bottle feeding removed as a feeding option in delivery room. 6) Physician orders indicate breastfeeding as primary method for nutrition of infant. 7) All NICU infant families have lactation counselor consultation. 8) Improve compliance with offering skin to skin contact within one hour for ALL deliveries. 9) Increase % of patients rooming in together to between 18-24 hours. Post-Partum Measures: 1) Lactation counselor discharge phone call to all patients. 2) Lactation warm line available to patients. 3) Breast feeding support group meets at LHC regularly. Administrative Measures: 1) Maintain NYS approved Breastfeeding policy containing all 28 required criteria. 2) Mother-Baby Intent filed and the hospital is working on becoming a designated "Baby-Friendly" hospital. Breast Feeding Support Group: 1) Continue regular meetings of support group and engage more women through post-discharge follow-up, marketing and social media. Social Media & Marketing: 1) Utilize marketing initiatives including newsletter, website, and social media to share breastfeeding and nutritional tips for breastfeeding mothers 2) Engage with LHC Facebook group of breastfeeding mothers to announce support groups, tips, health information, etc. The second health need the hospital is addressing is Preventing Chronic Disease, with a focus on reducing the number of heart related deaths, with emphasis on addressing disparity within the African American and Hispanic populations. Concerning this priority, we chose to focus our efforts on Reducing Obesity in Children and Adults. The hospital has a "Heart Disease Prevention Committee" made up of nurses, physicians and administrators who meet monthly beginning in February 2015 to plan and implement community outreach and education around cardiovascular health, and have an ongoing focus on educating the public about eating healthy and making good food choices. The hospital opened a new cardiac catheterization laboratory in May 2015 which is operated by our parent NewYork-Presbyterian here on site together with ColumbiaDoctors and has expanded the clinical team in the area of cardiology and interventional cardiology. In 2015, the hospital's Outpatient Nutrition program, Cardiac Care clinical team, free health screenings and the promotion of cardiovascular health were at the core of the interventions offered to the community. NYP/Lawrence clinicians and nutritionists hosted and participated in the following outreach and health education events: 1) Presentation to Mount Vernon elementary school children on healthy eating and snacking by Registered Dietician Katie Campbell, RD. 2) Go Red for Women event in the hospital lobby, open to the community featuring free blood pressure, BMI and cholesterol screenings anExplanationTxt

PART III, LINE 8: LAWRENCE HOSPITAL CENTER DBA NYP/Lawrence COSTING METHODOLOGY USED TO DETERMINE THE AMOUNTS ON PART III, LINE 6 IS THE CMS-2552 MEDICARE COST REPORT. PART III, LINE 9B: THE FINANCIAL ASSISTANCE POLICY INCLUDES COLLECTION PRACTICES THAT NOTE AN ACCOUNT WILL NOT BE ELIGIBLE FOR COLLECTION IF THE PATIENT'S FINANCIAL APPLICATION HAS BEEN RECEIVED AND IS AWAITING DETERMINATION. IN A SITUATION OF HIGH COST CARE, THE ACCOUNT WILL BE REVIEWED TO DETERMINE IF REASONABLE EFFORTS WERE UNDERTAKEN TO ENSURE THAT FINANCIAL ASSISTANCE WAS OFFERED OR APPROPRIATE BEFORE REFERRAL TO A COLLECTION AGENCY. IN ADDITION, FOR ELIGIBLE PERSONS, NEITHER THE HOSPITAL NOR ITS SUBSIDIARIES WILL FORCE THE SALE OR FORECLOSURE OF A PATIENT'S PRIMARY RESIDENCE TO PAY AN OUTSTANDING MEDICAL BILL. A COLLECTION AGENCY MUST RECEIVE WRITTEN CONSENT FROM A FINANCE DEPARTMENT DIRECTOR BEFORE IT CAN BEGIN LEGAL ACTION. ANY COLLECTION AGENCY REPRESENTING THE HOSPITAL OR ITS SUBSIDIARIES MUST FOLLOW THE FINANCIAL AID POLICIES AND PROCEDURES, INCLUDING THE APPLICATION PROCEDURE. COLLECTIONS ARE PROHIBITED AGAINST ANY PATIENT WHO WAS ELIGIBLE FOR MEDICAID AT THE TIME THE SERVICES WERE RENDERED WITH THE EXCEPTION OF CO-PAY, SURPLUS OR SPEND DOWN AMOUNTS. ADDITIONALLY, IF A PATIENT SHOULD RECEIVE A BILL FROM THE HOSPITAL OR ANY OF ITS SUBSIDIARIES AFTER FILING AN APPLICATION FOR FINANCIAL ASSISTANCE, THE BILL MAY BE DISREGARDED UNTIL A DECISION REGARDING ELIGIBILITY IS REACHED. Part VI, Line 2: IN ADDITION TO THE CHNA DESCRIBED IN PART V, SECTION B AND THE ACTIVITIES IN THE COMMUNITY SERVICE PLAN WHICH RELATE TO THE TWO PREVENTION AGENDA ITEMS BEING ADDRESSED BY THE HOSPITAL, HEALTH CARE NEEDS WITHIN OUR COMMUNITY ARE ASSESSED CONTINUALLY BY EMPLOYED PHYSICIANS IN OUR PHYSICIAN SERVICES ORGANIZATION, AND THROUGH A VARIETY OF FREE SCREENINGS, EDUCATIONAL LECTURE SERIES AND PRESENTATIONS, AND THE DISTRIBUTION OF HEALTH INFORMATION IN PAID MEDIA ARTICLES. SCREENINGS FOR THE COMMUNITY ARE OFFERED FOR PROSTATE CANCER, SKIN CANCER, LUNG CANCER, COROTED ARTERY, CHOLESTEROL, BLOOD PRESSURE, BMI, ACL TEARS AND JOINT HEALTH. THE HOSPITAL ISSUES A MONTHLY E-MAIL NEWS LETTER AND COMMUNITY NEWS LETTER CONTAINING HEALTH INFORMATION, AND PUBLISHES 3-4 PAID DIGITAL MEDIA ARTICLES EVERY MONTH ON A FULL RANGE OF HEALTH ISSUES, FROM THE IMPORTANCE OF DOCUMENTING A FAMILY HEALTH HISTORY, TO PREVENTION MEASURES FOR A VAST VARIETY OF HEALTH ISSUES, TO ADVANCES IN TREATMENT OPTIONS FOR CANCER, STROKE CARE, CARDIAC CARE, ETC. STAFF ARE ABLE TO DIGITALLY TRACK WHICH ARTICLES ARE READ BY HOW MANY PEOPLE, AND HOW MANY COMMUNITY MEMBERS REGISTER TO ATTEND FREE SCREENINGS AND EVENTS BASED ON THE SUBJECT MATTER. ARTICLES AND EVENTS THAT GET WIDE SPREAD RESPONSE AND GENERATE A HIGH VOLUME OF CLICK THROUGHS, ARTICLE VIEWS, AND EVENT REGISTRATIONS ARE AN INDICATION OF WHAT COMMUNITY HEALTH CONCERNS OR NEEDS. PART VI, LINE 3: THE NUMBER of accounts for which financial assistance was requested INCREASED FROM 2,286 IN 2014 TO 2,420 IN 2015. WE ATTRIBUTE THE INCREASE IN FINANCIAL ASSISTANCE APPLICATIONS TO A SIGNIFICANT INCREASE IN EMERGENCY ROOM VISITS AND THE GROWING NUMBER OF UNEMPLOYED PERSONS APPLYING FOR ASSISTANCE. INTERESTINGLY IN 2010, the LAWRENCE hospital center DBA NYP/Lawrence CONDUCTED A DETAILED REVIEW OF ITS BAD DEBTS AND DISCOVERED THAT WE ARE WRITING OFF MORE DEDUCTIBLES AND CO-INSURANCES TO BAD DEBTS. THAT TELLS US THAT PATIENTS ARE BUYING INSURANCE BUT THE ONLY PLANS THEY CAN AFFORD HAVE VERY HIGH DEDUCTIBLES AND CO-PAYMENTS WHICH THEY CANNOT AFFORD OR REFUSE TO PAY. IN ADDITION, WE ARE ALSO SEEING INDIVIDUALS APPLYING FOR ASSISTANCE WHO ARE EMPLOYED BUT EITHER THEY CHOOSE NOT TO PAY FOR HEALTH COVERAGE BECAUSE OF ITS COST, OR THEIR EMPLOYER DOES NOT OFFER HEALTH CARE BENEFITS. GIVEN THE UNSTABLE ECONOMY, WE BELIEVE THAT THIS HAS CONTRIBUTED TO AN INCREASE IN THESE NUMBERS. IN CERTAIN INSTANCES AND AFTER FURTHER REVIEW, WE MAY STILL APPROVE FINANCIAL ASSISTANCE IF THE PATIENT CAN PROVE HARDSHIP. ALSO, FOR THOSE PATIENTS WHO DO NOT QUALIFY, NYP/Lawrence WILL WORK WITH THOSE PATIENTS TO MAKE PAYMENT ARRANGEMENTS TO ASSIST THEM IN PAYING THEIR BILLS. THE GROSS CHARGES RELATED TO SERVICES PROVIDED UNDER FINANCIAL ASSISTANCE, for THE YEAR ENDED IN 2015 WERE $2,767,110 COMPARED TO 3,561,278 IN 2014. COSTS FOR THESE SERVICES WERE CALCULATED BASED ON A RATIO OF COSTS TO CHARGES AND AMOUNTED TO $939,661 IN 2015 AND $1,228,995 IN 2014. AS FOR PROCESSES IMPROVEMENTS, IN 2012, WE ADDED AN ONLINE BILL PAY SOLUTION THAT IS AVAILABLE ON THE HOSPITAL'S WEBSITE. THIS NOW MAKES IT EASIER FOR PATIENTS TO PAY THEIR BILLS IN A TIMELY FASHION AND IN A SAFE AND SECURE ELECTRONIC ENVIRONMENT. IN 2013, OUR FINANCIAL COUNSELORS BECAME CERTIFIED ACCESS COUNSELORS UNDER THE NEW HEALTHCARE REFORM. ALSO, THE HOSPITAL HAS A BROAD FINANCIAL ASSISTANCE POLICY THAT IS AVAILABLE IN SEVERAL LANGUAGES INCLUDING SPANISH, ARABIC, CHINESE-MANDARIN, ITALIAN, KOREAN, POLISH, PORTUGUESE, VIETNAMESE AND ENGLISH. THIS INFORMATION ALONG WITH THE FINANCIAL ASSISTANCE APPLICATION IS READILY AVAILABLE ON OUR RECENTLY REDESIGNED WEBSITE. TO FURTHER UNDERSCORE OUR COMMITMENT TO SERVE ALL COMMUNITIES, NYP/Lawrence HAS IMPLEMENTED A BEST PRACTICE POLICY TO PROCESS ALL FINANCIAL ASSISTANCE APPLICATIONS WITHIN 30 DAYS. PART VI, LINE 4: THE LAWRENCE HOSPITAL CENTER DBA NYP/Lawrence SERVICE AREAS WERE DETERMINED DURING A PLANNING PROCESS INITIATED BY A NEW ADMINISTRATION. WORKING WITH A CONSULTANT (JENNINGS, RYAN & KOLB), THE TOP ZIP CODE AREAS FOR INPATIENT SERVICES WERE IDENTIFIED. THE SERVICE AREA WAS ANALYZED FOR A VARIETY OF PATIENT CATEGORIES (E.G., OB, SURGERY). THE DISTINCTION BETWEEN PRIMARY AND SECONDARY SERVICE AREAS WAS BASED ON THE VOLUME, GEOGRAPHY, AND OTHER CRITERIA (E.G., ROADWAYS, NATURAL BARRIER). SINCE THE ORIGINAL ANALYSIS, NYP/Lawrence HAS TRACKED CHANGES IN THE SERVICE AREAS. HOWEVER, AS OF THIS TIME, THERE HAVE NOT BEEN ANY SIGNIFICANT MATERIAL CHANGES TO THE SERVICE AREAS THAT WARRANT MODIFYING THE ZIP CODE AREAS. Part Vi, Line 5 As a continuing service, Lawrence Hospital Center DBA NYP/Lawrence prepares heart smart and nutritious food for the area's seniors for the local Meals on Wheels program. In addition to cooking the food, NYP/Lawrence provides free office space and administrative support to the program. In 2015, this program continues to thrive and meet the needs of a growing senior population. There were no significant changes in numbers of seniors served in the last year. In response to an increasing demand for dietary counseling services and programs, NYP/Lawrence's outpatient nutrition counseling program was launched in 2009. In 2012, it became a full-time program that offers individual counseling and group weight loss classes. Further, because of the concerns about childhood obesity, NYP/Lawrence offers pediatric counseling services. To help get the senior population moving, licensed physical therapists from NYP/Lawrence's Physical Medicine and Rehabilitation Department are teaching exercise classes to seniors at three senior facilities in the county. Since 2009, between the months of September and July, each week physical therapists lead classes at the Lake Isle Senior Center for a total of 32 sessions. The classes are one hour long and between 12 and 15 people attend each class. Additionally, therapists keep the seniors active by providing a modified exercise class at an assisted living facility in Tuckahoe. Approximately a dozen people attend a one hour class there each. Lawrence staffers provide exercise classes that are tailored for that specific population at the Garth Road Senior Center where about a dozen people meet each week. In partnership with the Community Fund of Bronxville, Eastchester & Tuckahoe, Lawrence Hospital provides free Flu Vaccines to residents of these three communities. The program is underwritten by the Community Fund, is advertised and promoted throughout the community, and draws approximately 1,100 residents to obtain their flu shots. Form And Line ReferencePart VII & Schedule JFormAndLineReferenceDesc
ExplanationCertain officers and key employees of the New York Presbyterian Hospital that are identified in part VII as officers or trustees of the Lawrence Hospital Center, Inc. dba NYP/Lawrence are responsible for executing the mission and management of the New York Presbyterian Hospital (NYP) and its affiliated entities. Compensation for 2015 of these upper level executives includes the payout of an annual incentive plan and a long-term incentive plan. This performance-oriented program conditions payments upon the achievement of multiple individual and group performance measures. Measures to monitor performance include: operational and financial strength, patient quality and safety, patient satisfaction, advancement of patient care, and people development and partnership. Incentive awards may only be granted if the organization achieves a financial surplus. Even if all relevant performance measurements are achieved, the NYP Board of Trustees retains full discretion to make or not make any incentive awards, or to reduce the amount of any incentive award. This initiative is critical to assuring that NYP has the requisite leadership to create and manage a highly motivated and engaged workforce, to drive superior performance throughout the organization and to achieve top tier medical center status. As a separate matter, due to restrictions imposed by the Internal Revenue Code, upper level executives are limited in the amount of benefits received under a tax-qualified retirement plan. Like many employers, NYP supplements these executives' pension benefits through a supplemental ("nonqualified") retirement plan. The supplemental executive retirement plan (SERP) is subject to a multi-year vesting requirement (commencing after five years of participation in the SERP, in prorated amounts through age 65) which places an executive's supplemental retirement benefit at risk of forfeiture if the vesting requirements are not satisfied. Once vested, however, provisions of the Internal Revenue Code require that the vested executive include in current income the value of his or her vested supplemental retirement benefit. Notwithstanding the legal requirement to recognize the vested value of the supplemental retirement benefit as current income, the supplemental retirement benefit will not be distributed to the executive until the executive actually retires from NYP (although, as permitted by the Internal Revenue Code, the supplemental retirement plan will effect a distribution of an amount necessary to satisfy the executive's tax liability resulting from the income recognition upon vesting). As noted, this supplemental retirement benefit will not be distributed to the executive until the executive actually retires from NYP. There are constantly changing legal, tax, accounting, and public disclosure rules for a SERP (supplemental executive retirement plan) in not-for-profit organizations. The executive Compensation Committee continuously monitors these changes and incorporates any changes into the overall SERP plan design. As in past years, the executive Compensation Committee of NYP requires a third party to complete a review of the organization's compensation program to ensure its effectiveness in terms of government regulations, market conditions and the need to continually elevate organizational performance. The report also serves to meet the regulatory obligations to ensure that all elements of the executive compensation programs are reasonable. The individuals listed in part VII that are compensated by New York Presbyterian Hospital devote an average of sixty hours per week to perform their responsibilities for the New York Presbyterian Hospital and other related organizations in the aggregate. ExplanationCertain officers and key employees of the New York Presbyterian Hospital that are identified in part VII as officers or trustees of the Lawrence Hospital Center dba New York Presbyterian/Lawrence are responsible for executing the mission and management of the New York Presbyterian Hospital (NYP) and its affiliated entities. As in past years, the executive Compensation Committee of NYP requires a third party complete a review of the organization's compensation program to ensure its effectiveness in terms of government regulations, market conditions and the need to continually elevate organizational performance. Part VI, Section A, Line 2: Emme Deland, Brian Regan and Gary Zuar have a business relationship. Richard Dresdale and Dennis Glazer have a business relationship. Part VI, Section A, Line 6: NYP Community Services, Inc, a New York not-for-profit corporation, is the sole member of the Lawrence Hospital Center DBA New York Presbyterian/Lawrence. Part VI, Section A, Line 7A: NYP Community Services, Inc (The member) elects the governing board of the Lawrence Hospital Center DBA New York Presbyterian/Lawrence. Part VI, Section A, Line 7B: Pursuant to the certificate of incorporation. In addition to those rights powers and authority vested in the member, in its capacity as the sole member of the corporation, by the bylaws of the corporation and by Non Profit Corporate Law (NPCL) and other applicable law, the member in its capacity as the established co-operator of the corporation licensed under article 28 of the New York state public health law, shall have the following rights, powers and authority relative to the corporation. Such powers include adaption/approval of; operating budget, operating policies, indebtedness, contracts, etc. There are no classes. Part VI, SECTION B, LINE 11B: FINANCE COORDINATED AND COMPLETED ALL OF THE INFORMATION REQUIRED FOR FORM 990 ACCESSING VARIOUS RESOURCES INCLUDING LEGAL, HUMAN RESOURCES, DEVELOPMENT, AND OTHER DEPARTMENTS AS NEEDED. SENIOR FINANCE EXECUTIVES COMPLETE A REVIEW OF THE RETURN IN CONJUNCTION WITH ERNST & YOUNG U.S. LLP, PAID PREPARER, PRIOR TO SUBMISSION TO THE CHAIRMAN OF THE AUDIT AND CORPORATE COMPLIANCE COMMITTEE. THE CHAIRMAN OF THE AUDIT AND CORPORATE COMPLIANCE COMMITTEE CONDUCTS A DETAILED REVIEW. UPON COMPLETION OF THE AUDIT CHAIRMAN'S REVIEW AND APPROVAL, THE 990 IS PRESENTED, REVEIWED, AND MADE AVAILABLE TO THE GOVERNING BODY AT THE LAWRENCE Hospitals DBA New York Presbyterian/Lawrence (NYP/Lawrence) BOARD MEETING PRECEDING THE FILING. NYP/Lawrence FILES THE 990 UPON FINAL APPROVAL. PART VI, SECTION B, LINE 12C: Lawrence Hospital Center dba New York Presbyterian/Lawrence adheres to a conflict of interest (coi) policy that was approved by the audit and corporate compliance committee of the board of trustees. The policy states in part: "Each Board Member, Officer or Key Person of a New York-Presbyterian Organization shall complete a conflict of interest questionnaire prior to becoming a Board Member, Officer or Key Person of the New York-Presbyterian Organization and annually thereafter." The policy also states that "each Board Member, Officer, or Key Person shall promptly advise the Chief Executive Officer of the New York and Presbyterian Hospital, or his or her designee, of any changes to the information provided in that individual's last completed conflict of interest questionnaire." The Chief Executive Officer of New York-Presbyterian Hospital, or his or her designee, shall review all completed questionnaires and all subsequent advice of changes and shall take such action as is deemed appropriate to eliminate potentials for conflicts of interest, including such steps as reassignment of responsibilities or establishment of protective arrangements. All disclosures of interests in completed questionnaires or subsequent advice, unless clearly irrelevant or immaterial, shall be compiled and reported by management to the Audit and Corporate Compliance Committee, together, in each case, with response or recommendation of management. The Audit and Corporate Compliance Committee shall determine whether the reported resolution of issues raised by the disclosures is satisfactory and, if not, shall require such further action as it deems appropriate. PART VI, SECTION B, LINE 15: THE BOARD OF GOVERNORS OF LAWRENCE HOSPITAL CENTER DBA New York Presbyterian/Lawrence IS RESPONSIBLE FOR OVERSEEING EXECUTIVE COMPENSATION POLICIES AND PRACTICES, AND FOR SETTING AND APPROVING SPECIFIC COMPENSATION FOR THE CEO. THE BOARD OF GOVERNORS HAS DELEGATED COORDINATION OF THIS PROCESS TO THE COMPENSATION COMMITTEE, WHICH IS A COMMITTEE MADE UP OF MEMBERS OF THE BOARD OF GOVERNORS. THE COMMITTEE ALSO REVIEWS THE COMPENSATION ANALYSIS AND DECISIONS OF THE CEO RELATIVE TO OTHER MEMBERS OF THE EXECUTIVE TEAM. ALL COMPENSATION IS APPROVED BY THE BOARD WITHOUT INPUT OR VOTING PARTICIPATION BY PERSONS WHOSE COMPENSATION IS BEING APPROVED OR BY ANY OTHER INDIVIDUAL WITH A CONFLICT OF INTEREST. PART VI, SECTION C, LINE 19: External requests for our governing documents, conflict of interest policy, and financial statements are reviewed for validity. These requests are then granted if deemed appropriate.
