| adopted by the Board of Trustees in 1995, as amended | |

| provided to the Board of Trustees. The Vice President of | |
| Finance will determine whether a business or financial | |
| relationship involving an employee or other representative | |
| should be entered into or continued. The Vice President of | |
| Finance shall provide such reports as may be requested | |
| by the Audit Committee, and may request advice or direction | |
| from the Audit Committee. | |
| If the governing board or committee has reasonable cause | |
| to believe a trustee, officer, employee, or other | |
| representative has failed to disclose actual or | |
| possible conflicts of intereest, it shall inform the | |
| individual of the basis for such belief and allow him/her | |
| an opportunity to explain the alleged failure to disclose. | |
| If, after hearing the response and after making further | |
| investigation as warranted by the circumstances, the governing | |
| board or committee determines the trustee, officer, | |
| employee, or other representative has failed to disclose | |
| an actual or possible conflict of interest, it shall | |
| take appropriate disciplinary and corrective action. | |
| Pt VI-B, Line 15 | The determination of compensation for the officers and |
| other key employees is the responsibility of the | |
| Robert W. Woodruff Arts Center, Inc. which has delegated this | |
| to the Compensation Committee. | |
| The Compensation Committee is composed of a number of | |
| Board members whose responsibilities include, in part, | |
| the review and approval of the compensation for the | |
| officers and key employees. | |
| The compensation agreements deliberated by the | |
| Committee are determined based on comparable data | |
| which is documented in the records of the Committee's | |
| work. Such documentation is meant to meet or exceed the | |
| requirements which would satisfy the rebuttable | |
| presumption criteria under the intermediate sanctions | |
| language. | |
| As the composition of the Compensation Committee | |
| includes Baord members, each Board member completes a | |
| conflict of interest statement which is reviewed by the | |
| Center's internal audit department prior to the | |
| completion of the filing of the return. | |

| Pt VI-A, Line 4 | On June 15, 2011, the Woodruff Arts Center filed restated |
| Articles of Incorporation with the State of Georgia. The | |
| most significant change to the articles are outlined in | |
| articles Eleven and Twelve, which outlines a new governance | |
| structure for the Woodruff Arts Center. Prior to the restatement, | |
| the control of the Arts Center rested with the full Board | |
| of Trustees. The restated Articles change this such that all | |
| management and control of the affairs of the Corporation | |
| and the power and authority of the Corporation is vested in a | |
| new Governing Board, a 16 to 19 member Board which meets | |
| monthly and whose members are elected by the Board of Trustees. |
