| Explanation | Rotary International is a qualified not-for-profit organization exempt from income tax under section 501(c)(4) of the Internal Revenue Code ("IRC"), but is subject to U.S. tax on any unrelated business income. The Foundation is a qualified not-for-profit organization exempt from income tax under section 501(c)(3) of the IRC, but is subject to U.S. tax on any unrelated business income. Infotech is a private limited company registered in India and, as such, is a taxable corporation in India. Under U.S. tax regulations, Infotech is treated as a partnership and all operations are included in Rotary's tax filings. PPH files a corporation income tax return, but is not treated as an insurance company for federal income tax purposes as it is a captive insurance company. Accordingly, premiums (from Rotary) and losses and loss adjustment expenses are excluded from the calculation of taxable income. Rotary applied the uncertain tax position guidance, as required by U.S. GAAP, to all tax positions for which the statute of limitations would remain open and determined there were no material unrecognized tax liabilities or benefits.
